DEED OF ABSOLUTE SALE OF BUSINESS

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale, made and executed this ____ day of April 2022, in
Angeles City, Philippines, by and between:

_________________________, of legal age, Filipino citizen,

single/married and a resident at _________________,
_________________________________, Philippines,
hereinafter referred to as the “SELLER”;

______________________________, of legal age, Filipino

citizen, single/married and a resident of

_______________________________________, Philippines,
hereinafter referred to as the “BUYER”;

WHEREAS, the SELLER is the proprietor/owner of a business named

__________________, situated at __________________________________, as
evidenced by the Certificate of Registration No. __________________, issued by the
Department of Trade and Industry (DTI), Certificate of Registration No.
_________________, issued by the Bureau of Internal Revenue (BIR) and Business
Registration No. __________________, issued by the Business Permit and Licensing
Division of ________________________________;

WHEREAS, the SELLER has offered to sell to the BUYER and the BUYER has
agreed to purchase from the SELLER, all the proprietary rights of the SELLER in the above-
mentioned business establishment, together with all the assets thereof as contained in
Schedule “A” hereto attached, including the goodwill over the said business name, business
sign, logo and any other interest therein.

NOW, THEREFORE, for and in consideration of the amount of

currency, receipt whereof is hereby acknowledged from the BUYER to the entire and full
satisfaction of the SELLER, said SELLER hereby sell, transfer, and convey, in a manner
absolute and irrevocable unto said BUYER, his/her heirs, successors-in-interest all said
personal properties above-described, free from all liens and encumbrances.

That the said personal properties are free from any existing liens and encumbrances
and SELLER can freely dispose the same.
