Mr. Mahbubul Alam ED (Capital Issue and Registration) 05 Quarterly Review: June 2014 About Bangladesh Securities and Exchange Commission. ‘The Bangladesh Socuritics and Exchange Commission (BSEC) was establisbed on Sth June, 1993 as the regulator of the country’s capital market through enactment of the Securities and Exchange Commission Act, 1993, On December 10, 2012 through an amendment ofthe Sccurtics and Exchange Commission Act, 1993, its name fas been. changed as Bangladesh Securities and Exchange Commission from previous Securities und ‘Exchange Commission. The Commission consists of a Chairman and four Commissioners who are appointed for flltime by the government for a period of four years and their appointment can be renewed only for futher cone term, but the condition is that age cannot exceed 65 in position during the tenure. The Chairman acts as the (Chisf Executive Officer (CEO) of the Commission. The Commission has overall responsibility to formulas securities related rales and regulate the market accordingly. Thus, the mission of the Commission is © protecting he interest of investors in securities; ‘© developing the securities market; ‘= formulating rules on securities related matters oF on rested topics thereunder, ‘To eauure the mission stated above, the Commission has been continuing its efforts on market monitoring. and surveillance, corporate governance, enforcement actions against defaulters, methodical ways of issuing sgeurities, investors education programs ete, and.on market roforms and regulation in time of need, a7 Quarterly Review: June 2014 The Commission's Main Functions ‘The Commission carries out all of its functions 98 per provision of the securities laws, which are listed hereunder: 08 Issuance of securities as per related rules; Peotection of investors through market monitoring and surveillance, comparate governance, enforcement actions and investors education program etc.; Develop and regulaie the market through reforms; Regulating the business ofthe Stock Exchanges or any other securities market, Registering and segulating the business of stack broker, sub-beokers, shave transfer agents, merchant bankers and managers of issues, trustee of trust deeds, registrar ofan issue, underwriters, portfolio managers, investment advisers and other imermediares in the securities market, Registering, monitoring and regulating of collective investment scheme including all forms of mutual funds; Monitoring end regulating all authorized self regulatory organizations inthe securities muskets Prohibiting fraudulent and unfiair trade practices relating to securities trading in any securities market, Promoting investor’ evetion and providing taining for intermediaries of the securities masket; Prohibiting insider trading in securities; Regulating the substantial acquisition of shares and take-over of companies: Undertaking investigation and inspection, inquires and audit of any issuer or dealer of securities, the Stock Exchanges and intermediaries and any self regulatory organization in the securities market; Regulation of business of Commodity Futures Contracts (Conducting research and publishing information, © Quarterly Review: June 2014 Special Event Renewal of the Chairman and Commissioners’ Appointment at BSEC for Second Tenure ‘The Bangladesh Sccurtics and Exchange Commission (BSEC) was established on 8th June, 1993 as the regulator of the country's capital market through enactment of the Securities and Exchange Commission Act, 1993, whose main purposes are protecting the interest of investors in securities, developing the securities ‘market, fonmulating rules oa securities related matters or on related topics thereunder. But due to abnormal ups and downs of 2010 in the capital market, it became necessary to reform market's weak sides. In this connection Capital Market Enquiry Committee 2011 was formed. As part of implementation of the Committee's recommendation, it became necessary to reconstitute the Commission. With this view, on May 2011, the Government appointed Prof, Dr. M. Khairal Hossain as the Chairman and Professor Md. Helal Uddin Nizami, Mr. Md. Amzad Hossain, Mr. Arif Khan and Mr. Md_A. Salam Sikder es Members af the Commission and emphasized on various capital market reforms and reorganization. Later on the designation ‘Member’ was changed to ‘Commissioner’ through amendment of said Act The Chainuan and the four Commissioners completed their 3 years teaure successfully. The Government reappointed them for 4 years tenure at their respective position as per Bangladesh Securities and Exchange Commission (Amended) Act, 2012 (subject to not exceeding 65 years of ago). In their tenure Commission carried out luge reforms of the Commission. and ‘empowered it, carmed JOSCO 'A' estegory status, lid foundation stone of the Commission's own building, cexsure payment of salary, allowances and other facilities of Commission employees which comparable to that of Bangladesh Bank employees, completed difficult tasks like demutualization of stock exchanges for the benefit of the capital marker. Thereafter the Goverment by Gazette Notification dated Jamuary 07. 2014 has established a Special Tribunal at Dhaka under the authority af sub section (1) of section 25 B of Securities and Exchange Ordinance, 1969 and has determined the whole of Bangladesh as its jurisdiction, As per the said section 25B of Ordinance, 1969 the Special Tribunal sball have all the powers conferred by the Code of Criminal Procedure, 1898 on a court of Sessions exercising original jurisdiction. As per the provision of Inw the Special Tribunal shall try the offences defined in the securities and Exchange Ordinance, 1969, Consequently Ministry of Law, Justice & Parliamentary afinirs by its Notification dated 24 February 2014 has appointed Mr. Humayun Kabir (Manik), District and Sessions Judge at the Special Tribunal. Accordingly Mr. Humayun Kabir bas joined on March 16, 2014, The Government his asked the Bangladesh Sccuritics and Exchange Commission (BSEC) to take necessary measures to bie an office building temporarily to start the functioning of the Special Tribunal quickly. A. Salam Sikder, Commissioner (Law) Bangladesh Securities and Exchange Commission bas recently visited and observed the Court and ease management of the Securities Appellate Tribunal of India (SAT) and exchanged views with the members and Chairman of the SAT. They have also visited Securities and Exchange Board of India (SEBD), Naticnal Stock Exchange and Bombay Stock Exchange of India. It is expected that, oace the Special Tribunal starts its functions, disposal of the long pending securities related cases shall be expedited which will help bring better discipline in the capital market of the country.
