1.0 CORPORATE HUMAN RESOURCE MANUAL INTRODUCTION AND DISCLAIMER

The Company Inc has always promoted an atmosphere of open communication and co-operation amongst all
of its employees. This Corporate Human Resources Policies Manual reflects this thinking. It supersedes in
all respects any prior HR handbook, policy manual, benefits or practices of the Company and has been
prepared to provide Employees with information regarding the Policies which govern the Employer, Employee
relationships and it provides the framework within which the employment relationship should function and
flourish.

The Company may, from time to time, in consultation with management staff and employees feedback,
amend, supplement, modify or eliminate one or more of the benefits, work governance rules or policies
described herein. The contents of this Human Resources Policies Manual reflect current the Company
Policies.

For the purposes of brevity and ease of reading, any reference to the male gender shall also include the
female gender unless the content of the policy or clause indicates otherwise.

It is a requirement that each Department Head within the Company takes account of the directives and
guidance within the HR Policies Manual and ensures that he is fully familiar with the contents herein and acts
accordingly.

It is further the responsibility of each Department Head to make available the document controlled Corporate
HR Policies Manual to all Employees ensuring that their respective subordinates are aware of Employee
rights and restrictions placed upon them.

The Company supports and respects good corporate governance and the value of its Human Resource. This
manual is a beacon showing the direction and providing clear employment control measures wherein all may
be guided and prosper with the Company in fulfilling its Corporate Goals and Objectives.

All rights reserved. No part of this publication may be reproduced, stored in a retrieval system, or transmitted
in any form or by means (electronic, mechanical, photocopying, recording or otherwise) without the prior
written permission of the Managing Director the Company.

All product or company names are used for identification purposes only and may be trademarks of their
respective owners.

The distribution of this document will take place between the Company vessels, facilities and the users only.

The information published in this document shall be treated as confidential. It shall not in any way be
disclosed to any person without prior approval of the Company. By accepting this information, the party to
whom it is disclosed warrants that it shall likewise treat the information as confidential.

3.0 CORPORATE HUMAN RESOURCE MANUAL GLOSSARY

Basic Salary Shall mean the permanent employee’s basic rate of remuneration and does not
include any fringe benefits such as a bonus, car or housing allowances etc.
Company Shall mean Zakher Marine International Inc./ QMS 2 Offshore Services Ltd. or
one of its subsidiaries.
CSR Corporate Social Responsibility
Client Shall mean any Company or individual who either renders a service to or to

whom the Company registers a service.


Dangerous Weapons Shall mean any weapon, other than those issued for work purposes, that has the
capacity to injure i.e. knives, guns etc.
Shall mean Zakher Marine International Inc./ QMS 2 Offshore Services Ltd., a

subsidiary thereof or Strategic Alliance Partner
Employee Shall mean any Employee employed by The Company or which Employee may
be seconded by the Company to a Strategic Alliance Partner irrespective of the
type of employment contract

Induction Shall mean the process utilised to introduce the new employee to the Company
and/or work site, its policies, procedures and the new employee’s colleagues.
Remuneration Review Shall mean the Committee constituted to review remuneration of employees
Committee each year and to endorse and approve the increase schedules submitted and
shall include at least the Managing Director and HR Manager
