In accordance with the agreed terms and conditions of the Independent

Contractor Agreement (the "Agreement") of Catholic Charities of Los Angeles, Inc.,
(the "Agency") you are hereby presented notice of termination of the Agreement

Any remaining fees shall be paid only for fully completed

projects or services rendered with appropriate documentation, in form and substance as
specified by the Agency, evidencing completion submitted to the Agency.

Contractor shall not be entitled to any fee in connection with any work or
services which have not yet been performed.

In the event of any controversy regarding the termination of the Agreement,

please refer to Section 14(A) of the Agreement.
