Distribution Basic Terms and Conditions

This contains basic terms and conditions not the agreement,


Distributor (Channel Partner) will receive agreement in valid legal
document for filing which contains all Macro and Micro details

BASIC TERMS AND CONDITIONS

1. Brands offered is: William White’s Range (Mid & Premium Segment – Men’s Range of
Casual Shirts, Semi Formal Shirts, Formal Shirts, Chinos, Cargos, Capris, Tees Etc., in
Phases)

2. Areas of Distribution: WILL BE CONCLUDED WITH MUTUAL DISCUSSION AND AS


PER COMPANY'S PLANS

3. Channel Partner shall pay security deposit of INR 5,00,000/- (Indian Rupees
Two Lakhs Only) to GAURAV APPARELS (Deposit varies basing on the
area assigned), which will attract interest of 10% per annum. As business
increases security deposit should be revised proportionately (Optional).

4. Channel Partner should issue 03 blank Cheque (Leaving Amount and Date Empty) in
favor of GAURAV APPARELS & or GAURAV APPARELS PROVIDES option of
RTGS.

5. Channel Partners in any region which has formality of road permit (E- CHALLAN) should
be issued to GAURAV APPARELS Ware House on receiving proforma invoice.

6. Channel Partner Margin is


i. GAURAV APPAREL Range of Products is 12%
ii. Retail Margin is 35%
*****All Margins are Mark Down.

6.01. First 3 Consignment is on Cash / D.D. / Same day’s RTGS


will attract 5% C.D.

6.02. Trade scheme/ Load / Offers will be either operated on


Primary & or Secondary Basis, Local Sales Personal will
implement the same with mutual consent with Channel
Partner

6.03. Further invoices will attract C.D. of 5% for all


payments done on 2nd day of receipt of stocks & or
3% for all payments made within 25 working days.

6.04. Payments above 25days will not be entitled for C.D. &
should be cleared on or before 35th day from date of receipt
of stocks for smoother operations.
7. Channel Partner should maintain 45 days stock in WILLIAM WHITE
PRODUCT RANGE including market stock.

8. On reaching CONSISTENT business o f INR.15.00Laks-18.00Lakhs in


Secondary Sales @ PTR (On Retailer Billing Price) / Month in WILLIAM WHITE
RANGE (Again this varies depending o n a r e a ), Channel P a r t n e r w i l l
a p p o i n t P i l o t S a l e s P e r s o n DEDICATED to brand WILLIAM WHITE RANGE
ONLY.
8. a) GAURAV APPARELS will reimburse half amount t o Channel
Partner (Maximum limit is Rs.12,000/- per month) for Pilot Sales
Person & should contribute additional business of Rs.4.50
TO 5.50Lakhs @ PTR /Month apart from above mentioned
business & should be reporting to Company Sales Personnel.

8. b) If the Pilot Sales Person generates Secondary business of


Rs.10.00Lakhs @ PTR / Month consistently his complete
reimbursement (Maximum Limit is Rs.24000/-) will be borne by
COMPANY and or will appoint a sales person from company IF
NEEDED.

9. Stock correction is not allowed, unless & until the technical & or product stitch
issues only.

10. Other details in macro and micro levels should be signed mutually through an
agreement
