MEMORANDUM OF AGREEMENT

This agreement was made and entered into this ___________ by and between:

SIGNATORY A, herein referred to as SIGNATORY A, duly represented by NAME,

SIGNATORY B, herein referred to as the SIGNATORY B, duly represented by NAME,

Designation.

WHEREAS, SIGNATORY A, has agreed to be a MEDIA PARTNER, for the [EVENT]to be held on
the ________________ from ______________ at [VENUE] or via [VIRTUAL].

WHEREAS, SIGNATORY A accepted the PACKAGE A (Media Partnership Package)

provided by the SIGNATORY B with the following conditions:

1. Responsibilities of SIGNATORY A;
a. SIGNATORY A shall share all publication materials pertinent to the event through
their official Facebook, Twitter, and Instagram accounts;

2. Responsibilities of SIGNATORY B
a. SIGNATORY B shall acknowledge SIGNATORY A using the statement: “special thanks
to…”
before, during, and after the event;
b. SIGNATORY B shall include a MEDIUM logo of SIGNATORY A in all publication
materials for the event that will be posted;
c. SIGNATORY B shall promote the SIGNATORY A’s future (1) event of choice in the
SIGNATORY B’s Facebook page;
 TERMS OF AGREEMENT

If either party is incapable of performing its responsibilities stipulated in this agreement due to force
majeure or circumstances beyond either party’s control, the responsibilities of both parties are suspended
until such circumstances have ceased, given that the other party is advised and the first party exercises its
best efforts to overcome the circumstances which prohibit the fulfillment of its responsibilities.

a. Each party shall indemnify the other against any claims arising from any breach of
the agreement by either party.

b. The terms and conditions of this arrangement shall be kept between the two parties
and shall not be disclosed to any third party unless both parties carry out a written
letter.

c. The responsibilities of either party under this agreement shall not be transferable to
a third party either in whole or in part.

d. The terms and conditions of this agreement shall only take effect until the end of the
[DATE] unless otherwise terminated by either party by giving at least a week of
prior notice of termination to the other party.
