The Agreement for this Project has been betw: for Pimpri executed een for the Pimpri Chinchwad Smart City Limited hereinafter referred to as “PCSCL” and Atos, on behalf of the Consortium, on19tanuary 2021 (hereinafter called the said Master Service Agreement/MSA) AND WHEREAS, | am aware and hereby confirms that PCSCl’s business or operations, information, application or software, hardware, business data, architecture schematics, designs, storage media and other information or documents made available by PCSCL to the Consortium Partners and their ‘ employees, consultants, partners, sub-contractors, representative etc.during the entire duration of 7 the Project and thereafter, or otherwise (“Confidential Information”) is privileged and strictly confidential and or proprietary to the PCSCL. Atos and Nascent are herein referred to as Consortium / Consortium Partners. NOW THEREFORE, in consideration of disclosure of confidential information to me and providing me the access to PCSCL’s Confidential Information, property, information systems, network, databases and other data for the purpose of implementation of the Project, l agree and undertake to abide by MS the all of the following conditions. I hereby confirm that while working on this Proj ject, any Information disclosed to me by PCSCL or the Consortium member in relati to this Project which shall include without limitation, any and all information in written, representational, electronic, verbal or other form relating directly or indirectly to processes, methodologies, algorithms, risk matrices, thresholds, parameters, reports, deliverables, work products, specifications, architecture, Project information, security or zoning strategies & policies, related computer programs, systems, trend analysis, risk plans, strategies and information communicated or obtained through meetingsdocuments, correspondence or inspection of tangible items, fatilities or inspection at any site to which access is permitted by the PCSCL shall be considered o¢ : Confidential information irrespective of the requirement of being marked confidential.ntial Information received while working on the project or 2. Notwithstanding the foregoing, | acknowledge that the nature of activities to be performed as part of the Project may require me to be present on premises of the PCSCL or may reauire me to have access to software, hardware, computer networks, databases, documents and storage media of the PCSCL while on or off premises of the PCSCL. Confidential information shall always remain the sole and exclusive property of the PCSCl- Upon completion of the Project or termination of the contract or at any time during its currency, at the request of the PCSCL or any of the Consortium Partner, | shall promptly deliver to the PCSCL the Confidential information and copies thereof in its possession or under its direct or indirect control, and shall destroy all memoranda, notes and other writings prepared based on the Confidential information within 2 period of sixty days from the date of receipt of notice, or destroyed, if incapable of return. The destruction shall Pe witnessed and so recorded, in writing, by an authorized representative of the PCSCL or theConsortium Partner. Nothing contained herein shall in any manner impair rights of the PCSClor the Consortium Partner in respect of the Confidential Information. {In the event that | become legally compelled to disclose any Confidential information, | shall Give sufficient notice and render best effort assistance to the PCSCLand to the Consortium Partners to enable then to prevent or minimize to the extent possible, such disclosure. | shall not disclose to a third party any Confidential Information without the prior written consent of the PCSCL.
