MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is made and entered into in the Municipality of Pangil in the
Province of Laguna, Philippines by and between;

a government educational institution under the Department of Education with office address at represented
by its Principal l, hereinafter referred to as the FIRST PARTY
-and-

with office address at represented by its Barangay Captain, hereinafter referred to as the

WHEREAS, the FIRST PARTY in its concern to continue educating the learners of l for the School Year 2020-
2021 under the community “Quarantine” guidelines due to COVID-19 pandemic has developed partnerships
to the SECOND PARTY for the needed assistance in the distribution and retrieval of students' learning
material packages

WHEREAS, the SECOND PARTY has the familiarity and resources to assist the FIRST PARTY in the delivery of
learning resources/materials package under the learning modality or using the Modular Distance Learning
(MDL).

NOW, therefore, for and in consideration of the foregoing premises, the FIRST PARTY and the SECOND
PARTY hereby agree on and stipulate the following:

A. The FIRST PARTY shall undertake the selection process of the recommended students in adherence to the
FIRST PARTY policies and guidelines under MDL in the delivery of the learning resources for this purpose;

1. Ensure the complete list of learners, including their name, address, parents, contact number (if, any) and
the learning material packages;

2. Provide the process of monitoring the number of distributed and retrieved copies of learning material
packages in the form of a checklist

3. Assign teacher-coordinator/s who will coordinate with the SECOND PARTY of the identified kiosk/learning
hub/barangay station as pick-up point;

4. Provide parents the orientation on the process of fetching the learning material package to the
designated/kiosk/learning hub/barangay station;

5. Ask assistance to the SECOND PARTY in the distribution and retrieval of learning material packages to the:

a. pick-up point,

D. home delivery, and

C. information dissemination;

6. Inform the SECOND PARTY if there are changes on the schedule of learning materials distribution and
retrieval;

7. Recognize the important contribution of the barangay officials and volunteers thru comments and
suggestions in improving the delivery of the learning material packages; and
8. Together with the learners, faculty, and parents concerned, renounce and waive any claim against the
SECOND PARTY for any loss of the learning material packages during the delivery, in the performance of
their voluntary work, duties and functions.

B.The SECOND PARTY shall:

1. Receive the learning material packages for distribution to the parents of the Victor O. De Guia Memorial
Elementary School learners;

2. Return or retrieve the learning material packages to the teacher-coordinator/s in-charge on the identified
kiosk/learning hub/barangay station;

3. Designate barangay officer and/or volunteer/s as coordinator in the distribution and retrieval of the
learning material packages to the:

a. pick-up point,

b. home delivery, and

c. information dissemination;

4. Inform the FIRST PARTY, through the teacher-coordinator/s, other matters related to the status of the
delivery of the learning material packages under this partnership; and

S. Together with the students, faculty, and parents concerned, renounce and waive any claim against the
FIRST PARTY for any injury or loss that the student-intern may sustain or may suffer, personal or pecuniary,
in the performance of their duties and functions while under training not attributable to the negligence or
wilful act of any of the personnel of the FIRST PARTY. The waivers of the concerned

C. Under this Learning Delivery Partnership, the following terms and conditions are likewise included:

1. It is expressly understood that there will be no employer-employee relationship between the FIRST PARTY
and the SECOND PARTY;

2. The teacher-coordinator/s will be personally responsible for any and all liabilities for damage to learning
material packages, which may be occasioned by their intentional or negligent acts while in the course of
distribution and retrieval;

3. The SECOND PARTY through the teacher coordinator/s shall see to it that the learning material packages
are complete together with the agreed scope of work within the agreed duration of the partnership;

4. It is expressly understood by the SECOND PARTY, and the teacher-coordinator/s that all information on
technology, process standards, quality assurance methodologies, quality standards, and all other related
documents, manuals, and operational or technical matters that the FIRST PARTY shall make available to
them shall be used for the sole purpose of students learning. All of these matters are classified as
confidential in nature and proprietary to the FIRST PARTY and hereby undertake to prevent transfer of such
information by any of its members to any party outside of the FIRST PARTY without the knowledge and
written consent of the FIRST PARTY and DepED.

5. Any intellectual property owned by the parties prior to this agreement shall continue to be owned by
them. The SECOND PARTY cannot use any confidential information or data from the learning material
packages to create intellectual property without the express written approval of the FIRST PARTY and DepEd;

D. DURATION
This AGREEMENT shall hold for the duration from August 17, 2020 onwards and is automaticaly renewable
every year, provided that the FIRST PARTY and the SECONG PARTY reserve their respective rights to
withdraw their intent in the agreement upon written notice.

IN WITNESS WHEREOF, the parties hereto have signed these presents on this ____of AUGUST 2020 in
Barangay Balian, Pangil, Laguna, Philippines.
