These amendments are entered into between the parties identified on the attached program signature
form. They amend the Enrollment or Agreement identified above. All terms used but not defined in
these amendments will have the same meanings provided in that Enrollment or Agreement.

1. Agreement Term
The section of the agreement entitled “Agreement Term” is hereby amended by adding the following
paragraphs:

a) The institution's (customer's) affiliates are entitled to sign new school enrollments under
agreement 6596327  until December 31st, 2021. The licensed period of each new signed
school enrollment is 12 months or 36 months, as specified in the Institution’s Enrollment.

b) For 12-month licensing periods, the start date of the licensed period of each new school
enrollment must be set to January 1st. End dates are the December 31st following the start
date.

For 36-month licensing periods, the start date of the licensed period of each new school
enrollment must be set to January 1st. These new school enrollments cannot be submitted
after December 31st of the agreement’s initial start date.

c) If an enrollment is submitted between January 1 st and September 30th of any given year, the
start date of the licensed period must be set to January 1st of that year.

d) If an enrollment is submitted between October 1st and December 31st of any given year
(except for the final year of the agreement term), the start date of the licensed period may be
set to either January 1st of that year or January 1st of the following year, as specified by the
distributor.

e) If an enrollment is submitted between October 1 st and December 31st of the final year of the
agreement term, the start date of the licensed period must be set to January 1 st of that year.

f) Such new enrollments cannot include “Partner in Learning” SKUs.

2. Subscription Enrollments
Section 5 of the agreement is hereby amended by adding the following paragraphs:

a) Price Level B is applied to any enrollment.

 b) The following SKUs need to be ordered in quantities equaling the total desktop count, and no
less than 17, under any enrollment:

3. Add “Invoicing” Section

The agreement and all subscription enrollments therein are amended by adding a new section entitled
“Invoicing”:

8. Invoicing

a) Any enrollment for which the start date is the initial start date covered by the agreement
term will have a licensed period of one year or three years, as specified in Section 6 of
the Institution’s Enrollment.

b) Any enrollment for which the start date is after the initial start date covered by the
agreement term will have a licensed period of one year.

c) Microsoft will invoice the distributor for the license price of submitted enrollments on or
before the December 31st of the calendar year that the enrollment was submitted.

4. Add “Special Pricing” Section

The agreement and all subscription enrollments therein are amended by adding a new section entitled
“Special Pricing”:

 a) The following SKUs will be invoiced to the distribution partner with a fixed discount
rate during the term of [each] enrollment. These discount rates will be applied to the
prices available under the July 2018 price list.

5. Section Removal
Section 3 (“Subscription Price”) of the Campus and School Agreement is deleted in its entirety for all
Enrollments to which this Amendment applies.

6. Ordering Products
Microsoft understands and agrees that the Institution wishes to limit its orders of certain products to
certain PCs. Therefore, notwithstanding anything to the contrary in this agreement, products listed
below can be ordered in any quantity equal to or less than the count of eligible PCs, for renewal and
new enrollments.

The Agreement is hereby amended to add the following paragraph:
1. Pricing to Institution is agreed between Institution and Institution’s Reseller. The price quoted
by Microsoft to Institution’s Reseller is a fixed price based on an estimated order submission
date. Microsoft will invoice Institution’s Reseller based on this fixed price quote. If an order is
submitted later than the estimated order submission date, then for any new Online Services
subscriptions in the order, Institution’s Reseller will be charged for the period between the
estimated and the actual order submission dates.

2. Any enrollment or agreement submitted between December 2nd and December 31st of any
given year (except for the final year of the agreement term) with the requested usage date of
January 1st of the following year, will have the start date as the date of processing. Orders
must be submitted through Microsoft’s MOET tool.

3. Any enrollment or agreement submitted before December 2nd of any given year will have the
Start date the same as the requested usage date.

4. All OLS orders will be backdated to January 1st of the current year.

Except for changes made by these amendments, the Enrollment or Agreement identified above
remains unchanged and in full force and effect. If there is any conflict between any provision in these
amendments and any provision in the Enrollment or Agreement identified above, these amendments
shall control.

This Amendment must be attached to a signature form to be valid.
