MEMORANDUM OF AGREEMENT

(“MEMORANDUM”)

I. Parties

This Memorandum of Agreement (“Memorandum”) is entered into


between;

MA. IRMA C. TOPACIO, rightful owner of UNIT 3114 Amorsolo


Tower, hereinafter referred to as the “Owner”

And

MEGAN MERYL VILLARAMA, Leasing Agent of unit 3114 Amorsolo


Tower, hereinafter referred to as “Ms. Villarama”

II. Intent and Purpose

The intent of this Memorandum is to memorialize the agreement


between Ms Topacio and Ms. Villarama. To provide security to the
owner of T3-3114 The Beacon Amorsolo Tower by providing a written
agreement which shall be effective during the duration of the Lease
Contract of unit 3114 Amorsolo Tower. The resulting agreement shall
be effective immediately without prejudice to third party.

III. Conditions

A. In case the Property Manager’s tenant in 3114 caused damages beyond


the provided security deposit of THIRTY FIVE THOUSAND PESOS
(35,000.00), Ms. Villarama commits to shoulder the remaining
expenses in excess of the THIRTY FIVE THOUSAND PESOS
(35,000.00) or to find a contractor who will repair which shall be of
satisfaction to the owner.
B. That action from the Ms. Villarama shall be immediate upon inspection
and discussion of damages that needs to be repaired.
C. That in case Ms. Villarama finds her own contractor to repair the unit,
Ms. Villarama warrants that the unit will be restored back to condition
prior to move-in of her tenant in T3-3114
D. That Ms. Villarama will surrender all keys immediately after repair.

IV. TERM

The term of this Memorandum shall be effective upon signing of both parties
and shall be valid 60 days upon expiration of the Lease Contract of Tenant in
unit 3114 Amorsolo Tower.

V. Miscellaneous

A. It shall be the duty of Ms. Villarama to inform the owner should there
be damages prior to expiration of the Lease Contract.

B. It shall be noted that Ms. Villarama’s tenant must comply with the
Building Administration rules and regulations, any penalty that might
result in violation of such rules shall be for the account of the tenant.
IN WITNESS WHEREOF, the parties hereto have signed this day of August 2022 in
Makati City.
