PURCHASE CONTRACT.

IN THE MUNICIPALITY OF SANTA MARÍA HUATULCO, DISTRICT OF POCHUTLA, STATE OF OAXACA,


AT ELEVEN HOURS ON THE THIRTY DAY OF JUNE OF THE YEAR TWO THOUSAND AND TWENTY-
TWO, THE CITIZEN “TRACEY ALLISON GARDNER COOK” APPEARS ON ONE PART, WHO IN THE
SUCCESS SHALL NAME "THE SELLER" AND ON THE OTHER PART THE CITIZEN "HUMBERTO
NAVARRETE SALAZAR" WITH THE CHARACTER OF "BUYER" TO ENTER INTO THE "SALE
AGREEMENT" IN ACCORDANCE WITH ARTICLES 1674,1675, 2124, 2125, 2126, 2143, 2144, 2157,
2167 OF THE CIVIL CODE FOR THE STATE OF OAXACA AND OTHER DECLARATIONS AND CLAUSES:

DECLARATIONS:

I.- THE SELLER DECLARES:

1.1. Be of Mexican nationality, 47 years of age, with a well-known address at Calle Cinco de Mayo,
number 206, Colonia Cinco Señores, Oaxaca de Juarez. CP 68120.

1.2 Claims to have the legal capacity to carry out the following purchase contract.

1.3.- That he is the owner in legitimate ownership, possession and full control of the following
property located at Colonia Calicanto, calle Morgan number 206, Oaxaca de Juarez Oaxaca, whose
property he has held for more than fifteen years.

1.4.- That the following measurements and boundaries emerge from the property in question: To
the north it measures 40 m (forty meters) and adjoins C. MARIO BAUTISTA RIOS; to the south it
measures 60 m (sixty meters) and adjoins Carbonera street; to the east it measures 30 m (thirty
meters) and adjoins C. ANTONIO CRUZ VASQUEZ; to the west it measures 80 m (eighty meters)
and adjoins Palacios Street, as evidenced by the survey and demarcation act dated December
twenty-ninth of the year two thousand and twenty-two, issued by the Municipal Mayor's Office of
Oaxaca de Juárez, Oaxaca .

1.5.- That the property that is the object of this document is his property, as verified by notarial
instrument number eleven thousand six hundred and sixty-four, with registration number 315, of
volume IV.

1.6.- Regarding the payment of property tax, they are up to date. Likewise, he identifies himself
with a voting card with a photograph (credencial para votar con fotografia), issued by the National
Electoral Institute.

III.- BOTH PARTIES DECLARE:

1.1.- That they mutually and reciprocally recognize the personality with which they hold, for all
applicable legal purposes and have agreed to enter into a Purchase Agreement, in accordance with
the following clauses in accordance with article 1720 of the Civil Code for the State of Oaxaca:
CLAUSES:

FIRST. Object; By virtue of this agreement of wills and in accordance with article 1675 of the Civil
Code of the State of Oaxaca, the seller, C. "TRACEY ALLISON GARDNER COOK", expresses his
agreement to sell to C. "HUMBERTO NAVARRETE SALAZAR, who acquires for himself, the real
estate specified in the declarations marked with numerals 1.3 and 1.4 that were previously
transcribed.

SECOND. Price and method of payment; the parties agree that the total price of this sale will be
the amount of $60,000 MXN, (sixty thousand pesos 00/100 National Currency), total that the
buyer agrees to pay to the seller as follows.

a) The buyer agrees to exhibit in a single amount, the price agreed by both parties, at the time of
signing this purchase agreement.

b) The price for the sale must be made in national currency MXN.

By express agreement of the parties, the lack of payment of the amount agreed in this clause,
attributable to any accrediting institution, will be cause for termination of this Contract without
the need for a judicial resolution and without any liability for any of the parties, returning to the
parties the benefits that have been made in accordance with this Contract and returning things to
the state they had before the execution of the same.

The amount indicated in this clause contemplates all the amounts and concepts referring to the
object of this Contract, therefore, the SELLER undertakes to respect said cost at all times without
being able to charge another amount not stipulated in this Contract, unless the BUYER authorize in
writing any other charge not stipulated herein.

THIRD. Signature of public deed. - The parties agree that, within sixty calendar days following the
date of signing this Purchase Agreement, they will appear before the notary public appointed by
the SELLER at the time, in order to grant and formalize the public deed of sale, act in which the
SELLER will deliver to the BUYER, all those documents related to the real estate that are required
to be delivered in accordance with the applicable legislation.

FOURTH. The contracting parties state that in this contract there is no error, violence, fraud, or
other vice of consent that affects its validity or existence.

FIFTH. Delivery of possession and reception of the property. – The SELLER undertakes to deliver to
the BUYER the ownership and material possession of the real estate property free of any
encumbrances and limitation of ownership, on the same day of signing this purchase agreement or
at the latest the day after it has been signed.

Once the legal scope of this contract has been read and understood, "THE PARTIES" ratify it as the
maximum expression of their will, stating that in this legal act there is consent by both parties and
object, capacity to be bound, absence of vices in the will that invalidates it, neither of them is
enriched and has an advantage at the expense of the other, so they sign it in the presence of two
witnesses on the day of its date, on the thirtieth day of the month of June of two thousand and
twenty-two.
