1. Appointment

1.1 You shall be appointed to the position of Fiber Implementation Manager. Your date of
joining will be 22nd March 2022. As per our previous offer letter and your acceptance thereon.

1.2 Your initial place of posting will be at the company office in Gurgaon. However, your services
are liable to be transfered from one location to another in India or abroad and to any of the
firm's companies in the group.

1.3 Your employment with the Company is subject to:

b. Accuracy of references checks which you have provided at the time of joining.

2.1 As an employee of the company you will receive an annual salary of INR 4,43,220/
(Including all Government taxes). All other terms and conditions will be as perstatuary
regulation promulgated by the Govt. of India from time to time.
2.2 The remuneration paid to you has been taken into consideration the status and
responsibilities of the appointment and as such, you will not be entitled to any
other payment by way of overtime and other allowances. Any increase in your
compensation in future or future career growth prospects in the Company shall depend
entirely on your efficiency, hard work, good conduct and due compliances of Companys
policies and internal regulations. In no case increase in compensation or career

based on passage of time or

4. General
4.1 You shal all the times be required to carry out such duties and responsibilities as may be
assigned to you by the company and shall faithfully and diligently perform these duties in
compliance with established policies and procedures, endeavoring to the best of your ability
to protect and promote the interests of the company. You shall strive hard to promote the
interest of the company and shall not undertake any activity of any nature whatsoever which
is, constructed or deemed to be detrimental and prejudicial to the interest and goodwill of the
company.

4.2 The Company expects you to work with a high standard of ethical practices, initiative
efticiencies, during your employment. You will perform, observe and conform to such duties
directions and instructions assigned or communicated to you by the Company and those in
authority over you. If company found that yourself is indulged any unethical practices

4.3 You shall not, except with the written permission of the Company, engage directly or
indirectly in any other business, occupation or activity, whether as a principal, agent or

interests. If company found that you are engaged in other business activities, company carn
terminate your employment without any notice. Company can initiate legal proceedings
against you and levy penalties or any losses/damages caused by your indulgence.

4.4 You will agree and confirm by accepting this appointment letter that the Company's internal
information and its various business and operational practices and details including but not
limited to the details of Company's business processes, communications/mails, ist and
details of customers/clients, Technical know-how, financial records, commercial plans,
business plans etc., Whichcome into your knowledge or information's are of a
confidential/secret nature & you will always maintain the confidentiality of such information
details or processes. Divulging of any such information or details in part or in whole can

4.5 You undertake not to make copies or duplicates of confidential or sensitive property or
material including but not limited to keys, access cards, diskettes, photographs or such other
proprietary information relating to the Company's business. You also accept the obligation to
be in full compliance of all statutory laws & regulations for & on behalf of the company as

manner prejudice to the rights and interests of the Company.

4.6 You will be bound by the Code of Conduct and all other rules, regulations, policies and
orders issued by the Company from time to time in relation to your conduct, discipiine and
service condition such as leave, medical, retirement, etc. as if these conduct rules,
regulations, policies et al, were part of this contract of appointment.

4.7 You shall be liable to deduction from your salary any amount for damage to or loss of goods
expressly entrusted or loss of money. You will be responsible for the safe keeping and
return in good condition and order of all the properties of the Company, which may be in
your use, custody, care or charge or allocated to to you during your performance of duties.

4.8 In case any declaration by you at the time of your appointment is found to be wrong or you
are found to have willfully suppressed any material information, the appointment itself will be
deemed to have been void and your services will be liable to termination without notice or
