NON-EXCLUSIVE SALES REPRESENTATIVE AGREEMENT

Beta Control Systems, Inc. ("Beta") with its principal place of business at 6950 S.W. 111th Avenue,
Beaverton, OR 97005 U.S.A., hereby appoints _____________ as its authorized non-exclusive
representative ("Representative") for products in the defined territory, subject to the provisions of this
agreement. (See Schedule A for a list of products. See Schedule B for a definition of the territory.)

1. Product and Territory. Beta appoints Representative to be its non-exclusive sales representative in the
territory described in Schedule B and for the products defined and described in Schedule A, attached. Not
withstanding, this appointment does not preclude Beta or others appointed by Beta from periodically
selling products directly to new or existing accounts in the territory. Additionally, Beta reserves the
unrestricted right to arbitrate any disputes that may arise between representatives in regard to the division
of proceeds from a sale. Beta's arbitration will be binding.

2. Relationship. Representative is neither an agent nor an employee of Beta. The relationship of

Representative to Beta is that of an independent contractor. Neither Representative nor any of its
franchisees, agents, or employees shall be deemed to be the employee or agent of Beta for any purpose
whatsoever. They or any of them shall have no rights or authority to assume or create any obligation of
any kind, expressed or implied, on behalf of Beta. Representative agrees to hold Beta harmless from and
against any and all claims, suits, expenses, losses, and liability, including reasonable lawyers fees, arising
out of and from the acts or omissions of Representative or its franchisees, agents, or employees. To the
extent that Beta gives Representative confidential information, Representative will maintain
confidentiality.

3. Representative's Duties. Representative will forward contact information to Beta so that Beta can
provide the potential customer with a proposal for recovery equipment. Beta will immediately inform
Representative if Beta possesses a prior history with the company.

4. Compensation on System Sales. Representative shall receive 3% of sales price upon down payment
and 4% of sales price upon final payment. Explanation of commission: The first 3% commission is a
“finders fee” for selling a system to a new customer. The 4% is related to the responsibility of
Representative to assist in the start-up of the equipment, translating the operations manual, and training of
the customer. Representative will also be responsible for the customer contact and follow up.
Representative will also have other responsibilities related to accepting the commissions. Please refer to
Item 1 for settlement of disputes.

An additional 3% is available for post startup support and assisting the customer in the placement of the
iron chloride product generated by the equipment. If Representative generates an outlet for the co-product
with minimal help from Beta, they will receive this additional percentage. If placement is completed by
the customer, the 3% will still be paid to the representative. This section is meant to make clear that Beta
cannot incur the cost of marketing the co-product from our offices and must rely on the representative to
deal with local realities.

5. Tradenames and Claims. Upon termination of this agreement, Representative will immediately cease
using Beta's tradename and logo, or any item confusingly similar thereto. Representative further agrees
not to use the name Beta Control Systems, Inc. or logo, either alone or in combination with any other
expression, as part of Representative's corporate name or for advertising purposes without Beta's written
consent.

6. Duration and Termination of Agreement. The duration of this agreement shall be for a period of
TWELVE (12) months from the date of execution.

7. Entire Agreement. This agreement contains the entire understanding between the parties and
supersedes all previous agreements and understandings, verbal or otherwise, relating to Representative
activities in the territory. This agreement may be modified only by a written document signed by both
parties.

8. Controlling Law and Venue . This agreement shall be interpreted under the laws of the State of Oregon
and proper venue for filing any action with respect to this contract shall be in the Circuit Court of the
State of Oregon for Multnomah County, Oregon. The parties hereto consents to the jurisdiction of the
State of Oregon for the purposes of enforcing or otherwise interpreting this agreement. The parties
hereby waive the right to contest the jurisdiction and venue of said courts located in Oregon, U.S.A. on
the grounds of inconvenience or otherwise.

In case one or more of the provisions contained in this contract shall for any reason be held to be invalid,
illegal or unenforceable in any respect, the invalidity, illegality, or unenforceability shall not affect the
other provisions and this contract shall be construed as if the invalid, illegal, or unenforceable provisions
have not been contained herein unless the purpose and intent of the agreement is frustrated and defeated
thereby.

We fully understand and agree with the terms and conditions of this Agreement.
