INVESTMENT AGREEMENT KNOW ALL MEN BY THESE PRESENTS: This INVESTMENT AGREEMENT, made and entered into by and between RANIE B. OCAMPO, single, of legal age, Filipino citizen and with residence and postal address at Block 14 Lot 26 Topaz Street, Diamond Village, Salawag, Dasmarinas City, Cavite 1414 (the “FIRST PARTY"); = and - AQUINO A. DY, married, of legal age, Filipino citizen, and with residence and postal address at 2486 B Librado Avelino Street, Bayview Village, Tambo, Paranaque City 1701 (the “SECOND PARTY"); WITNESSETH: THAT- WHEREAS, under date of ________, 2022, the FIRST PARTY executed for himself and on behalf of the SECOND PARTY, a contract (copy attached as Annex ™A”) conveying certain bearer bonds more particularly described as follows: One (1) mother box of German External Loan Series 1924, containing ten (10) baby boxes of 100 Bonds each (1000 bonds in total) with: Master Control N°:C 067771 Security Code N°C 67-92; P,D.N°C 6777 Denomination: 1 1000 dollar Total Face Value USD 1.00.00 Under Safekeeping Receipt (SKR) of “tIbbett+britten unique ag” dated 26 August 2022 with Seal/Nr. 00498742 (copy attached as Annex “B”) for the price of FOUR BILLION FIVE HUNDRED MILLION UNITED STATES (“U.S.”) DOLLARS (US$4,500,000,000.00), net of commission and all taxes; WHEREAS, the parties hereto have obligated themselves individually to comply with certain conditions more particularly stipulated hereunder; NOW, THEREFORE, for and in consideration of the premises, and more specifically the mutual commitments herein set forth, the parties hereto have voluntarily agreed and covenanted as follows with respect to the proceeds of the above-described contract: 1. Investment in ADMARO CAPITAL HOLDINGS PTE. LTD., a company to be incorporated under the laws of Singapore ("ADMARO SG"), in the amount of ONE BILLION HUNDRED MILLION U.S. DOLLARS (US$1,300,000,000.00), whereby each of the parties will hold approximately fifty percent (50%) shareholder equity therein (copy of the engagement letter agreement for the incorporation of ADMARO SG is attached as Annex “C”). ADMARO SG will then use the proceeds to invest in the following industries in the Philippines and in other countries, as follows:a, Utilities, Environmental Infrastructure and Mining via investment into Energies PH Holdings Pte. Ltd., a company incorporated under the laws of Singapore (“Energies SG”), in the amount of NINE HUNDRED SIXTY MILLION. U.S. DOLLARS. (US$960,000,000.00); Energies SG will then invest in Power Generation, Utilities, Environmental Infrastructure, Climate Sustainability, and Energy Internet of Things (“IOT") projects of Energies PH, Inc., a company incorporated under the laws of the Philippines (“Energies PH”); b. Real Estate, in the amount of FIFTY MILLION U.S. DOLLARS (US$50,000,000.00), covering real estate acquisitions, development and operations; c. Finance, in the amount of ONE HUNDRED SEVENTY MILLION U.S. DOLLARS (US$170,000,000.00), covering commodities trading, vehicles and equipment leasing, securities brokerage; d. Logistics Services, in the amount of SIXTY MILLION U.S. DOLLARS (US$60,000,000.00), covering investment in a Filipino logistics company doing business as “Just Drivit” and in trucking and transportation services; and, e. Manufacturing, in the amount of SIXTY MILLION U.S. DOLLARS (US$60,000,000,00), including but not limited to steel. . Investment in ADMARO CAPITAL HOLDINGS, INC., a company incorporated under the laws of the Philippines ("ADMARO PH"), in the amount of TWO HUNDRED MILLION U.S. DOLLARS (US$200,000,000.00), whereby each of the parties will hold approximately fifty percent (50%) shareholder equity therein (ADMARO PH's Certificate of Incorporation and Articles of Incorporation are attached as Annex “D”). ADMARO PH will then use the proceeds to invest in the following industries in the Philippines, as follows: a. Real Estate: acquisition, development and operation of real estate Properties in the Philippines, including but not limited to the following: Name/Description Location Jacinta Building 2 Along EDSA, Guadalupe Nuevo, Makati City Sulo Riviera Hotel Property Matalino ‘Street through Makatarungan Street, Diliman, Quezon city CityState Centre Shaw Boulevard, Mandaluyong Condominium (19-storey, 3 | City levels basement parking) ‘Sun Plaza (22-storey, 4 Shaw Boulevard, Mandaluyong teveto basement parking, icy commercial/PEZA-registeredb. Agriculture: investment in certain agricultural businesses, including, but not limited to: i. Livestock, such as poultry, hogs, cattle/dairy, fishponds; ll, Plantations of corn, cacao, coffee, and sugarcane; and ili, Semi-processed goods factories, such as slaughterhouse of poultry and cattle, dairy and fruit juices, cacao and coffee manufacturing, sugarcane mill, and bioethanol plant. 3.
