Cekindo assists our Client with local Professional Shareholder (corporate), Professional Non-Executive Director
(individual), and Professional Commissioner (individual). Cekindo arranges the professional service arrangements
by managing notarized agreements between Client and local Professional Shareholder/Non-Executive
Director/Commissioner.

1.4 SPECIAL PURPOSE AGREEMENT

Cekindo arranges a Special Purpose letter and agreement, legalized by a notary to affirm our Client’s ownership and
authority in the company. Cekindo is not responsible for any breach arising out of these agreements. Clients are
advised to retain effective control of the company at all times, bundled with our Accounting and Tax Report service.

 1.5 REPRESENTATIVE OFFICE
Representative office acts only as a supervisor, liaison, coordinator, and management of the interests of the company
or its affiliated companies in Indonesia. Representative office is established when the client intends to explore the
market first before deciding to establish a limited liability company in Indonesia.

2. LICENSES
2.1 VAT PAYER CERTIFICATE

Cekindo assists our client in registering the company as VAT payer company (PKP) to the tax office. PKP is
mandatory for company which have turnover above IDR 4,800,000,000; however the company could apply as PKP if
required, although the turnover has not reached the minimum amount yet.

2.3 GENERAL MEETING OF SHAREHOLDERS

According to Company Law (UUPT), each company shall arrange Annual General Meeting of Shareholders (GMS) to
approve the company report of the preceding year, especially related to the company’s activity, financial report, and
its’ Director and Commissioner activity. Cekindo assists our client in arranging annual GMS or extraordinary GMS
when there is necessary approval from the shareholders.

3.2 MULTIPLE ENTRY BUSINESS VISA

Cekindo assists our client in managing multiple-entry business visas, valid for 1 year. Business visa is used for
business purposes, such as attending business meetings, seminars, exhibitions, training, etc.

3.3 SINGLE ENTRY VISA

Cekindo assists our client in managing a single-entry visa, divided into business visa, pre-investment visa or social
visa, according to the purpose of the visit. Social visa is used for social purposes, mainly for family visit. This visa is
valid for 2 months and extendable for 4 times (each extension for 30 days), with maximum stay in the country for 6
months.

3.3 DRIVING LICENSE (SIM)

Cekindo assists our clients in managing applications for driving licenses (SIM) for cars or motorcycles. Once the
foreigner has obtained a Limited Stay Permit (KITAS) or Permanent Stay Permit (KITAP), they are eligible to obtain a
driving license in Indonesia. The validity of the driving license will follow the validity of the stay permit (1 year for
KITAS and 5 years for KITAP).

 4.2 RECRUITMENT
Cekindo assists our client in recruitment / head hunting of employees in Indonesia or hiring Indonesian employees
for our client’s office overseas. We assist our clients to source the most suitable candidate for their employee, from
the staff level, supervisor level, managerial level and the director level. Each of position have a different timeline, you
can see the detail below:

Cekindo provides zero taxation report services. After your company is established, it is mandatory to submit an
annual tax report, although you have no activities and zero taxes (dormant company).

FORMAL SERVICE AGREEMENTS

• Formal service agreements are to be executed between In.Corp and the Company post the acceptance of this
proposal letter by way of email.
• Additional fees will be charged for services rendered in connection with matters outside the scope of services
outlined above and for services rendered where time costs exceed the fees quoted above.
• Our fees are based on current regulations and market practices. Should there be changes which impact our
scope of services or effort involved, we will be pleased to discuss them with you to arrive at a mutually agreeable
solution.

TERMINATION

• Either Party may terminate the above-mentioned services with one (1) month’s prior written notice thereof. In
the event that this engagement is terminated, we shall still be entitled to our fee and out-of- pocket expenses
accrued up to the date of the end of service.

MISC TERMS

• Our professional name who is appointed as the Company Secretary of the Company shall be indemnified by the
Company against any actions, proceedings, costs, charges, losses, damages and expenses incurred by him/her
as Secretary of the Company. He/She shall cease to be Company Secretary of the Company upon termination
by the Board of Directors or upon his/her giving written notice of resignation to the Company at its registered
office.
• We are to be advised as soon as there is a need to file any of the returns required under the Companies
Act and Regulations relating to the matters which are not within our knowledge.
• All out of pocket expenses reasonably incurred by us on your behalf will be borne by your Company, where prior
consent will be obtained from you. The fees and expenses do not include Goods and Services Tax (“GST”). The
GST (if applicable) will be included in our invoices as a separate item.

GOVERNING LAW

• This Letter shall be governed by and construed in accordance with the laws of Indonesia and the parties hereto
shall opt for arbitration in accordance with the provisions of Arbitration in Indonesia Law No. 30 of 1999 to the
Badan Arbitrase Nasional Indonesia/BANI (Indonesian National Board of Arbitration) over any disputes, which
may arise out of or in accordance with it.
