LETTER OF INDEMNITY

KUEHNE + NAGEL S.A., hereinafter “PROMISEE” enters into the present LETTER OF INDEMNITY
with LIBRA SERVIÇOS DE NAVEGAÇÃO LTDA registered with the CNPJ under nº
42.581.413/0001-57 and branch with the CNPJ under nº 42.581.413/0017-14, herein referred to as
“MARITIME AGENT”, for all legal purposes, being subject to the conditions stipulated below:

I. OBJECT:
Hereby, “PROMISEE” accepts liability for any fines issued before or after the day of the execution
of this agreement on the grounds of article 77 of Law nº 10.833, of December 29, 2003 and article
107, item IV, letter “e” of Decree-Law n.º 37, of November 18, 1966, as well as penalties received
by the “MARITIME AGENT” derived from changes to and/or rectifications of the information
recorded in in the Siscomex or Siscomex Carga systems, to meet the “PROMISEE”’S or one of his
REPRESENTATIVES’ request mentioned in annex I of the present instrument.
Every and all request for modification and/or rectification shall be made by email, memo, letter of
rectification or by any other electronic means with digital signature/certificate.

II. COMMITMENTS, AUTHORIZATIONS AND STATEMENTS

In light of the interest and/or need of the “PROMISEE”’S to change and/or rectify the
information to be provided by the “MARITIME AGENT” to the customs authorities, the
“PROMISEE”:

i. states it is aware that in case of a request for change and/or rectification of the information
provided in the Siscomex or Siscomex Carga, the “MARITIME AGENT” may be issued a notice
of violation with the application of a fine in the minimum amount of R$ 5,000.00 (five thousand
reais), set forth in article 77 of Law nº 10.833, of December 29, 2003 and article 107, item IV,
letter “e” of Decree-Law n.º 37, of November 18, 1966;
ii. undertakes the responsibility of immediately paying the fine triggered thereby, in case the
“MARITIME AGENT” is issued a notice of violation under penalty of enforcement of the present
Instrument; iii. undertakes the full responsibility of compensating the “MARITIME AGENT” for
any expenses it may have to face as a result of modifications and/or rectifications of information
provided in the
Siscomex or Siscomex Carga in the capacity of “MARITIME AGENT”, to meet the PROMISEE’S
request; iv. states it is aware that being “MARITIME AGENT” issued a notice of violation as a result
of an act or fact attributable to the “PROMISEE” – or its representatives and employees – the
“MARITIME AGENT” shall have the option to not challenge the referred notice, and if the

 “MARITIME AGENT” decides to challenge the notice of violation it will be done by the
lawyers appointed by the “MARITIME AGENT”, PROMISEE being incumbent upon
indemnifying and/or compensating for all the sums spent and losses sustained by “MARITIME
AGENT”, including the lawyers’ fees;
v. Accepts liability in case of inaccurate information or false description of goods on the Bill of
Lading, on the grounds of article 745 of the Brazilian Civil Code and all other applicable rules,
for all damages that “MARITIME AGENT” has provenly given cause to;

III. CHANGES REQUESTED

KUEHNE + NAGEL S.A., understands and agree to the conditions above, and request the filing
of a Correction Request before the Federal Revenue to the bill of lading No.

 IV. DURATION

This Letter of Indemnity includes all the requests made as of its signature with no determined
expiration date.

V. ELECTION OF JURISDICTION

The parties hereby elect the JURISDICTION of the Courts of Santos/SP/Brazil to resolve
any issues and/or disputes referring to the obligations undertaken herein.
