1. Before we do anything, let us have a search, for which I need a copy of the Title.
My agent is trying his best to get the search and with a bit of luck I might get it
shortly.
2. It is best to do an inventory of any equipment and moveables now and annex it to
the lease.
3. I have added a specific covenant on the part of the Lessor not to sell the property
except subject to your lease. But please bear in mind that unless the Lease is
registered, the buyer can claim that you have no rights.
4. .The best way to ensure that any buyer takes subject to your lease is to have
your lease registered immediately. I have provided that the lease will commence
on registration. For this we will need the original title. Registration etc will take
approximately two months but he might insist on payment on execution. It is for
you to decide whether you will make such payment.
5. Have you checked about withholding tax? If it has to be deducted, let us not beat
about the bush and tell him bluntly that you have to comply with the Law,
otherwise you will have problems with KRA and may have to pay penalties.
6. The clause as drafted in respect of visiting rights is normal and such provision
regarding visiting rights was in their draft. I have retained it but if you feel you
want to delete it, you can do so before you print the lease, but please remember
that it was in the initial draft save that there was no provision for notice prior to
entry which I have inserted.
7. In the insurance clause, I have provided for the Lessor at its cost to maintain an
insurance cover against fire etc and for abatement of rent incase of damage
during the period that the premises are being restored.
8. I have also provided that the term will be extended by the period required to
restore.
