1. Object
This document applies to the Regional Operating Unit (ROPU) Boehringer Ingelheim (BI)
Regional Center Vienna (RCV) depicted on the following picture:

2. Description
2.1 Types of business entities within the scope of ROPU BI RCV:

Legal entity – an association, corporation, partnership, proprietorship, trust, or individual

that has legal standing in the eyes of law. A legal entity has legal capacity to enter into
agreements or contracts, assume obligations, incur and pay debts, sue and be sued in its
own right, and to be held responsible for its actions.

Branch office – an outlet of a company or an organization that – unlike a subsidiary – does

not constitute a separate legal entity, while being physically separated from the organization's
main office. A branch structure exposes the owning company to full taxability and legal
liability in regard to the branch office's operations.

Representative office is an office established by a company to conduct marketing and other

non-transactional operations, generally in a foreign country where a branch office or
subsidiary is not warranted.

A ‘third party’ is any entity that a company does business with. This may include suppliers,
vendors, contract manufacturers, partners and affiliates, brokers, distributors, resellers, and
agents. Third parties can be both ‘upstream’ (suppliers and vendors) and ‘downstream’,
(distributors and re-sellers) as well as non-contractual parties.

2.2 Types of warehouses used in Quality Manual:

Outsourced warehouse service (3PL) / 3rd party logistics – contracted service provider
working according to their own procedures. Responsibilities are defined in service
agreements and the QAA.
In some countries BI staff or BI dedicated staff is working in the warehouse. These are
marked with *) in the table below. Warehouses might be mentioned in the BI license, these
are marked with **) in the table below.

Warehouse under BI control – BI-owned, rented warehouse under BI’s responsibility and
ownership. BI staff employed at the warehouse.

Consignment stock of BI RCV – warehouse for consignment, which is owned by BI RCV.

Bonded warehouse – warehouse for goods awaiting customs clearance.
