Parameswaran, We have pleasure in appointing you as “Senior Executive ~ Customs Clearance” in Robinsons Cargo & Logistics Pvt. Ltd. (RCNL referred to as the “Company’) on the following terms and conditions and the rules and regulations formulated from time to time by the Company. The Confidentiality and Intellectual Property Agreement incorporated into this letter form part of the terms of your ‘employment. 1. Appointment Your appointment shall be effective from the date of Joining \e., 15" June 2022. You will be employed as “Senior Executive” of the Company at Chennal. Initially but the Company shall be at liberty to change the job posting when a business necessity for the change arises 2. Probationary Period You will be on probation for a period of six (6) months from the date of your appointment and during the probationary period if your performance is not found satisfactory, your appointment may be terminated by the Company without notice and without payment of any compensation. However, during the period of probation, you need to serve a notice of fifteen (15) days to terminate your employment with the Company. The probation may however, be extended by the Company in its absolute discretion. if your work and conduct are found suitable for the post in which you are appointed, you will be confirmed in the services of the Company. The confirmation will take effect only upon issuance of a written order by the management of the Company and by a formal letter of confirmation addressed by the Company to you 3. Remuneration Your salary and other allowances shall be as per enclosed statement marked Annexure ~ 1. You will be entitled to statutory and service benefits and be governed by discipline and other rules existing or may come into existence from time to time. Your future increments or promotion or any other salary-increase shall be based on merit considering your periodic and consistent overall performance, business conditions and other parameters fixed from time to time at the discretion of the management and shall not be considered merely as a matter of right. 4. Retirement You shall retire from the services of the company on attaining S8 years of age unless the Company specifically requires you in writing, to continue in employment beyond this age in its absolute discretion. 5. Transfer ‘The Company reserves its right to transfer you in the same capacity the Company may determine to any other location, department, Branc of business of the Company or any other Group or affiliate company or outside india. In such cases, you will be governed by the terms anc prevailing at the new placement location. In the event, such transfer is not acceptable to you the Company may in ts scie discretion terminate your employment in accordance with this Letter of Appointment, 9. Confidential information You shall beter co erratt@t the termination of your employment with the Company, : ent of the Company in writing disclose or divulge or make public any 3 ried sar egerding the Company including its affairs or administration or research Sd Out or business whether the same may be confined to you or become known to You in the course of your employment with the Company or otherwise. 12. Past Records Wf any declaration given or information furnished by you to the Company proves to be false or if You are found to have willfully suppressed any material information, in such cases, your employment with the Company shall be liable to be terminated without any notice and without ‘any compensation. 12, Termination 8. Notwithstanding anything herein contained, your employment may be terminated immediately by the Company at any time without notice or payment in lieu thereof or any compensation ‘whatsoever, if, among other things: 1. You disobey a lawful direction of the Company: li. You are found guilty of commission or omission of any act or any misconduct prescribed in the relevant Shops and Establishments Act or any other misconduct which are not specifically mentioned under the relevant Shops and Establishments Act and if the same is. found to be misconduct in the opinion of the Company; il, Being found guilty of misbehavior or misconduct, by act or omission, under any act or statute, whether presently in force or in force in the past, in India or under any international ‘actor statutes applicable to the company and/or to the residents of India iy. You commit any serious or persistent breach or non-observance of the terms, conditions or stipulations contained in this letter, or are guilty of any negligence in connection with or affecting the business or affairs of the Company. v. You remain absent from work for a continuous period of three (3) days without prior approval of your superior, (including overstay of leave); vi. You breach your obligations under the paragraph headed ‘No Conflict of Interest’ or any other material provision set out in this letter. vii. You commit an act or acts in breach of the Company Policy Manual/Code of Conduct or Confidentiality and Intellectual Property Rights Agreement as may exist from time to time. vill, You do not meet performance parameters after having been given opportunity to improve for a period of thirty (30) days from the date of notice to improve; once warning letter for non-performance is issued, you CANNOT put in your resignation. If your resignation is ‘accepted as an exception by the management, your last working date will be the date as mentioned in your warning letter or date of cessation of your service as decided by the management, whichever is earlier. The notice period clause will net be applicable In this ‘case under any circumstances, ix. You engage in conduct that could bring you or the Company into disrepute. x.
