Dch Anh Vit The First Party and the Second Party shall commit to enter this MOA under the following terms and conditions as follows :

The First Party is willing to utilize the Second Partys network for marketing and

introducing the aluminum extrusions and product manufactured and produced by PT. YKK AP Indonesia. 2. The Second Party is willing to market, facilitate and introduce the aluminum extrusions

and product manufactured and produced by the First Party for the regional and domestic market in Vietnam. 3. The First Party shall provide the Second Party with technical support and

necessary assistance for helping the Second Party to market the aluminum extrusions and finished goods : aluminum, windows, doors and aluminum profile for architectural buildings in Vietnam. 4. The Second Party shall constantly inform and advise the First Party the market

situation and other competitors in Vietnam and if it is so required the Second Party shall have the cooperation with other existing companies in Vietnam that have the expertise for marketing these types of finished goods and manufactured products. 5. Both the First Party and the Second Party, both its subsidiaries and

affiliates, as well as their respective officers, directors, employees hereby agree and commit that to keep confidential all the data and information obtain from both parties in the form of database computer or system or print out or written letters, notices, orally spoken and/or other tangible forms which are provided to both parties in respect to trade secrets and/or confidential information. Both parties hereby represent and warrant that both shall not reveal the confidential information to any other third party in any form whatsoever nor shall to use such trade secrets and/or confidential information for any other purpose. 6. This MOA is a preliminary agreement formed by both parties of the First Party and

the Second Party and shall be followed up with a Distributor Agreement based on recorded

historical report and performance of both parties. 7. This MOA is for a period of 1 (one) year, commencing khoi dau on 9th May,

2011 and shall be expire on 9th May, 2012, unless determined with the issuance of the Distributor Agreement or by an earlier written notice by either party. 8. 9. This MOA is biding all parties. Any disputes that may arise between the parties concerned to be deliberated

agreed and covenant to be settle among both parties by a consensus through mutual understanding.
