The company is the authorized dealer of Volvo India Private Limited for sales & services of Volvo
Construction Equipments., Road Machineries and SDLG Wheel loaders Further, the company is
exclusive dealer for the sale of Volvo Construction Equipment Products within the territory viz: The
State of TamilnaduHereinafter called the ‘territory’.
Whereas, in order to provide service support to the Machines of which mentioned in Annexure 1, to
ensure uptime of their machines and for mutual benefit of both the parties this agreement is executed.
This agreement is only for service support at sites and not for any accident related repairs.

NOW THEREFORE, it is hereby agreed as follows:

1. The duration of this Agreement will be for Warranty on Driveline for 4000 Hrs or TWO YEARS
from the date of signing the contract.

2. The Company contracts to provide All the Mandatory Service visits , repair calls as per
PRECARE HAPPY PACKAGE during the above said period.

3. This contract is offered for a machine identified by serial number.

4. The Company agrees to carry out schedule maintenance as necessary at periodical intervals as
specified in operator’s handbook against a payment as agreed and mentioned in Annexure 1. Customer
is advised to maintain a logbook at the jobsite and should be shown to the Company during their visits.
 5. The Company will carryout:

Periodic Service Every 250hrs / 75days which ever is earlier

SDLG Wheel Loader Prime Health Check at 6th and 12th Month Visit
Operator Training at 1st and 6th Month Visit
Walk Around Inspection / Do’s & Dont’s Checks to Operator
Oil Analysis if required based on actual need at Machine Owner’s Cost
Parts in ”Required / Okay / Recommened Format

6. Daily maintenance and running adjustments as required will be carried out as set out in the
Operatorion & Maintenance handbook are excluded from this Agreement and remain the responsibility
of the owner who undertakes that these will be carried out.

7. The Service Intervals will be determined by the Company.

8. The Company representative will visit the machine as required to carry out established maintenance
schedule of a preventive character as set out in the Operating and Maintenance Instructions of the
machine. The Company will replace the Genuine Volvo Filters and Lubricants as necessary .The
Genuine Filters and Lubricants will be procured from Volvo will be supplied by the Owner.

9. Owner must be prepared to stop his machine, when necessary, to permit Engineers to carry out routine
maintenance and additional inspections as determined by the Company.

10. The cost responsibility of all parts, lubricants, grease, fuel, operator, skilled & semi skilled manpower
for carrying out repairs / maintenance will be to the owner’s account & to be provided by owner.
General guidelines for cost responsibility for the following will be as in this table:

11. The Owner undertakes that the chemical specifications of all fuels and lubricants used shall be of a
standard recommended in the Company’s booklet “Operation Manual” under “Recommended
Lubricants”.

12. The Owner undertakes that operators trained and approved by the Company only will operate the
equipment.
13. Any damage whatsoever to the machine caused by negligence of the Owner or his employees or by
accident from any cause or interference outside the control of the Company or by the unskilled and
untrained operators, will be the responsibility of the Owner and the rectification thereof is not covered
by this Agreement.

14. The scope of Company is only restricted to technical support. Any loss caused due to consequential
damages, production loss due to machine downtime, etc., will be to owner account.

15. The Owner undertakes:

a. Not to fit any attachments to the machine which are not approved by the Company.
b. Not to misuse or overload the machine.
c. Not to use the machines during the allocated maintenance time.

16. In any event, this Agreement will also be terminated with notice of 1(one) month from either party.

17. This Contract is not transferable to any other site / dealer territory, and is expressly for the benefit of
the Owner. If at all the transfer is inevitable, owner ensures the existing contract is terminated and a
new contract has to be entered with the other (new territory) dealer.

18. The Company shall not in any respect at any time be liable for any transit damage or loss and
subsequent consequential losses. It is the owner’s responsibility to ensure safe transport of the
equipment to site during transfers.

19. All prices quoted in this Agreement are in Rupees and exclusive of Sales Tax / or any other taxes
leviable, which will be added as actual at the time of billing.

20. The Owner agrees to pay the charges set out in Annexure 1.

21. The owner will cover the equipments for risks with appropriate insurance in case of accidents,
sabotage and force majeure.

22. Dispute resolution: All disputes arising out of or in relation to this agreement or any breach hereof
shall be first referred to arbitration in accordance with the provisions of the arbitration and conciliation
act, 1996 in case the dispute is not resolved by arbitration the matter shall be referred to court in
Chennai.

23. Exclusions: Following are not in the scope of contract.

a. Radio/CD player
b. Wear and tear parts of buckets viz., teeth point, teeth adapter, cutting edges, cutting edge
fasteners, bucket gap adjustment mechanism parts, Bucket assembly, hard facing of the bucket,
bucket repair, bushes and bucket O rings, bucket reinforcements
c. Wear and tear parts of load body viz., wear plates, extension plates, hard facing and structural
repairs
d. Air conditioner gas for recharging.
e. Lifting tackles, General tools and workshop facilities.
f. Repairs required for damage due to accident, inappropriate use, negligence or sabotage and
force majeure.
g. Regular Repairs of Engine, Pump, Motors, main control valves, Chassis , Hydraulic Cylinders,
Transmission, Axles etc.,

Specific Terms and Conditions applicable for the above:

1. The above rates quoted are exclusive of statutory levies like service tax, rate contract tax and any other tax
that might become livable during the tenure of this contract
2. The Contract is limited to the number of calls committed to or the expiry date of the contract whichever is
earlier.
3. One ‘Visit’ equals to one man day by the Company’s Service Engineer.
4. The Owner will extend access to the Volvo representative to the log books and other records in which
accurate details relating to each machine is recorded. A monthly review of the maintenance, machine
performance, general conditions of the fleet and other records should be done jointly and signed off as
accurate and complete
5. Skilled manpower to be be provided by the company to our Engineer for assistance during inspections and
at the time of attending problems in the machines.

6. All tools required for carrying out maintenance/other inspections will be arranged by Owner as and when
necessary.
