Further to OUf letters dated 12th February, 2021 and 24th March, 202 1, we wish to inform
that upon sat isfactory completion of ' Conditions Precedent' as stipulated in the Business
Transfer Agreement (BTA), earlier executed on 24th March, 2021 between the Compan y
and Universal MEP Proj ects & Engineering Services Limited ( UM PE SL), a wholly-owned
subsidiary ofVottas, the transaction has been consummated on t S\ Aug ust, 2022, bei ng the
'C losing Date ' for transfer of domestic B2B businesses comprising projects business
re lating to Mechanical , Electrical and Plumbing (MEP)/i-I eati ng, Ventilation and
Air-Conditio ning (HVA C) and Water projects, Mining and Construction Equipment
(M&CE) business and Text ile Machinery Division (TMD) business. After taking into
consideration the working capital adjustments, the consideration amount for transfer of
aforesa id businesses is Rs.1190 crores.
