SAFETY:

• Hazardous rated compressor with gas detection and ventilation to comply with necessary codes
and standards.
• Motor Control Center (MCC) is rated as non-hazardous and is required to be located in a non-
hazardous area.
• Signal lights indicated compressor status and alarm state in the event of gas leaks or ESD alarm
activation.
• Remote visibility through a web-enabled HMI. Can be set up with email notifications for alarms and
warnings.
• ESD (emergency shutdown device) located outside and inside of the compressor enclosure and
on the MCC which shuts off the gas supply, isolates any stored gas and cuts power to the
compressor.
• Overpressure protection with ASME or PED certified (depending on local regulations) pressure
relief valves.

ENVIRONMENTAL:

• Non-lubricated compressors cut out the waste, cost, and negative environmental issues of
additional filters, auto oil drain systems and supplementary oil tanks. Only 5 parts-per-million or
less vs. 100 PPM or more.
• Clean technology prevents costly, troublesome oil accumulation in heat exchangers, storage
vessels, and vehicle systems. This ensures lower operating costs, happier customers, and
increased station profitability.
• Amply sized recovery tank stores gas on compressor shutdown in order to prevent natural gas from
going into the atmosphere.
• Low leakage packing cases ensure that natural gas emissions are kept to a minimum.

THREE LINES GAS MANAGEMENT PANEL (PRIORITY PANEL)
Description of Operation:

Using 3-Bank storage cascade system allows for lower compressor flow rate
when sizing the system compared to a 1 – Bank (Buffer) system in a typical
NGV filling application. When using a 3 Lines priority panel, the compressor
fills the high bank storage first then the medium bank storage then the low bank
storage while the dispenser utilizes the storage system in a reverse order (Low
– Medium – High). This allows the compressor to fill up the high bank and
therefore top up the vehicle even if low and medium banks are depleted.

The Three Lines Gas Management Panel directs the gas based on the required
filling priority which is typically: Dispenser/Fill Post, High Bank Storage,
Medium Bank Storage, Low Bank Storage.

In a typical 3 Lines Gas Management Panel the flow rate from the compressor
is dedicated to the direct fill feeding the dispenser/fill post as top priority.

The Gas Management Panel can be panel mounted or cabinet mounted based
on customer preference and required flow rate (components sizing).

STANDARD MCE-C (MOTOR CONTROL ESSENTIAL
COMPLEMENTARY)
The motor control center contains the electrical hardware and controls required to run the compressor
package. The main components of the MCE-C include a soft starter for the main drive motor, circuit
breakers, and alarm lights. The MCE-C must always be paired with an MCE which will provide it with 120V
control power.

1.2 PROPOSED SITE EQUIPMENT
INTEGRATION
Clean Energy’s engineering group proposes a high level architecture for site system design and integration
of site equipment whether manufactured by CEC, or supplied by a third party, to provide an optimal, reliable
and efficient solution for a complete integrated system. This premium service is based on site data provided
by the client, system design elements specified as part of the CEC design, and environmental and control
data provided at the time of quotation. The resulting site architecture is meant to support the client’s
understanding of the full solution. Any additional site engineering support will be charged to the customer
at standard engineering hourly rates.

1.3 PAYMENT AND DELIVERY TERMS
1.3.1 PAYMENT TERMS
• 15% deposit with purchase order
• Additional 35% on start-up of manufacturing
• Additional 40% 45 days after start-up of manufacturing
• Balance 10% prior to shipment

CEC reserves the right to charge interest of up to 2% per month on all overdue invoices and/or statements
and recover all costs, including but not limited to, legal costs incurred in the recovery of overdue accounts.
CEC reserves the right to cancel the project if payment is not received within 14 days of the milestones, as
identified and agreed to in the project charter. Customer may be subject to storage fees if receipt of
equipment is delayed by customer.

1.3.2 PRODUCTION TIME


Production times below are general and are subject to change:
• Product: 14 weeks from deposit confirmation at IMW and according to payment schedule
A firm delivery date and production slot will be supplied prior to order.

1.4.4 FACTORY ACCEPTANCE TESTING


All CEC compressors are fully tested with natural gas for a minimum of 4 hours and run at operating
pressures and temperatures to ensure that flow rates, pressures and temperatures are as required.

1.5 CONSTRUCTION AND COMMISSIONING
1.5.1 OPERATION AND MAINTENANCE MANUALS
1. Civil Works/ Station Construction:
a. Definition: The design of the site, arrangement of the equipment, permitting, physical
excavations and constructions and tie in with existing systems.
b. Responsibility: This is the responsibility of the customer or their contracted Engineering,
Procurement and Construction (EPC) Company or Contractor. CEC does not fulfill this role,
nor do we train, contract or endorse our Authorized Sales and/or Aftermarket
Representatives to fulfill this function.

2. Equipment Installation:
a. Definition: The placement or installation and of any equipment, supplied by CEC or
otherwise, including the connection of gas and electricity lines to the equipment.
b. Responsibility: This is the responsibility of the customer or their contracted Engineering,
Procurement and Construction (EPC) Company or Contractor. CEC does not fulfill this role,
nor do we train, contract or endorse our Authorized Sales and/or Aftermarket
Representatives to fulfill this function.

3. Commissioning:
a. Definition: The authorized bringing of the connected equipment components to working
condition. The working conditions for each component are defined in the specification in
this proposal.
b. Responsibility: This is the responsibility of CEC directly. CEC will deploy its own Master
Technicians, or contract its qualified Authorized Aftermarket Representatives to fulfill this
function.

4. Compressor Maintenance and Rebuilds:


a. Definition: Services provided to preserve the working condition of the equipment, after
successful commissioning.
b. Responsibility: This is the responsibility of the client to establish a maintenance
agreement with CEC or its qualified Authorized Aftermarket Representatives. With this
maintenance agreement in place, CEC will deploy its own Technicians, or contract its
qualified Authorized Aftermarket Representatives to fulfill this function.

1.5.2 COMMISSIONING
Commissioning of all CEC equipment by authorized CEC technicians is a crucial step to ensuring proper
installation, start-up, operation, and system safety. This process provides an opportunity to demonstrate
system performance and provide basic system orientation and training to the customer, and is a
requirement to initiate warranty coverage and validity. CEC technicians will verify equipment has been
installed and commissioned correctly.

The cost of commissioning, if Quoted, is based on one technician working 8 hours per day with 5 days
included on the quotation. Extended stay if necessary will be charged separately at $1750 USD/Day for
working days. The Quotation does not include flight cost or accommodation; either can be managed by the
client or by CEC at expense plus 10%. If full inclusive quotation is required this will be supplied separately
by your Local Channel Partner

Completion of the Station Readiness Checklist Document is mandatory.

1.5.2.1 Commissioning Terms and Conditions

• Scope of commissioning is limited to start up and technical performance of the CEC supplied
equipment following CEC standards.
• Local Compliances that may be required are not included on the proposal and will be quoted as
Time and Materials.
• Not working days caused by delays at site readiness will be charged at the included extended stay
plus $250 USD; after three days of delays CEC has the capability of suspending the commissioning
and rescheduling upon readiness of the site and availability of personnel
• For all flights with more than 9 hours single lag, business class ticket fare applies; any tool
transportation cost will be covered by client
• Hotel must be at least 4 star and include Internet, Breakfast and Laundry.

Site layout design

Civil work such as pits and foundations for the installation of equipment described in this offer

Permitting and local regulatory approvals


Materials and assembly work for electric connection between the electrical supply line and other
station users. Voltage stabilizer for electronic natural gas dispensers if needed
Electrical power transforming station and electric power distribution panels of the filling station

First filling liquids (oil, water, glycol …)


Possible certifications or declarations issued by authorized technicians that may be required by
the relevant authorities
Connection to public services, including any fees or physical requirements necessary to such
connections
Inlet gas measurement system

Connection from gas company inlet point to the inlet measurement system

Equipment installation
Site installation material including but not limited to piping and cables for connection of
compressors to the dispensers, connection cabling from each compressor electrical control panel
to the station power distribution panel, and connection cabling from each electrical control panel
to its compressor.

1.7.1 EQUIPMENT SCOPE


1. This proposal is limited in scope to equipment only. System performances have been calculated
based on proper installation of the equipment as defined by CEC. Calculations are indicative and
non-binding.

2. Equipment is manufactured and tested to the codes and standards listed in this proposal. Beyond
those explicitly listed, CEC will not be liable for meeting, either in design, manufacture, testing,
operation or overall performance including warranty, codes and standards specific to the client or
site of operation.

1.7.3 NOISE

• Sound measurement results are considered approximate and specific to the CEC factory
measurement location. They may vary due to acoustic variables at the final installation site. CEC
is not responsible for sound measurement results at the installation site. Any site specific sound
abatement requirements are the responsibility of the client.

• Sound measurement is done in accordance with ANSI/AHRI 575.

3.5.6. Damage caused by unauthorized personnel performing start‐up, running, 
alteration, and/or maintenance operations; 
3.5.7. Damage from operating the Equipment in a fault or alarm condition without 
written approval from IMW; 
3.5.8. Parts with short shelf life; 
3.5.9. Damage resulting from Buyer’s non‐compliance with applicable codes and 
safety rules, including (but not limited to) NFPA 52, 70, ASME BPVC VIII, 
ASME B31.3, CSA B51, NTP111.019; or 
3.5.10. Damage resulting from site construction (including, but not limited to, 
changes made to the Equipment or Spare Part based on the requirements 
of the Authorities Having Jurisdiction (AHJs)); 
(collectively, the “Excluded Actions”). 

4. LIMITATION OF LIABILITY 

THE  WARRANTIES  SET  FORTH  IN  THIS  DOCUMENT  ARE  BUYER’S  SOLE  AND  EXCLUSIVE 
WARRANTIES.  IMW  MAKES  NO  OTHER  WARRANTIES  OF  ANY  KIND,  EXPRESS  OR  IMPLIED, 
INCLUDING  WITHOUT  LIMITATION,  ANY  WARRANTY  OF  MERCHANTABILITY  OR  FITNESS  FOR 
PURPOSE. THE REMEDIES SET FORTH HEREIN ARE EXCLUSIVE. UNDER NO CIRCUMSTANCES, AND 
IN  NO  EVENT,  WILL  IMW,  INCLUDING  ANY  OF  ITS  DIRECT  AND  INDIRECT  SUBSIDIARIES  AND 
AFFILIATES, BE LIABLE TO BUYER OR ANY OTHER PERSON OR ENTITY FOR PERSONAL INJURY OR 
PROPERTY  DAMAGE  OR  ANY  OTHER  LOSS,  DAMAGE,  COST  OF  REPAIRS  OR  INCIDENTAL, 
PUNITIVE,  SPECIAL,  CONSEQUENTIAL,  DIRECT,  INDIRECT,  EXEMPLARY,  COMPENSATORY  OR 
LIQUIDATED  DAMAGES  OF  ANY  KIND,  INCLUDING,  WITHOUT  LIMITATION,  COSTS,  LOST 
REVENUES OR LOST PROFITS, WHETHER BASED UPON WARRANTY, CONTRACT, STRICT LIABILITY, 
NEGLIGENCE, TORT LIABILITY, OR ANY OTHER CAUSE OF ACTION ARISING IN CONNECTION WITH 
THE DELIVERY, DESIGN, MANUFACTURE, SALE, TRANSPORTATION, INSTALLATION, USE, FAILURE, 
REPAIR  OR  REPLACEMENT  OF  ANY  EQUIPMENT  OR  SPARE  PART  SOLD  BY  IMW  OR  FOR  ANY 
OTHER  CAUSE  WHATSOEVER.  BY  ACCEPTING  DELIVERY  OF  THE  EQUIPMENT  OR  SPARE  PART 
SOLD  TO  BUYER,  BUYER  HEREBY  (1)  ACCEPTS  THIS  LIMITATION  OF  REMEDIES  AS  REASONABLE 
AND ENFORCEABLE AND (2) EXPRESSLY ACKNOWLEDGES AND AGREES THAT IMW’S (INCLUDING 
ITS DIRECT AND INDIRECT SUBSIDIARIES AND AFFILIATES) AGGREGATE LIABILITY, IF ANY, SHALL 
BE LIMITED TO, AT IMW’S OPTION, THE COST OF REPAIR OR REPLACEMENT OF THE APPLICABLE 
PART(S) OR MATERIAL(S), OR, IN LIEU OF SUCH REPAIR OR REPLACEMENT, AT IMW’S OPTION, A 
REFUND OF THE NET SALES PRICE OF THE APPLICABLE EQUIPMENT OR SPARE PART. EXCEPT AS 
EXPRESSLY  SET  FORTH  HEREIN,  ALL  EQUIPMENT  AND/OR  SPARE  PART  AND  /  OR  SERVICES

entitled to obtain injunctive relief against any violation or threatened violation of the terms of this 
Section 15. 

The Customer shall at all times defend, indemnify and hold harmless IMW, its officers and 
employees from and against any loss, cost, damage or expense and from and against any claims of 
any kind, including any suits or judgments, whether brought in contract or tort or in law or in 
equity, by any third party alleging that IMW is liable to said third party, including, without 
limitation, any customer or potential customer, in any way whatsoever by reason of the 
Customer’s breach or alleged breach of this Section. 

Conflicts of Interest: 

The Customer represents that it is free to enter into this Proposal, and that this engagement does 
not violate the terms of any agreement between the Customer and any third party. Further, the 
Customer, in rendering its duties shall not utilize any invention, discovery, development, 
improvement, innovation, or trade secret in which it does not have a proprietary interest. 

General Provisions: 

This Proposal shall be interpreted in accordance with and governed by the laws of the Province of 
British Columbia and Canada. Any and all claims or actions arising out of the terms of or relating to 
this Proposal shall be filed in and heard by the courts with jurisdiction to hear such suits located in 
the Province of British Columbia, Canada and each Party consents to the jurisdiction of such courts 
and irrevocably waives any objections thereto. If any provision of this Proposal is found by a court 
to be illegal or unenforceable, the provision in question will be considered deleted and other 
provisions of this Proposal shall remain valid and enforceable to the fullest extent permitted by 
law, but only if, and to the extent, such enforcement would not materially and adversely alter the 
Parties’ essential objectives as expressed herein. If either Party shall overlook, excuse, condone or 
suffer any default, breach or non‐observance by the other Party of any obligation hereunder, this 
shall not operate as a waiver of the obligation in respect to any continuing or subsequent default, 
breach or non‐observance, and no such waiver shall be implied but shall only be effective if in writing. 

In performing its obligations under this Proposal, each Party shall comply with all applicable laws 
and regulations (except to the extent that such compliance would itself constitute a violation of 
applicable laws) and neither Party shall take any action on behalf of the other that would cause the 
other to be in violation of applicable law. Each Party shall conduct its dealing with the other Party 
and with IMW’s customers and potential customers in a manner consistent with the highest ethical 
standards of business conduct. Without limiting the generality of the foregoing, each Party agrees 
not to make, directly or indirectly, any offer, payment, promise to pay or authorization of the 
payment of any money, gift or other thing of value to any person who is an official, agent, 
employee or representative of any government or political party or to any other person while 
knowing or having reason to know that all or any portion of such money, gift or other thing of value 
would or will be offered, given or promised, directly or indirectly, to any such official, agent, 
employee, representative or person. 

Simultaneously with the execution of this Proposal, the Customer shall execute the Foreign Corrupt 
Practices Act Policy Certification of Third Parties and Intermediaries. The terms and conditions of 
the FCPA Certification are hereby incorporated into this Agreement by reference and shall remain 
in full force and effect during the Term of this Proposal. 

The terms of this Proposal shall be held in strictest confidence by both Parties provided, however, 
that either Party may disclose such terms to (a) its attorneys and accountants who are obligated 
not to disclose them to others and (b) appropriate authorities pursuant to a valid subpoena or 
judicial order. 

No agency, partnership, or joint venture is created by this Proposal, unless otherwise agreed. 

Where any provision herein allows IMW unilaterally to make a decision or take an action, unless 
otherwise provided in such provision, IMW shall be entitled to make such decision or take such 
action in its sole and absolute discretion. 

The headings used in this Proposal are for ease of reference only and shall not be considered in the 
interpretation of the terms and conditions contained herein. 

Although the masculine gender is used in pronouns throughout this Proposal, these shall also be 
interpreted to include females and corporations where applicable. 

It is agreed by the Parties that this Proposal and the attached exhibits, incorporated by reference 
herein, shall contain the entire understanding between the Parties and shall supersede such 
previous correspondence and shall be the only document to govern their relationship.

I. SCOPE

IMW Industries Ltd. (dBA Clean Energy Compression) manufactures its machinery, fittings,
components and assemblies to the highest standards of the industry. Our Engineering and
Quality Control Departments work together to ensure that material, material handling,
manufacturing procedures and test procedures comply with each applicable standard, ensuring

We are certified as a pressure fitting manufacturer by the Province of British Columbia Safety
