2. Question One (1) is COMPULSORY and carries 40 marks. Questions in Section B carry
20 marks each.

SECTION A
(This Section is Compulsory)
QUESTION 1
You are an entrepreneur in the health sector in Zimbabwe. The current pandemic
has opened myriad opportunities for business growth and individual social
development in various ways. You want to diversify from the present line of
business to go into procurement and delivery of personal protection clothing for
public and private entities in Harare. You need to open a close corporation
company with one or two partners so that management and market survey and
capital are well taken care of.
REQUIRED:
Draft a Memorandum of Corporation (MoC) to be delivered to the Institute of
Intellectual Property and Companies Commission showing among other aspects:
Justification of the business you are getting into, including gaps that you have
identified.
Special provisions concerning your line of business.
Names of directors in the new company and their strengths in view of the
company’s needs.
Date of commencement.
Envisaged period of business.
Physical location of Offices.
Hours of business.
Authority to get into and signing contracts (State the cap for such authority.
For example, for contracts of up to RTGS500 000 need no board approval;
whereas any bigger amount needs special board approval).
Specify the actual PPCs your company envisages working on.
Contribution to national efforts in the fight against COVID-19.

QUESTION 2
Read the passage that follows and structure it into a meaningful report by the
Procurement Department that you head for the briefing of the management at
the next internal management meeting. You must also correct every grammatical
mistake so as to make the report grammatically correct:

The Report:
The procurement department continues doing the best that it can to obtain a
reasonably priced block of apartments for the present workforce coming from
outside the resident town of the headoffice it has not been easyat all especially
in the current economically unstable and toxic environment management may
want to know that in our latest efforts with an estate management firm that we
shall not name the valuation officer promised us the first option of refusal for
some named embassy lease and eventual sale of their premises if we deposited
some undisclosed greenback into his personal offshore account with one of the
leading international banks. Fraud and unjust enrichment have never been part
of our organizational culture and practice. We are aware of the expectations of
both management and stokeholders and stakeholders alike we are striving to be
ethical in all our business dealings contracts and transactions so that the
company gets the best out of our bargaining expertise conscious that all dealings
and contracts must be conducted professionally always The company rules and
business ethics cannot be bent at whim to suitindividuals fleeting interests and
privatepursuits. We would like to let management know that we have pending
promises that we are following up. Nonetheless should there be any change in
terms of policy regarding the manner in which we are doing business we would
be glad to be guided and enforce the same in the best interest of the
organization Where enforcement would undermine the organisations interests
and where the department is induced to act fraudulently we are ready to accept
correction and admonition in the interest of exceptional fairness.

Using your own experiences at ZITF, write a memorandum to the Chamber of
Commerce and Industry advising its president on what can be done to enhance
the ease of doing business in Zimbabwe. (20 marks)
