Service Contract 3rd May, 2022

1. Elevate Health Ltd (“The Company") and 2. Josh Fletcher (“The Contractor")

WHEREAS

Elevate Health Ltd “The Company” has agreed to appoint Josh Fletcher “The Contractor” to provide
their services to the Company’s client, Mako Europe Ltd (“The Client”); The Contractor has agreed
to provide the said services on the terms hereinafter set out.

IT IS AGREED as follows:

The Company engages The Contractor with effect from 3rd May 2022.

Subject to the following terms the said appointment shall exist until the Company no longer requires
the services of the Contractor for the Client.

1. The Contractor has accepted the said appointment in consideration of payments to be made to
them by the Company. The Contractor shall be paid £650 for the work delivered on the following
date:

2. The Contractor will be paid by direct bank transfer into their account within 30 days of
delivery of the session.

3. Payment will be only made under the terms of Clause 2 upon receipt of an invoice clearly
detailing the Company details. It is the responsibility of the Contractor to provide up to date bank
details. Invoices will be paid within 30 days of receipt.

4. Should the work undertaken within a day take longer than the specified time the Company
will not pay the Contractor for any additional hours spent with the Client outside this period, unless
agreed prior to the day with the Company.
5. The Contractor is responsible for all travel and subsistence costs required to undertake a
service and no additional costs will be paid without prior written agreement of the Company.

6. The Contractor should wear what they consider appropriate and professional when
representing the Company.

7. The Contractor must not discriminate against the Client or the Client’s employees on the
basis of sex, disability, religion, age or ethnicity.

8. The Contractor shall not at any time actively approach or pursue any of the Company’s other
clients or the Client’s employees to provide services on a personal basis or on behalf of any other
company. Should any of the Company’s business be lost through a deliberate action or negligence
by the Contractor, the Contractor will be held liable to damages to the Company.

Clause 8 will not prohibit or limit the Contractor from advertising their website to the Client or the
Client’s employees, staff or agents.


9. Except as authorised by the Company or as required by the law, the Contractor undertakes that
he or she shall not disclose any of the information which the Contractor knew or ought
reasonably to have known to be confidential or commercially sensitive concerning the
organisation or affairs of the Company and its clients, and staff:
- whether during the period of this agreement or at anytime thereafter.
- use for his or her own or another's advantage or reveal to any other person,
firm or company.

10. The Contractor must keep all the Company information & data confidential.

11. The Contractor must give reasonable notice where they are unable to provide their services
so cover can be found. Reasonable time is taken to be a minimum of 72 hours, except in the case of
an emergency. 


12. Upon termination of the agreement for whatever reason:

i. The Contractor shall not at any time thereafter represent to any other party that he or she
is in any way connected with the Company.

13. The Company shall be entitled to give two weeks’ written notice to the Contractor to
terminate forthwith the agreement but without prejudice to the rights and remedies of the
Company for any breach of this agreement.

14. The Contractor is entitled to receive, and required to give, two weeks’ written notice to
terminate this agreement but without prejudice to the rights and remedies of the Contractor for any
breach of this agreement.
15. Should the Company no longer require the services of the Contractor, the Company shall be
entitled to terminate this agreement subject to the following charges being billable by the
Contractor:
 Cancellation more than 14 days prior to the event: any previously agreed travel costs
will be paid by the Company, provided the Contractor supplies the relevant receipts.
 Cancellation less than 14 days prior but more than 7 days prior to the event: the
Contractor shall be paid 25% of the agreed fee and any previously agreed travel costs
will be paid by the Company, provided the Contractor supplies the relevant receipts
 Cancellation 7 days or less prior to the event: the Contractor shall be paid 25% of the
agreed fee and any previously agreed travel costs will be paid by the Company,
provided the Contractor supplies the relevant receipts

16. The Contractor will maintain and produce evidence to the Company at his or her own
expense of adequate professional indemnity insurance cover in respect of his or her personal
liability. This will cover all claims arising out of any failure to carry out any obligations and / or in
respect of any negligence or any other failure whatsoever in relation to any assignment undertaken
under this agreement.

17. The Contractor will also ensure that they are licensed where required.

18. The parties hereto expressly agree that the Contractor provides the services as an
independent Contractor and should not be considered in any way or at any time to be an employee
of the Company. The Contractor hereby indemnifies the Company in respect of any claims that may
be made by the relevant authorities against the Company in respect of Income Tax or National
Insurance or similar contributions relating to the services of the Contractor hereunder.

19. This agreement shall be governed by and interpreted in accordance with English Law.

20. If any of the provisions of this agreement are found by a Court or other competent authority
to be void or unenforceable, such provisions shall be deemed to be deleted from this agreement and
the remaining provisions shall continue in full force and effect.
