AGREEMENT TO SELL

This Agreement to sell is made and executed at GREATER NOIDA on this __day of ______ 2022 be-
tween

(Hereinafter called the Seller).

AND

(Hereinafter called the Buyer).

(The expressions and words of the Seller and the Buyer shall mean and include their legal heirs, suc-
cessors, nominees, executors, administrators, legal representatives respectively).

 The SELLER and the BUYER are hereinafter collectively referred to as the “Parties” and individually
referred to as the “Party”.

 AND WHEREAS the Seller aforesaid is the actual owner/allottee of the property ie

ture Pvt. Ltd. Vide allotment letter dated ______________ (Hereinafter referred to as the property)
and no one else besides the Seller has any right, title or interest in the said property.

Whereas the Seller was allotted the above mentioned property by M/s Gaursons Hi-Tech Infrastruc-
ture Pvt. Ltd on the total Consideration of Rs. ___________________.

AND WHEREAS the Seller is/are desirous to sell the property to the Buyer for the total sale consider-
ation of Rs. _________________ (Rupees
___________________________________________________________________only), Inclusive of
BSP, PLC, ETC, PBC & GST. with  Seller and Buyers mutual consent and understood there are Com-
pany M/s Gaursons ___________ will not be responsible/concern about the increased/decreased
consideration amount of Property         

Note – other charges/Possession Charges as applicable will be over & above

NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER:

1. That the total sale consideration of the property has been settled to as Rs. _________ /-
(Rupees__________________________________________________________________only) in
between both the parties.

 2. That the Seller aforesaid has received a sum of Rs. _________ /-(Rupees__________________
________________________________________________only) from the Buyer in advance. The re-
ceipt of Seller hereby acknowledges the payment has been made in the following manner:-

3. That the remaining balance amount of Rs. ________________ (Rupees


_________________________________________________ only) shall be paid by the Buyer
to the Seller.

(a). That seller giving its consent to ________________________________ to trans-


fer the deposited amount of Rs. _____________into Buyer Account Ledger and
Seller Shall not claim anything from

4. That the Seller has paid the Rs.______________ out of Total Consideration of Flat
Rs.______________ and remaining amount of Rs. ____________ will be paid by buyer di-
rectly to _______________________________________and buyer will also pay the charges
towards stamp duty for registration at the time of possession as per the prevailing rates or any
other charges in terms of flat Buyer Agreement in respect of the above property.

5. That the Seller shall apply and obtain the permission for transfer from
___________________________________________________ in favor of the above said
Buyer his/her nominee(s) and shall execute the Transfer Deed/nomination deed within the
prescribed mentioned in the Transfer Memorandum.

6. That the SELLER declares and assures the BUYER that he is the sole, exclusive and ab-
solute Allottee of the said Flat and no one else besides the SELLER has any right, title, claim,
interest or concern whatsoever with the said property and the SELLER has full right and ab-
solute authority to transfer the title / sell the same to the BUYER. It is clearly understood be-
tween the parties that any other charges not mentioned above and demanded by the com-
pany in future shall be the sole responsibility of the BUYER and after the transfer/registration
of rights in their by the ________________________________________________ Pvt. Ltd.
To the SELLER shall not have any liabilities in respect of the above property.

7. That the SELLER hereby further undertakes to execute and sign all such papers, docu-
ments etc. whatsoever regarding the transfer of the ownership of the said Flat at the request
of the BUYER without any hesitation, demand and delay.

8. That the Buyer shall have the rights to get the Transfer Deed/nomination deed of the said
property  executed in his/her favor for which the Seller has got no objection.

9. That the Seller shall be liable to incur all the outstanding dues in all forms either tax, fees,
penalty, levy, duty, lease rent etc. and demands in respect of the said property to the date
hereof and that all future dues shall be paid by the Buyer,

10. That if the Seller fails/refuses to get the legal documents registered in favor of the Buyer
within the stipulated period i.e. ____ days, the Seller shall be liable to pay back double of the
advance amount.

11. That the Seller failing to perform or comply the stipulated contained herein, the Buyer
shall have the right to get the said transaction enforced after depositing the balance amount, if
any through court of law by SPECIFIC PERFORMANCE OF THE ACT at the risk, cost and
expenses of the Seller.

12. This Agreement constitutes the entire Agreement between the Parties and revokes and
supersedes all previous agreements, understandings or discussions between the Parties, if
any, concerning the matters covered herein whether written, oral or implied. The terms and
condition of this Agreement shall not be changed or modified except by the written amend-
ments duly agreed between the Parties.

13.  That the SELLER hereby declares and assures the BUYER that the said flat/property  is
free from all the charges, encumbrances, litigation, prior agreements, court decrees, injunc-
tions, stay orders, attachments, liens, mortgages, trusts, acquisitions, defects in title etc. Ei-
ther in present or past on seller part and if it is ever proved otherwise, the SELLER shall be li-
able and responsible for the same.

14.   That the SELLER covenants and assures the BUYER that he has not entered into any
agreement for sale regarding the said flat with anybody prior to this date and that this is the
first agreement, which the SELLER has entered into relating to the said Flat with the BUYER. 
It is also undertaken that the SELLER will not enter into any other Agreement / commitment or
transaction with any other person(s) in respect of the said property or act in any manner con-
trary to the terms of the said Flat Buyer’s Agreement which may adversely affect their interest
in the said Flat and shall keep the BUYER indemnified in all respects against all loses and
damages, if any, suffered by the BUYER. 

15.   That the Civil Courts at _____________ and/or Hon’ble High Court for the States of
___________________________ at ________________________ shall have jurisdiction in
all matters arising out of and/or concerning this transaction.

IN WITNESS WHEREOF, the said Parties hereto have signed this Agreement to Transfer on
