This Memorandum of Understanding (MOU) sets the terms and understanding between MOLD
& Co (the “Client”) and C.E.S. International (the “Supplier”) for Consultancy Services related to
the Tianjin Factory Construction Project (“GTB” Project).

The parties hereto agree as follows:

1. The Supplier shall provide a Project Management Plan (PMP) regarding the construction
of the new factory and the circumference arrangements in the Eco city of Tianjin. The
PMP must include a Corporate Social Responsibility strategy and consider environmental
regulations. The PMP must be submitted no later than 5:30 pm GMT, December 8th, 2022.

2. The Supplier shall provide a Specification Note regarding the Corporate Social
Responsibility policy during the construction and the lifetime of the factory, in order to
counsel the client in his talks with Tianjin Eco City Commission.

3. If the Tianjin Eco City Commission validates the GTB Project, the Supplier shall be the
Project Supervising Agent for the Construction Project.

4. The Supplier shall provide all documents that could be relevant to meet the requirements of
the Tianjin Eco City Construction Commission proposal concerning the construction of the
GTB Project.

5. The Presentation Meeting on December 9th, 2022 and all related meetings, once defined,
must be attended
6. This MOU shall come into force on the date first mentioned above and shall terminate when
any of the following events occur: i) when two months have elapsed since coming into force
of this MOU unless otherwise agreed upon extension thereof, or ii) when the GTB
Construction Project is awarded to another party.

IN WITNESS WHEREOF, the parties hereto have caused this MOU to be executed by their duly
authorized representatives as of the date and year first above written.
