Re: Retainer Agreement

Gentlemen:

I confirm my proposal to provide legal services for ProMedia Philippines (the

“Company”).

I understand that my scope of work shall include the following services: (a) legal
consultations; (b) research and preparation of memo on legal queries; (c) study and review of
simple legal documents; and (d) drafting of simple legal documents.

In consideration of the foregoing, I will bill you a total amount of Php12,000.00/month,

exclusive of all taxes, starting February 2019, payable on or before the 10 th day of the following
month. Further, I will bill an additional amount of Php2,000.00, exclusive of transportation and
other reasonable fees incurred, for every meeting attended within Metro Manila, subject to my
availability, in connection with the foregoing services.

This Agreement shall continue unless sooner terminated by your Company or the
undersigned.

Should you find the foregoing in order, kindly sign this letter to indicate your
Company’s acceptance. By signing this letter, you represent and warrant that you are duly
authorized by the Board of Directors to sign on behalf of the Company. I thank you for allowing
me the opportunity to assist you in this case.
