The User agrees to carry out sale of the Vehicle through OLX to its Channel Partners for the price set out herein ("Vehicle Price”), The User agrees thatthe Fees, as specified above, shall be deducted from the Vehicle Price. Such fees is a onetime payment by the User to OLX and such payment does not entitle the User for any further services, including any services or actions thatthe User needs in relation to the ‘managing or processing its hypothecation on the Vehicle. 2. The User will either receive the Vehicle Price in lumpsum or may receive initially a part ofthe Vehicle Price as token amount as mentionec herein, and the remaining amount in accordance with the OLX Policies (link below). User willbe liable for payment of all challans generated prior to OLX taking possession ofthe Vehicle 4. After the sale ofthe Vehicle by the OLX Channel Partner, the OLX Channel Partner will provide to the User, a proof of transfer in the name of the buyer or chassis plate as scrap proof in case Olx bought the Vehicle for sorappage.5. The User shall cooperate with OLX, the OLX Channel Partner any third party engaged by it and the final buyer of the Vehicle, including but not limited to, (a) for efectng transfer of Vehicle in the RTO records in the name of the final buyer. and if required by OLX, the OLX Channel Partner or the RTO, be present at the required date and time; (b) in relation to asserting any insurance claim for loss, damage or any other ibility in connection withthe Vehicle; and (c) obtaining no-objecton certificate from the authorities if the identified buyer resides in a state diferent from the state in which the Vehicle is registered (inter-state transfer); and (4) obtaining no-objection certificate and necessary documentation from financing authority in the event the Vehicle is under hypothecation, 8, The User agrees that payment for any claim on the insurance of the Vehicle shall be paid to OLX. If the insurance company makes payment of such a claim to the User or any other person, then the User shall forthwith pay the amount to OLX. The User agrees to transfer the existing Insurance policy tothe purchaser ofthe Vehicle and do all such acts necessary to affect such transfer. 7.1 the event thatthe User isnot registered as an owner in the RTO records, the User agrees to cooperate with OLX, the OLX Channel Partner and the third party engaged by it and the final buyer of the Vehicle for all the formalities required for effecting the transfer in the RTO records including formalities that may be required to be carried out by the registered owner. 8. In case, due to any reason transfer in RTO records cannot be afected, the User shall retum all amounts paid to him in return for the possessior ofthe Vehicle 9. In the event the User wants to avail any additional services provided by OLX, User agrees tothe price of such services set out in the OLX Policies. 410. The User represents that there is no loan, linked loan, charge or encumbrance on the Vehicle except as disclosed herein. In case, there is any loan, linked loan, charge or encumbrance on the Vehicle (such as hypothecation or encumbrance arising out ofa credit facility), the User agrees to cooperate in obtaining a foreclosure statement, NOC and signed Form 36, Ifthe bank for any reason refuses to provide no objection for transfer ofthe Vehicle, the User will immediately return all amounts paid by OLX and take possession of the Vehicle on an asis-where-is basis, “1. In the event any representation or warranty by the User is found to be inaccurate or the User breaches any term ofthis agreement, the User shall return all amounts paid to him in return forthe possession ofthe Vehicle on an asviswhere-is basis, 12. The User hereby agrees to indemnify, keep indemnified, defend and hold harmless OLX, its directors, employees and service providers from all loss, claims expenses, liabiliies or damages including legal fees arising in relation tothe Vehicle. In the event of any breach or mmistepresentation i the User fails to respond to OLX within a continuous period of 10 days or otherwise falls to perform this agreement, without prejudice to any rights available under this agreement or law, OLX has the option to sell the Vehicle at any price or otherwise discharge any liabilty on behalf of the User to secure the Vehicle, without any reference to the Seller User's liability towards OLX wil increase or diminish to the extent any amount paid by OLX in relation to the Vehicle or recovered by OLX as a result of sale ofthe Vehicle, respectively. 19, OLX will be responsible for any damage or loss tothe Vehicle, attributable to it after taking physical delivery ofthe Vehicle til he transfer is affected in the RTO records, subject to the terms herein. It is agreed that til the time actual physical possession of the Vehicle is handed over by the User to OLX, the User shall, (I) hold all payments received from OLX for such Vehicle in trust; (i) ensure thatthe Vehicle remains in the ‘same condition as it was atthe time of inspection by OLX; and (i) continue to be solely lable and responsible fr the Vehicle and any accidents, damage, loss, theft, destruction or harm tofrom it, and rectifying any such matters to the satisfaction of OLX. 14, User hereby gives consent to OLX and its service providers to, as per their discretion i) resell or scrap the Vehicle; (i) share the Vehicle and the User's details with prospective buyers; li lst, market, post classifieds and advertise the Vehicle online and / or ofne to prospective buyers; (iv) procure credit information, vehicular national registry details, unique identification details pertaining to the User and information regarding service history pertaining tothe Vehicle; and (iv) move, transport and deliver the Vehicle anywhere in India. and (jw) move, transport and deliver the Vehicle anywhere in India; (v) blacklist the Vehicle and take other actions at the RTO / Transport Department; (vi) take actions for the Vehicle atthe police, goverment departments, courts, and tribunal and (vi) contact the User to receive any OTPs, letters, notices shallans, and other documents related to the Vehicle 16.
