Official Rules

Binding Agreement
To enter the 2023 Payoneer Entrepreneurship Awards (the “Contest”), you must first agree to these Contest
rules (the “Rules”) and to be bound by the decision of Payoneer Inc. (“Payoneer”) which are final and binding
on all entrants. Therefore, please read the following rules prior to entry to ensure you understand and agree.
Submission of an entry to the Contest constitutes agreement to these Rules, and to Payoneer’s Privacy Policy.
You may not submit an entry to the Contest and are not eligible to receive the prizes described in the Rules un-
less you agree to the official Contest Rules. These Rules form a binding agreement between you and Payoneer
with respect to the Contest.

About Payoneer
Payoneer Inc., a Delaware corporation is a provider of payment processing services. Payoneer Inc. is a Money
Service Business (MSB) registered with FinCEN and is a licensed money transmitter under the laws of various
states in the United States of America.

Definitions
“Entrant” or “you”, shall refer to the person or entity enrolling the Contest and subject to these Rules and
following the “How to Enter” section below. “Payoneer”, shall mean Payoneer Inc. or any of its affiliates and/or
subsidiaries as applicable.

“Payoneer Terms and Conditions” are any applicable terms and conditions provided on the Payoneer website
which governs the products and services and any other features, and functionalities offered by Payoneer at
www.payoneer.com or through any other means.

Privacy Policy
To enable your participation in the Contest, Payoneer requests and stores personal information applicable to
you. If you choose not to provide this information, you may not be able to submit your participation to the Con-
test. The information you provide, and Payoneer’s use of it, is subject to Payoneer’s Privacy Policy. By accepting
these Rules, you will also be deemed to have read, understood and accepted our Privacy Policy.

Contest Period
Entries can be submitted from November 15th, 2022, (PST) until December 31st, 2022 at 11:59 pm (PST). No
entries after this time will be accepted or permitted.

Submitted Work Content

THE CONTENT OF ANY WORK SUBMITTED IN CONNECTION WITH THIS CONTEST SHOULD NOT BE OFFEN-
SIVE, FRAUDULENT, UNLAWFUL, LIBELOUS, DEFAMATORY, OR OTHERWISE OBJECTIONABLE AND SHOULD
NOT CONTAIN ANY EXTERNAL BRANDING, ILLEGAL, OBSCENE AND/OR OBJECTIONABLE MATERIALS,
INCLUDING NUDITY. ADDITIONALLY, THE CONTENT SHOULD NOT INFRINGE THIRD PARTY INTELLECUAL
PROPERTY RIGHTS AND IT SHALL NOT CONTAIN MATERIALS THAT CONTAIN ANY CONFIDENTIAL INFOR-
MATION OR COULD BE CONSIDERED INAPPROPRIATE, UNSUITABLE OR OFFENSIVE, AS DETERMINED BY
PAYONEER IN ITS SOLE DISCRETION.

Who Can Enter

The Contest is open to entrants (i) of ages 18 years and above, (ii) who are in good standing with Payoneer, and
(iii) who accepted these Rules. Employees of Payoneer are excluded from participation.

How to Enter
1. The entrant must go to The 2023 Payoneer Entrepreneurship Awards page and complete all requested
fields of the Contest entry form in its entirety. Once the entry is sent to Payoneer, it is final and may not be
modified, supplemented or edited.

2. The submitted content must be the original creation of the entrant, and should not infringe upon any
third party’s personal or proprietary rights (such as, but not limited to, intellectual property rights and/
or copyrighted content owned by others). The submitted content must not contain unreleased people or
property.

3. Payoneer is not responsible for lost, late, destroyed, incomplete, unreadable, corrupted, or misdirected
entries; internet malfunction; server unavailability; or computer or any other electronic or telecommuni-
cations malfunction. Similarly, Payoneer does not have any obligation to advise entrant of any late, de-
stroyed, corrupted, or otherwise incomplete entry.

4. Content submitted in the Contest cannot promote or contain any alcohol, illegal drugs, tobacco, firearms/
weapons, adult content or any activities that may be unsafe, dangerous, illegal or objectionable. Content
cannot be obscene or offensive, and cannot defame, misrepresent, or contain disparaging or slanderous
remarks about Payoneer, other people, products, or companies.

5. All Contest entries become the property of Payoneer upon submission.

6. Each entrant will bear all costs associated with entry to the Contest, if applicable.

7. By entering the Contest, the entrant agrees that Payoneer shall be entitled to use his/her content in any
way and/or format Payoneer may deem useful.

Elimination
Any false information provided within the context of the Contest by any entrant concerning identity, mailing
address, telephone number, email address, ownership of rights, or non- compliance with these Rules or the like
may result in the immediate elimination of the entrant from the Contest.

Winner Selection
Payoneer shall select 5 (five) winners in the Contest, as follows:

(i) “Eco Impact Business” – 1 winner

(ii) “Freelance Business” - 1 winner

(iii) “Disruptive Business” – 1 winner

(iv) “Socially Responsible Business” – 1 winner

(v) “Ecommerce Business” – 1 winner

The Payoneer Team will select the 5 winners according to the following criteria:

An inspirational business growth story exemplifying the entrepreneurial spirit and measurable accomplishments

A unique element that explains how you differentiate yourself in the market

The positive impact the business is causing in their community

Prizes
The winners and their businesses will be featured on Payoneer’s website, Payoneer’s official blog, official social
media channels and/or other media, online of offline events, in Payoneer’s sole discretion. The decision of Pay-
oneer will be final and binding with respect to the prizes, and no correspondence, objection, complaints, etc.
will be entertained in this regard.

Additionally, the winners who register with Kiva will receive lending credits to lend to other entrepreneurs as
listed on the Kiva platform until February 28th, 2026 in accordance with Kiva’s Terms of Use Agreement, found
at https://www.kiva.org/legal/terms, as may be updated from time to time. The amount of the lending credits
shall be in Payoneer’s discretion. The lending credits and repayments shall remain in the Kiva environment and
you may not redeem them outside of the Kiva platform.

For the avoidance of doubt, Payoneer will not financially compensate entrants for the submitted content and/or
any sales or any other benefits made off the submitted content or its derivatives.

Winner Notification
Winners will be contacted by email. Winners must show a picture identification ID to be recognized and receive
the prize. Payoneer reserves the right to examine additional identification and may choose to accept or deny
awarding the prize based on the identification presented. Winners must use the award title in a reasonable
manner, as determined by Payoneer in its sole discretion.

Waiver and Release

1. By participating in the Contest, each entrant waives any and all claims of liability against Payoneer, and its
employees and agents, their respective employees and agents, for any personal injury or loss whatsoev-
er that may occur from the conduct of, or participation in, the Contest, or from the use of the prize, and
agrees to be bound by these Rules.

2. Payoneer is not liable for any lost or stolen submitted content, prizes or Contest information.

3. Entrant authorizes Payoneer, without additional compensation, to use his/her name, the name of their
business, likeness, picture, place of residence, and/or any submitted content, in whole or in part, world-
wide, in perpetuity, for any purpose, including for promotion and/or advertising purposes, in any man-
ner and any medium (including, without limitation, on Payoneer’s Facebook page, Payoneer’s website,
Payoneer’s blog, radio broadcasts; newspapers and other publications; television or film releases; slides;
videotape; distribution over the internet, promotion on official social media channels such as Facebook,
LinkedIn, Twitter, Instagram, and WeChat and on any other medium that Payoneer deems appropriate,
except where prohibited by law.

4. Additionally, each potential winner may be required to provide an Affidavit of Eligibility/Liability/Publicity

Release within five (5) days after Payoneer’s first attempted winner notification.

5. Payoneer may, at its sole discretion, disqualify any potential winner, and may select an alternate winner
from among the remaining eligible entries, if potential winner fails to respond to the first attempted
winner notification within five (5) days, if any attempted winner notification is returned as undeliverable,
if potential winner fails to provide any required additional information or documents requested by Pay-
oneer, including but not limited to failure to execute and return an Affidavit of Eligibility/Liability/Publicity
Release within five (5) days after the first attempted winner notification, or for any other non-compliance
with the Rules.

Insurance
1. Winners will bear all charges on account of registration, insurance, or any other government levies in
relation to the prizes.

2. Winners shall also bear any compliance, and third party claims that may arise from the prize offered.

Taxes
1. Winners are solely responsible for any applicable and unspecified expenses in conjunction with accep-
tance/use of a prize, including federal, provincial, state and local taxes including withholding tax, Goods
and Service Tax or any other taxes applicable directly or indirectly) now or hereafter levied or imposed
by the government authority resulting from this contest. All federal, state/provincial and/or local income
and other taxes, if any, are the winner’s sole responsibility. All winners are responsible for providing Pay-
oneer with all documents and information necessary for Payoneer to comply with any applicable tax laws,
and failure to do so within five (5) days of Payoneer’s first request for these may result in disqualification.

2. You shall also be responsible for any other compliance that may arise from the prize offered.

Representations and Warranties and Intellectual Property Rights

1. By submitting an entry, entrant thereby grants to Payoneer and its affiliates, subsidiaries, licensees and
assigns, all intellectual property rights, including but not limited to, copyright in the submitted content,
and waives any and all moral rights therein. Accordingly, you expressly assign to Payoneer the copyright
in the submitted work. Payoneer shall have an irrevocable, perpetual, royalty-free right to the extent
permitted by applicable law, unlimited right to use, exploit, reproduce, edit, print, sell, display, transmit,
prepare derivative works of, modify, publish, distribute and otherwise make use of the submitted work or
other information in any and all media, whether now known or hereinafter created, throughout the world
and for any purpose. You shall not exercise the moral rights with respect to the entry. In addition to other
things, the rights granted to Payoneer include, but are not limited to, the right to resize, crop, compress,
edit, feature, caption, affix logos to, print, sell, create logos from, and to otherwise alter or make use of the
submitted work.

1. By submitting an entry, each entrant thereby represents and warrants that (a) he owns or has permission
to use the submitted work and (b) that the submitted work (1) is the original creation of the entrant and
(A) has not been previously published, released, distributed, or otherwise exploited in any form and to
anyone and that you will not offer or display it outside of the Contest; (B) has not won any previous award;
and (C) is not the subject of any actual or threatened litigation or claim; (2) does not infringe on any rights
of privacy or publicity of any person, or any third-party personal or proprietary rights or other rights of any
third party (including, without limitation, intellectual property rights and/or copyrights) or violate applica-
ble laws or regulations, and (3) does not contain unreleased people or property (and in the event that the
submitted work has contains identifiable individual person, you have consent of each and every identifi-
able individual person).

2. Entrants acknowledge and agree that Payoneer should have no obligation to post, display, use, or other-
wise make publicly available any work submitted by the entrant, and may, in its sole discretion, remove,
edit, modify, or delete any work that the entrant submits.

Additional Rules
1. Payoneer cannot be held responsible for the performance of the loans, repayments repayment rates, risk
loss, dysfunctionalities, or any other claim in connection with the Kiva platform.

2. By participating in the Contest, you hereby irrevocably and unconditionally consent to these Rules of the
Contest and the decisions of Payoneer judges.

3. This Contest may not be clubbed with any other prevailing promotions and offers as may be offered by on
or behalf of Payoneer from time to time.

4. Payoneer reserves the right, in its sole discretion, to modify, withdraw, suspend, or terminate this Contest
or change these Rules without any prior notice of the same, at its sole discretion at any time without prior
notice.

5. If it comes to the notice of Payoneer that any governmental, statutory or regulatory compliances or ap-
provals are required for conducting the Contest or if it comes to the notice of Payoneer that conduct of
any the Contest or any part of it is prohibited, then Payoneer may withdraw and / or cancel such Contest
without prior notice to any you. You agree not to make any claim in respect of such cancellation or with-
drawal of the Contest in any manner.

6. Payoneer may, at its sole and absolute discretion disqualify any entrant from the Contest and reserves the
right to withhold, forfeit or refuse to award the benefits of the Contest (including any prizes) to an entrant

(i) in the event that Payoneer determines in its sole and absolute discretion or reasonably believes that
the entrant infringes upon or violates the rights of any third party, any applicable law or does not
comply with these Rules or the Payoneer Terms and Conditions,

(ii) if such entrant engages in or is found that to be engaged in any illegal, unlawful or improper conduct
(with regard to any of the Contest or otherwise), or

(iii) who is ineligible or has gained unfair advantage in participating in the Contest, or obtained winner
status using fraudulent means.

7. Payoneer will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning
the rules or the Contest and Payoneer decisions concerning such disputes shall be final. If the conduct or
outcome of the Contest is affected by human error, or by any mechanical, technical, electronic, communi-
cations, telephone, computer, hardware or software errors, malfunctions or failures of any kind, intentional
interference or any event beyond the control of Payoneer, Payoneer reserves the right to terminate this
Contest or make such other decisions regarding the outcome as Payoneer deems appropriate. All deci-
sions will be made by Payoneer and are final.

8. These Rules and the Contest are also subject to the Payoneer Terms and Conditions and any applicable
terms and conditions of the eligible entrant, which are incorporated herein by reference. Terms used but
not defined herein shall have the meanings ascribed to such terms in the applicable terms and conditions.

9. The failure of Payoneer to exercise or enforce any right or provision of these Rules shall not constitute a
waiver of such right or provision.

10. Payoneer is not responsible for lost, late, destroyed, incomplete, unreadable, corrupted, or misdirected
entries; printing errors; Internet malfunction; server unavailability; or computer or any other electronic or
telecommunications malfunction. Similarly, Payoneer does not have any obligation to advise entrant of
any late, destroyed, corrupted, or otherwise incomplete entry.

Waiver of Liability and

Agreement to Indemnify
By participating in the Contest, each entrant, its, his, her or their heirs, successors and assigns thereof
releases, discharges and covenants not to make a claim against Payoneer, its subsidiaries and affiliates,
licensees, employees, officers, directors, representatives, successors and assigns related in any way to the
Contest, the prizes (including the Kiva prize), the submitted work, the use, incorporation or exploitation of
the forgoing for any purpose described herein. Entrant waives and foregoes the right to seek injunctive
relief against anyone related in any way to the Contest, the submitted content or the use, incorporation, or
exploitation of any of the foregoing for any purpose described herein.

Entrant agrees to indemnify and hold harmless Payoneer from and against any liabilities, losses, claims,
demands, costs (including, without limitation, reasonable attorneys’ fees) and expenses arising in connec-
tion with any breach or alleged breach by entrant of any representation made in the entry and the submit-
ted work or by virtue of submitting the entry.

Disputes
Except where prohibited by any applicable law, each entrant agrees that: (1) any and all disputes, claims
and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved
individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall
be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest,
but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards
for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages

and any other damages, other than for actual out-of-pocket expenses incurred by the entrant due to Pay-
oneer’s breach of its obligations hereunder. All issues and questions concerning the construction, validity,
interpretation and enforceability of these Rules, or the rights and obligations of the entrant and Payoneer
in connection with these Rules, shall be governed by, and construed in accordance with, the laws of the
State of New York without giving effect to any choice of law or conflict of law rules.

Severability
In the event that any provision of these Rules is determined to be indefinite, invalid, unlawful, void or oth-
erwise unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by
applicable law, and the unenforceable portion shall be deemed to be severed from these Rules, such de-
termination shall not affect the validity and enforceability of any other remaining provisions of the Rules.

Force Majeure
Payoneer shall not be liable for any delay or failure to perform resulting from causes outside its reason-
able control, including but not limited to any failure to perform due to unforeseen circumstances or cause
beyond Payoneer’s’ control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military
authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation
facilities, fuel, energy, labour or materials.
