For cloud:

ask the question if the service is pay as you go (subscription based) or is there any
prepaid fee,
it has to be subscription based,
if it prepaid then under LOL we will limit our liability only to unused prepaid fee.
 
For license agreement
License grant should also include the term “fully paid-up” plus ask if the license
grant is restricted to a region or worldwide.
 
Ask if software support is being provided or not, if its provided then is there a
separate agreement for that, if not then that aspect needs to be accommodated
in the license agreement and accordingly the liability needs to limited to the
license fee and unused support fee.

Cloud:

Is the service Subscription based – Pay as you go service or prepaid service fee is there?

If the above is true we need to limit the LOL to Unused prepaid fee

License Agreement:

Need to include the term “fully paid-up”, is the license grant regional or world wide.

Software support:

Is software support is being provided? If yes is there a separate agreement for that? If no then the
aspects pertaining to software support should be included in the LOL accordingly and has to be limited
to license fee and unused support fee.
