 Important explanations:
Nahda Makers Organization's agricultural livelihood projects' services aims to provide agricultural livelihood services
in the maize and livestock sectors through the use of market-based approaches in Hadramaut governorate (Yemen),
which aims to improve access and use of sorghum seeds, good agricultural practices, harvesting and storage
practices for vulnerable and marginalized arms and their families in targeted areas.

In this tender, Nahda Makers Organization seeks to find suppliers who have sufficient capacity to supply agricultural
items mentioned in the tender documents, and the guidance notes document is considered to be among the tender
documents and is a general explanation for requiring suppliers to operate with water and to take into account the
appropriate specifications of the local market and recognized by the relevant local authorities in the targeted areas.
1- Hadramout Valley sorghum crop:
Corn seeds are supplied according to the quantities mentioned in the tender documents can be increased or
decreased according to the confirmation of the Agriculture Office and the price offers attached by you, the
item to be purchased and distributed corn seeds type (Abu Ali), and is required to be from the local markets
of the valley districts where the target districts in the project Trim and Sayoon districts. A sample is brought
and examined by the research Sayoun center and validated its validity and safety for supply and the items
before receipt will be subject to inspection and ensure their safety.

Conditions:
1- The appropriate category according to the agricultural season to be targeted by farmers is the category (Abu
Ali)
2- The crop should be from the previous year's crop provided it is a winter lug.
3- The seeds should be pure and grass-free and should not increase the grass content by 1% or 2%.
4- To be from the local market.

2- Feed cubes:
They are lick cubes containing (urea a-molasses- agricultural residues - vitamins) minerals and is used as a
method of nutrition to provide both the microbes of the carsh and animals with many nutrients that he needs
that may not be lost in feed.

3- The most important conditions to be met in feed cubes

1- The material is well distributed through the mold
2- He doesn't have lumps of urea.
3- To be a little solid.
4- Resistant to break when someone stands on it.
5- The hands should feel the viscosity of molasses when it holds the cube.

4- Salt molds

These are molds of a mixture of a set of large elements and a set of small or rare elements in addition to table salt
and some additives and carriers that are not harmful to animals, which help to keep the mixture in a coherent
form, which helps the animal to lick when needed without any health damage and these elements must be
balanced.

5- PPR vaccines (small ruminant plague vaccine)

PPR is a small ruminant plague vaccine, a 100°C package that covers 100 sheep and is preserved at a
temperature of 10-25 °C, and is recommended for excellent and reliable industry in this regard and is
considered reliable and approved by the relevant authorities.
6- PPR Vaccines (Radical Sheep Vaccine) Pox

Radical Sheep Vaccine (Sheep and goats pox) is a 100C package covering 100 sheep (recorded above the pox can
of radical sheep vaccine) and preserved at a temperature of 20, as recommended for excellent and reliable
industry in this aspect which is known and approved by the concerned authorities.

7- Agricultural tools:

Supply of agricultural tools used in agricultural operations in the targeted areas (Shrim /Sickle number 2 per
family + hand shovel number 1 per family + wooden hand prospector number 1 per target family in the project
described in the tender documents 140 families.

The most important conditions to be met in the tools:

- Be new and sound tools free of any defect or decay or break

- To be matched according to the required specifications accepted by the community

The methodology of supply and purchase of sponsoring crops and other items described in the tender
documents mentioned earlier:

The project is interested in strengthening the capacity of local markets. The project is being implemented using
the based approach on the local market by choosing to manage the purchase process from the local market and
selecting retail suppliers and agreeing with them in the provision of specific agricultural and animal items
through the distribution of vouchers to beneficiaries and directing beneficiaries to the agreed markets to
receive agricultural items to be received described in the offer of price, or identifying specific points by the
supplier so that they are close and secure and we are likely in this project to Retail stores are made to enhance
the capabilities of the local market and not distribution points or warehouses for the supplier, so the supplier is
required to provide the appropriate methodology according to the ability and experience of the supplier in
dealing with the supply and procurement process in this project and the appropriate decision will be made

A certificate of the tender ratification
This document must be signed and stamped
by the bidder and submitted with the bid in
a stamped envelope.
1.Upon the instructions and terms of this tender
(Annex B), we, the undersigned, serve our offer
to carry out all required works at the prices
listed in the specifications and quantities tables
of Nahda Makers Organization.
2.We accept the terms and regulations which
mentioned in the tender's instructions and terms
(Annex B and C). The following requirements
have been noted and will be implemented as
follows:
A. We confirm that any offer submitted to a
destination or location that not agreed upon this
tender, Nahda Makers Organization has the
right to ignore the offer.
B.Conditional tender will not be accepted.
C. The bid currency shall be in USD
D. Nahda Makers Organization have the right
to:
1.Reject any or all bids and / or conclude
contract with other than who has given a lower
bid.
2.Notify the winning bidders who will give
them the contracts by handing them an original
copy of the contract and a copy of the
ratification or they will be notified by e-mail or
phone contact.
3.Stop dealing with suppliers who do not have
full bank accounts and financial documents.
4.Stop dealing with suppliers who do not have a
valid and renewed tax card.
5. Exclude the winning bidder if he does not
bring the required guarantees before signing the
contract. A period of three days given, after
being informed with the required specifications.

6.Ownership of the required samples and
submitted by the service provider or the
commodity, either with the tender, or later,
according with the required specifications and
any failure to comply with this will result in
non-consideration of the tender.
7.The Bidder confirms that this offer is valid
for three months from the deadline of the
tender.
8. The bidder accept the terms and regulations
which mentioned in the general terms of Nahda
Makers Organization for purchasing (Goods),
services, and works (Annex c).
3.The bidder certifies that, within the three
years preceding this tender, he or his company
or institution has not participated in corrupt
practices, fraud, collusion, or coercive practices
in respect of competition for or in the execution
of any or all parts of this tender.
4.The bidder certifies that during the three
years preceding this tender, he or his company
or institution did not participate in any terrorist
acts or contribute to the financing of terrorism
and has not been sentenced before the courts or
judicial authorities in the country.
5.The bidder certifies that he represents his
company or foundation, and he has the legal
authority to represent it to Nahda Makers
Organization, and in case the authorization
given to Nahda Makers Organization is illegal
or does not complete the legal procedures,
Nahda Makers Organization has the right to
cancel the tender submitted by the bidder.
6.The Bidder acknowledges that any attempt
from his side to influence the Tender
Committee which responsible for the analysis
of the bids submitted will be excluded from the
suppliers and will not be accepted in the

Classifications of the contract: :‫تقسيم العقد‬

Nadah Makers organization (NMO) has the
right to divide / divide the tender / tender
into parts as needed if it deems necessary
and in the best interest of it.
Validity of duration:
Tenders must be valid for at least three
months from the validity date of the tender.
In case the bidder wants to extend the
validity of his offer for a specified period
beyond the minimum required, this must be
stated on the tender form. Nahda Makers
organization reserves the right to limit the
validity period for tenders in which the
validity period is not specified but not
exceeding three months from the closing
date of the tender.
Withdrawal / bids modification:

6-Conflict of Interest.

In case the bidder meets all the legal
requirements first, the second phase, the
technical evaluation of the tender, will be
turned to ensure that meets all the terms,
procedures and specifications specified in
the tender. If the tender does not comply
with technical terms and procedures, it will
be immediately excluded, and the financial
Committee will not open the financial
envelope and will return the envelope to the
supplier (bidder).

Supply and Quantity Table separately:
Financial offers will be opened from
separate financial committee to suppliers
who have won the second phase and who
obtained 50% to 70% of the technical
evaluation. An evaluation of the financial
offer will be given 30% of the average
bidder's prices.
Nahda Makers Organization (NMO) will
depend on the selection of the highest
degree of technical and financial. All
considerations that concern Nahda Makers
Organization will be taken into
consideration in terms of the general budget
of the project and any other considerations
that may arise before or after the opening.
Contracts / Tender costs preparation:
The Organization is not obliged to pay any
costs incurred by bidders for the preparation
of tender papers or bidding. The
Organization shall not bear any costs
incurred by the bidders in undertaking the
necessary studies for its preparation,
purchase or contract of services or
merchandise. The bidder does not
necessarily have a contractual relationship
with Nahda Makers Organization.
Written contracts will be concluded with the
winning bidder, which will be signed by the
authorized official of the organization.
The Organization may award contracts for
part of individual quantities or goods and
the Organization shall notify the winning

bidder of its decision regarding their bids as
soon as possible after the bids are opened
and the Organization reserves the right to
cancel the tender, and to reject any or all
bids in whole or in part.

Cancellation of the tender: ‫إلغاء المناقصة‬

In case of cancellation of the tender, the
bidders will be notified by the organization
by e-mail, fax or telephone. If the tender is
canceled prior to the opening of the external
envelope for any tender, the stamped
envelopes without opening them will be
returned to the bidders.
Tender may be canceled in case of:
• The tender has not complied with legal
requirements.
• Bids complying with legal
requirements have not received for
appropriate technical evaluation.
• Exceeding bids for available financial
resources.
• There was no response at all to the
tender.
• Financial or technical indicators of the
project may change drastically as
circumstances require or donor requests.
• Exceptional circumstances or force
majeure that make the normal
performance of the project impossible.

Under any circumstances the Nahda Makers
Organization (NMO) shall not be liable for
damages, of any nature (in particular for
loss of profits or any other financial, in-kind
or non-in-kind costs related to the
cancellation of the tender.

General terms for Service Contract
The Supplier accepts the following terms.
1. Legal situation
The supplier has the legal situation as an
independent supplier to Nahda Makers
Organization. Supplier's employees and sub-
suppliers shall not be considered as the
employees of Nahda Makers Organization.
2. Compliance with the law
The Supplier shall comply with all laws,
orders, rules and legislations when
implementing his obligations under the terms
of this contract.
The Supplier respects and abides by all local
laws and legislations in force in the country
and ensures that his elements, followers and
employees also respect and abide by all such
laws and regulations.
All contracts between the two parties shall be
governed and interpreted in accordance with
the laws of the Republic of Yemen without
any choice of law or conflict between the
provisions of the law.
3. Sub-contracting
In case that the supplier requests the services
of sub-suppliers, the supplier shall obtain the
prior written approval from Nahda Makers
Organization for all sub-suppliers and the
contract shall be deemed void in case do not
do that. Nahda Makers Organization shall not
exemption for a sub-supplier who supplied of
his obligations under this contract. The terms
of any sub-contract shall be governed by the
provisions of this contract.

‫يلتزم ال ُمورد بكل القوانين واألوامر والقواعد‬
.‫والتشريعات حين تنفيذ التزاماته بموجب بنود هذا العقد‬
‫يحترم ال ُمورد ويلتزم بكل القوانين والتشريعات المحلية‬
‫النافذة في الدولة ويضمن أن يحترم أيضا ً عناصره‬
‫وأتباعهم والموظفون كل تلك القوانين والتشريعات‬
.‫ويلتزموا بها‬
‫تُحكَم كل العقود المبرمة بين الفريقين وتُفسِّر وفقا ً لقوانين‬
‫الجمهورية اليمنية بدون تحقيق أي اختيار للقانون أو‬
.‫صراع بين أحكام القانون‬
‫التعاقد من الباطن‬.3
‫ على‬،‫في حال طلب ال ُمورد خدمات ُموردين من الباطن‬
ً ‫ال ُمورد أن يحصل على موافقة خطية مسبقة وترخيصا‬
‫من منظمة صناع النهضة على جميع الموردين من‬
‫ ال تعفي موافقة‬.‫الباطن ويعتبر العقد الغ في غير ذالك‬
‫منظمة صناع النهضة على ُمورد ما من الباطن ال ُمورد‬
‫ تخضع بنود أي‬،‫من أي من التزاماته بموجب هذا العقد‬
.‫عقد من الباطن ألحكام هذا العقد‬
4. Compensation
The Supplier shall indemnify and protect at
his own expense Nahda Makers Organization
and its employees, workers and users from
and against any and all prosecution, losses,
damages, claims and responsibilities no
matter its type, including their costs and
expenses comes from the actions or
negligence of the supplier, his employees , his
users or his sub-suppliers, in the execution of
this contract. This provision includes but is
not limited to claims and liability in workers'
compensation, responsibility for products,
responsibility arising from the use of patented
inventions or tools, or copyrighted materials,
or other intellectual property by the supplier,
his employees, his users or his sub-suppliers.
The obligations in this article shall not
canceled upon the termination or voiding this
contract.
5. Confidentiality
All parts of this Law, and all copies of this
Law, shall be returned to the Organization
and these tender documents are confidential
and it's property of the Organization, contain
confidential information, part of which may
be copyrighted, sent to and received by the
bidders on condition that do not copy for any
part of it. Or any information relating to it, its
presentation, or supply to a third party
without any approval written from the
Organization.
However, bidders can only offer
specifications to potential sub-contractors for
solicitation. Notwithstanding other provisions
of the tender, bidders will be bound by the
contents of this article whether or not their
companies submit a tender or reply by any
other way to this tender.

،‫ال ُمورد أو موظفيه أو مستخدميه أو مورديه من الباطن‬
‫ وال‬،‫ فيما يشمل‬،‫ يشمل هذا الحكم‬.‫في تنفيذ هذا العقد‬
‫يقتصر على الدعاوى والمسؤولية في طبيعة تعويض‬
‫ والمسؤولية الناجمة‬،‫ والمسؤولية عن المنتجات‬،‫العمال‬
‫ أو‬،‫عن استخدام اختراعات أو أدوات مرخصة ومسجلة‬
‫ أو غير ذلك من الملكية‬،‫مواد محمية بحقوق النشر‬
‫الفكرية من قبل المورد أو موظفيه أو مستخدميه أو‬
‫ ال تسقط االلتزامات في هذه المادة‬.‫مورديه من الباطن‬

‫ مرسلة إلى ومستلمة‬،‫منها قد تكون له حقوق طبع ونشر‬
‫من قبل مقدمي العطاء على شرط أال يتم نسخ أي جزء‬
‫ أو‬،‫ أو أي معلومات متعلقة فيه أو عرضها‬،‫منها‬
‫تزويدها لطرف آخر دون الحصول على موافقة خطية‬
‫ إال أن مقدمي العطاءات يمكنهم‬،‫مسبقة من المنظمة‬
‫عرض المواصفات لمقاولي الباطن المحتملين لغرض‬
‫ بصرف النظر عن‬.‫الحصول على العروض منها فقط‬
‫ سيكونون مقدمي العطاءات‬،‫أحكام أخرى من المناقصة‬
‫ملزمين بمحتويات هذه الفقرة سواء قامت شركاتهم أم لم‬
‫تقم بتقديم العطاء أو الرد بأي وسيلة أخرى لهذا‬

All maps, drawings, photographs, charts,
reports, recommendations, estimates,
documents and all other data collected or
received by the Supplier under this Contract
shall be property of Nahda Makers
Organization, shall be treated as confidential,
and shall be handed over only to the
authorized employees of Nahda Makers upon
completion of this contract.
The Supplier may not transmit at any time to
any other person, government or authority
outside Nahda Makers Organization any
information got it from his close work with
the Nahda Makers Organization which has
not been public only with a license from
Nahda Makers Organization; the Supplier
may not at any time use that information for
his own benefit. The obligations in this article
do not canceled upon the termination or
voiding this contract.
6. Collusive tender and anti-competitive
behavior
Bidders, their employees, officials,
consultants, or sub-suppliers shall not
perform any collusive offer, anti-competitive
behavior, or any other similar conduct in
respect of:
-Tender Preparation
- Clarification on tenders
-The contents of negotiations
-Including the negotiation of final contracts
7. Inappropriate help
Those tenders (According to the opinion of
Organization), are:
- With help of current or former staff
members of the Organization, or existing or
former suppliers of the Organization in
violation of confidentiality obligations or the
use of information not available to the public

‫ال يجوز لل ُمورد أن ينقل في أي وقت ألي شخص آخر‬
‫أو حكومة أو سلطة خارج منظمة صناع النهضة أية‬
‫معلومات حصل عليها بفعل عمله عن قرب مع منظمة‬
‫صناع النهضة والتي لم تُعلن للعموم إال بترخيص من‬
‫منظمة صناع النهضة؛ وال يجوز لل ُمورد في أي وقت أن‬
‫ ال تسقط هذه‬.‫يستخدم تلك المعلومات للمصلحة الخاصة‬
.‫االلتزامات عند فسخ هذا العقد أو انتهائه‬
‫ العطاء المتواطئ والسلوك المضاد للمنافسة‬.6
‫عدم قيام مقدمي العطاءات وموظفيهم ومسئوليهم‬
‫ أو الموردين الفرعيين من الباطن بأي‬،‫ومستشاريهم‬
‫عرض متواطئ أو سلوك مناهض للمنافسة أو أي سلوك‬

Contract. The Supplier agrees that a breach of
this provision is a breach of a major clause of
this Contract.
8.Conflict of interest
The Bidder shall ensure that his employees,
responsibility, consultants, agents, and sub-
suppliers shall not place themselves in a
position that may, may result in actual,
potential conflict or a sense of conflict of
interest between the interests of the
Organization and the Bidders.

‫خالل أي مرحلة من مراحل عملية الشراء أو تنفيذ أي‬
‫ أو يبدو من‬،‫عقد خاص بالمنظمة ينشأ تضارب المصالح‬
‫المنظمة كتابيا فورا محددا جميع التفاصيل ذات الصلة‬
‫ بما في ذلك تلك التي تتصارع فيها مصالح مقدم‬،‫بالحالة‬
‫ أو الحاالت التي تظهر فيها‬،‫العطاء مع مصالح المنظمة‬
‫مصلحة مع أي مسئول في المنظمة من أي نوع في‬
‫ يجب على مقدم العطاء اتخاذ‬، ‫مرتبطة مع مقدم العطاء‬
‫خطوات كما هي متطلبة للحل أو خالف ذلك التعامل مع‬

9. Force majeure
Force majeure, as used in this article, means
destiny, strikes, incapacitating closures or
other economic disturbances, acts of national
enemy, wars (both declared and undeclared),
siege, armed disobedience, riots, epidemics,
rockslides and earthquakes , Storms,
lightning, floods, soil erosions, civil
disturbances, explosions and any other
unforeseeable events are beyond the control
of the two teams.
In case of force majeure, as soon as possible
and not later than one week, the supplier shall
send to Nahda Makers Organization a written
notice of such incident or change including all
the details if the supplier becomes wholly or
partially unable to fulfill his obligations and
his responsibilities under this contract.
The Supplier shall notify Nahda Makers
Organization of any further changes in the
situation or of any inconsistent or threatening
incident inconsistent with his implementation
of this contract. Upon receipt of the
memorandum required under this Article,
Nahda Makers Organization shall take such
action as it deems appropriate or necessary in
the circumstances, including granting the
supplier a reasonable extension of time to
fulfill his contractual obligations.
If the Supplier becomes permanently unable,
in whole or in part, by force majeure, to fulfill
his obligations and his responsibilities under
this Contract, Nahda Makers Organization
shall have the right to suspend or terminate
this Contract in accordance with the same
terms that mentioned in Article 11
“Termination”, except that the duration of the
notice is seven (7) days instead of thirty (30).
Notwithstanding anything contrary with this
contract, the supplier acknowledges that the

‫ وفي أسرع‬،‫في حال حدوث أي سبب يشكل قوة قاهرة‬
‫ يتوجب على‬،‫ما يمكن وبما ال يتجاوز أسبوع واحد‬
‫ال ُمورد أن يرسل إلى منظمة صناع النهضة مذكرة‬
‫خطية عن تلك الحادثة أو التغيير تتضمن كل التفاصيل‬
‫ عن تنفيذ‬،ً‫ كليا ً أو جزئيا‬،ً‫إذا أصبح ال ُمورد عاجزا‬
‫ كما‬.‫التزاماته والوفاء بمسؤولياته بموجب هذا العقد‬
‫يتوجب على ال ُمورد أن يبلغ منظمة صناع النهضة عن‬
‫أية تغييرات أخرى في األوضاع أو عن وقوع أية حادثة‬
‫ عند‬.‫تتضارب أو تهدد أن تتضارب مع تنفيذه لهذا العقد‬
‫ تتخذ‬،‫استالم المذكرة المطلوبة بموجب هذه المادة‬
‫ وفق‬،‫منظمة صناع النهضة اإلجراء الذي تعتبره‬
‫ بما في ذلك‬،‫ مناسبا ً أو ضروريا ً في الظروف‬،‫تقديرها‬
.‫منح ال ُمورد تمديدا ً معقوالً للوقت لتنفيذ التزاماته العقدية‬
،ً‫ كليا ً أو جزئيا‬،‫إذا أصبح ال ُمورد عاجزا ً بصورة دائمة‬
‫ عن أداء التزاماته والوفاء‬،‫بسبب قوة قاهرة ما‬
‫ يحق لمنظمة صناع‬،‫بمسؤولياته بموجب هذا العقد‬
‫النهضة تعليق هذا العقد أو فسخه وفق نفس البنود‬

work and services can be carried out under
hard terms caused by civil unrest.
Accordingly, delays in execution or non-
execution due to incidents arising out of or in
connection with that civil unrest do not
constitute as a force majeure under this
contract.

10. Settlement of disputes ‫ تسوية الخالفات‬.10

The two Parties shall make every effort to
amicably settle any dispute, controversy or
claim arising out of or in connection with this
Contract, including any dispute concerning its
existence, legality or termination. When both
parties wish to seek such a friendly settlement
through conciliation.
Unless any dispute, controversy or claim
between the parties arising out of or relating
to this contract, violation, existence,
dissolution or illegality is settled amicably
under the preceding paragraph of this Article
within sixty (60) days after one of the parties
receives a request from the other. This
dispute, controversy or lawsuit is referred by
either party to arbitration. The place of
arbitration (Aden) in Arabic language.
The arbitral tribunal shall have no power to ً ‫ لن تتمتع محكمة التحكيم أيضا‬،‫صراحة على خالف ذلك‬

the arbitral tribunal shall also have no power
to rule on interest. The parties shall be bound
by any arbitral award rendered as a result of
such arbitration and as the final judicial award
of any such dispute, controversy or claim

 Conflict of Interest
The policy of the Nahda Makers Organization
requires that its employees, as well as bidders,
suppliers, contractors, subcontractors,
consultants and service providers, be of the
highest ethical standard and not have any
conflict of interest during the conduct of
contracting, supply and contract
implementation procedures. In line with the
principles and applicable standards applicable
in the organization in all its activities, a code
of conflict of interest has been issued in this
paper.
Goods, works (civil works) and non-
consulting services:
-1 The applicant for the tender or the offer
(the bidder)، whether he is a contractor,
supplier or contractor of consulting services,
is considered a conflict of interest in the
following cases:
A- Operations of supplying goods or
executing works or providing non-consulting
services directly or indirectly related to
advisory services implemented by him in the
preparation or implementation phase of the
project, or any services carried out by any
party affiliated with him or directly or
indirectly under his authority or to his
authority with others to participate. This
clause does not apply to companies
(consultants, contractors or suppliers) that
collectively carry out the contractor's
obligations under a turnkey contract or a
design and build contract.
