This includes all the benefits of the company. 4, Employment: During the term of your employment, either party may terminate the employment by giving to the other 30 working days’ notice in writing or payin lieu without assigning any reason thereof. However, the Company shall not be liable to give stich notice or pay in lieu thereof in case ‘you are found guilty of violating any of the terms & conditions of this Letter of Appointment or other documents and undertaking executed by you. 5, Fitness: In order to perform your duties towards the company, you are required to keep yourself in ‘200d health and fitness both physically and mentally. The company may subject you to medical checkup at regular intervals. If itis found on your medical checkup that you are not physically or mentally fitto perform your duties towards the company, your services willbe liable to be terminated. 6, Place of work: At present, your place of work will be at Chennai, However, you may be required to travel to various places as the company may require you to do for execution of various works of the company, At a future date, the company may transfer your job to such other places where the company may have its office, without affecting your terms of employment and emoluments thereon. Non-Disclosure Agreement: On the date of your joining the company, you will be required to sign 3 comprehensive non-disclosure, proprietary information, invention and non- compete agreement. Such accordingly survive termination of your employment, as also fully detailed in the said NDA. 8. Professionalism & Conduct: In course of your employment with the company, you are expected to exert high degree of professionalism in discharging your duties towards the company and in dealing with other employees of the company including your superiors. All your actions must be directed towards the best interests of the company. 9. Arbitration: All disputes arising out of this letter of appointment between you and the company shall be settled through arbitration under indian Arbitration and Coneiliation Act 1996, as amended from time to time, by the sole arbitrator to be appointed by the Managing Director of the Company at Chennai. The venue of Arbitration will be decided at thessole discretion of the Company. Courts at Chennai alone shall have exclusive jurisdiction. 10.
