Organizacién de Aviacién Civil Internacional ar Contrato No. 60667 para el Suministro de AMHS para AFTN para el wee Instituto Nacional de Acroniutica Civil de Venezuela, “EL INAC” en a Venezuela VIGESIMO QUINTA: Asignacién de Personal “EL CONTRATISTA” solamente asignaré el personal indicado en este Contrato para realizar trabajos en el campo. Si desea asignar més personal tendré que obtener la previa aprobacién por escrito de “LA. OACT". Antes de asignar cualquier otro personal para realizar trabajos en el campo, “EL CONTRATISTA” presentaré a “LA OACT’, para su consideracién, el curriculum vitae de cualquier persona que “EL CONTRATISTA” propone asignar para tal servicio. VIGESIMO SEXTA: Separacién de Personal 1, “EL CONTRATISTA” sustituird del campo a cualquier personal que haya proporeionado bajo este Contrato si recibe una solicitud debidamente justificado por escrito de “LA OACT” para tal efecto y reemplazara tal personal por otro que sea aceptable para “LA OACI”, si “LA OACT" o “EL INAC” asi lo solicita. 2. Tal solicitud de remover o reemplazar no se considerard como una rescisién de parte 0 de todo este Contrato bajo las provisiones de la cldusula cuadragésimo tereera (Rescisién). 3. “EL CONTRATISTA” deberé asumir todos tos gastos adicionales que resulten de la remocién reemplazo de algin empleado suyo por cualquier motivo. VIGESIMO SEPTIMA; Seguro de Accidente de Trabajo y Otros Seguros 1. “EL CONTRATISTA” proveeré y después mantendri un adecuado seguro de accidente de trabajo y otros seguros de responsabilidad civil para los empleados que han sido contratados en el extranjero y que no son ciudadanos de Venezuela, antes de que ellos viajen para ocupar puestos bajo este Contrato. Si recibe una solicitud a este respecto, “EL CONTRATISTA” le proporcionaré a “LA OACT’/"EL INAC™ pruebas satisfactorias de los seguros requeridos bajo este Articulo, 2, “EL CONTRATISTA” cumpliré con las leyes laborales de Venezuela relacionadas con los beneficios pagados en casos de lesiones 0 muerte durante la permanencia del empleo. VIGESIMO OCTAVA: Indemnizacién “EL CONTRATISTA” indemnizaré, eximiré de responsabilidad y defender, por su propia cuenta, a “L/ ACT’, sus funcionarios, agentes, sirvientes y empleados de y contra cualquier litigio, réclamos, demandas y responsabilidad de cualquier naturaleza y tipo, incluyendo los costos y gastos que resulten de. actos u omisiones de “EL CONTRATISTA” o sus empleados, funcionarios, agentes o sub-contratistas la ejecucién de este Contrato. Esta disposicién se extender, inter alia, a reclamos y responsabilidad relacionados a reclamos por accidentes de trabajo, responsabilidad civil de producto y responsabilidad que resulte del uso por parte de “EL CONTRATISTA”, sus -empleados, funcionarios, agentes, sirvientes 0 sub-contratistas de invents 0 aparatos patentados, material por los derechos de autor w otra 4)Organizaci6n de Aviaci6n Civil Internacional Contrato No, 60667 para el Suministro de AMHS para AFTN para el Instituto Nacional de Aerondutica Civil de Venezuela, “EL INAC” en Venezuela propiedad intelectual. Las obligaciones contraidas bajo esta clausula no caducan a la terminacién de este Contrato. VIGESIMO NOVENA: Gravamenes/Derechos de Retencién “EL CONTRATISTA” no causaré ni permitiré que ningin derecho de retencién, embargo 0 cualquier otro gravamen sea colocado en los archivos de cualquier oficina piiblica 0 en los archivos de “LA OACI” Por cualquier persona contra cualquier dinero devengado 0 que seré devengado por cualquier trabajo Fealizado o material suministrado bajo este Contrato, o debido a cualquier otro reclamo o demanda contra “EL CONTRATISTA”. ‘TRIGESIMA: Naturaleza Confidencial de Documentos e Informacién/Divulgacién Pai ica 1 Toda informacién técnica, financiera u otra y datos compilados por o recibidos por “EL CONTRATISTA” bajo este Contrato serén tratados confidencialmente, y serén entregados solamente a los funcionarios autorizados de “LA OACI” al término de ios trabajos de este Contrato. 2, “EL CONTRATISTA” en ningin momento comunicaré a cualquier otra persona, Gobierno o autoridad externa a “LA OACT", cualquier informacién de la cual tenga conocimiento por su asociacién con “LA OACT” y la cual no ha sido hecha piblica a no ser que tenga Ia autorizacién de “LA OACT’; ni tampoco usaré en ningin momento esta informacién para conseguir ventajas privadas, Estas obligaciones no caducan al término del Contrato. 3. A no ser que tenga la autorizacién por escrito de “LA OACI", “BL CONTRATISTA” no divulgard los detalles del Contrato, anunciaré o de cualquier otra manera hard piblico el hecho de que esta prestando, o ha prestado, servicios a “LA OACT”, ‘TRIGESIMO PRIMERA: Derechos de Autor, Patentes u Otros Derechos de Propiedad 1, Anno ser que se especifique lo contrario, “LA OACI'/"EL INAC” tendré los derechos de licencia no exclusivo, no transferible ¢ irrevocable para el uso solamente en Venezuela de documentos, software, Equipo y otros materiales que son producidos 0 preparados o recolectados resultado de © durante Ia ejecucién del Contato. A solicitud de “LA OACTYMEL INAC’, “EL CONTRATISTA” tomar todos los pasos necesarios, tramitaré todos los documentos necesarios Y generalmente ayudaré a conseguir estos. derechos de propiedad para beneficio de “LA. OACT'/"EL INAC" de acuerdo a 10s requerimientos de la ley aplicable. 2. “EL CONTRATISTA" es el responsable de asegurarse que ninguna propiedad intelectual u otros. derechos de propiedad, incluyendo pero no limitado a, derechos de autor, patentes y marcas registradas son violados y a defender, por su propia cuenta, cualquier litigio o juicios basados en cualquier reclamo por una violacidn, siempre y cuando “EL CONTRATISTA” sea notificado inmediatamente por escrito y dada total y completa autoridad, informacién y ayuda para la defensa del mismo, Si cualquier equipo adquirido pat considera que esta enOrganizacién de Aviacién Civil Internacional g 3a Contrato No, 60667 para el Suministro de AMHS para AFTN para el weep Instituto Nacional de Aerondutica Civil de Venezuela, “EL INAC” en ’ ‘Venezuela violacién y su uso es prohibido, “EL CONTRATISTA” obtendré para “LA OAC” 0 “EL INAC”, cualquiera que sea el caso, el derecho de continuar usando tal equipo o sistemas, 0 modificar el equipo para que no esté en violacién pero que siga en operacién, o remover tal equipo o sistema y conceder a “LA OACT'Y"EL INAC™” un reembolso completo. TRIGESIMO SEGUNDA: Funcionarios no se Beneficiarén “EL CONTRATISTA” garantiza que ningiin funcionario de “LA OACT"EL INAC”/Gobiemo de ‘Venezuela ha tenido o tendré por parte de “EL CONTRATISTA” cualquier beneficio directo 0 indirecto como resultado de este Contrato o la adjudicacién del mismo. ‘TRIGESIMA TERCERA: Fuentes de Informacion “EL CONTRATISTA” no buscara ni aceptaré instrucciones de cualquier autoridad externa a “LA OACI” en relacién con la ejecucién del trabajo bajo este Contrato. “FL. CONTRATISTA” se abstendré. de realizar cualquier aecién que pudiese afectar negativamente a “LA OACI’/"EL INAC” y cumplira con sus compromisos teniendo en cuenta solamente los intereses de “LA OACT'"EL INAC”. ‘TRIGESIMO CUARTA: Asignacién “EL CONTRATISTA” no asignaré, transferird, dara en prenda o dispondré de alguna otra manera de este Contrato, o cualquier parte del mismo o de cualquiera de los derechos, reclamos de obligaciones de “EL. CONTRATISTA” bajo este Contrato, a no ser que haya recibido el previo consentimiento por escrito de “LAOACT’. ‘TRIGESIMO QUINTA: Sub-contratacién Si “EL CONTRATISTA” requiriera los servicios de sub-contratistas, “EL CONTRATISTA” sera completamente responsable de asegurarse, por medio de certificados vigentes, inspecciones fisicas y subcontratos detalladamente formulados de que los sub-subcontratistas cumplen con las especificaciones técnicas, normas y regulaciones estipuladas en el Contrato. “EL CONTRATISTA® seré totalmente responsable de la calidad de los materiales y servicios suministrados por los sub-contratistas en el marco de este Contrato, TRIGESIMO SEXTA: Enmiendas al Contrato 1, Este Contrato, incluyendo los Adjuntos, puede ser enmendado en cualquier momento durante la ejecucién del proyecto, segiin un acuerdo entre las partes. 2 Las enmiendas al Contrato serén efectivas tinicamente cuando scan ejecutadas y presentadas en nombre de “EL INAC”, “LA OACI” y “EL CONTRATISTA” Por personas debidamente autorizadas por escrito para est fin. rp !‘Organizacién de Aviacién Civil Internacional Contrato No. 60667 para el Suministro de AMHS para AFTN para el Instituto Nacional de Aerondutica Civil de Venezucla, “EL INAC” en Venezuela ‘TRIGESIMO SEPTIMA: Direceién del Contrato e Interpretacién de las Especificaciones 1. “EL CONTRATISTA” ejecutaré el trabajo de acuerdo con las decisiones y érdenes dadas por “LA OACT” en este Articulo asi como cualquier otra decisién importante orden dada por OACI en la ejecucién de este Contrato. Después de que “LA OACT” haya dado una orden acerca de los detalles de cualquier falla en el cumplimiento de las obligaciones por parte de “EL CONTRATISTA”, “EL CONTRATISTA” tomara las medidas necesarias lo més pronto posible para corregir esto, pero en cualquier caso lo hard dentro de un plazo de dos (2) semanas. Tal orden seré dada por escrito. Si tienen que ser dadas instrucciones verbales, éstas serin confirmadas por escrito dentro de un plazo de siete (7) dias. En caso que cualquier decisién y/o orden de “LA OACT" para la ejecucién del Contrato constituya una desviacién, cambio o enmienda de las especificaciones originales y que pudiese resultar en gastos adicionales, “EL CONTRATISTA” puede presentar a “LA OACT”, para su consideracién, un eserito detallando las consecuencias financieras de tales desviaciones, cambios 0 enmiendas. Para que cualquier desviacién, cambio o enmienda sea efectivo, deberd ser enmendado de acuerdo con el numeral 2 de la cldusula trigésimo sexta. 2. “LA OACI” se reserva el derecho de adjudicacién en caso que exista una duda ‘antes de la aprobacién del equipo con relacién a la interpretacion de cualquier disposicién de las especificaciones y cualquier otra documentacién técnica incorporada en este Contrato. 3. Si no se rectifica una violacién de una obligacién bajo este Contrato después de tres (3) notificaciones eseritas, el resultado puede ser la suspensién de cualquier parte restante del Contato. 4, SLA OACTY"EL INAC” puede ordenarle al Contratista por escrito suspender todo o parte del trabajo por un periodo de tiempo considerado apropiado por “LA OACI”/"EL INAC”. En este caso, el Contrato sera enmendado de acuerdo con el numeral 2 de la cléusula trigésima sexta, y “EL CONTRATISTA” puede presentar a “LA OACT'/EL INAC” para su consideracién un escrito detallando los costos razonables de tal enmienda. ‘TRIGESIMO OCTAVA: Requerimientos Reguladores Serd la responsabilidad de “EL CONTRATISTA” asegurarse de que estd en total cumplimiento con todas Ins leyes aplicables, promulgaciones, reglas, regulaciones, patentes y procedimientos de la industria de aviacién civil, las cuales han sido establecidas por “EL INAC"/Gobiemo de Venezuela, sus entidades Teguladoras relevantes © por cualquier entidad reguladora que tenga jurisdiccién sobre cualquier aspecto, del alcance de las obras del Contrato. ‘TRIGESIMO NOVENA: Licencias “EL CONTRATISTA” deberé aplicar por cualquier licencia ejecucién del Contrato. iso que sea necesario para laOrganizacién de Aviacién Civil Internacional Contrato No, 60667 para el Suministro de AMHS para AFTN para el Instituto Nacional de Aeronautica Civil de Venezuela, “EL INAC” en Venezuela CUADRAGESIMO: Embalaje 1. “EL CONTRATISTA” garantiza que los bienes, incluyendo el embalaje, estan conformes con las, especificaciones pedidas bajo este Contrato y que son adecuados para el objeto por el cual estos bienes son generalmente usados y para los fines expresamente notificados por “LA OACT'"EL, INAC” a “EL CONTRATISTA”, y que estén libres de defectos de diseiio, mano de obra materiales. “EL CONTRATISTA" también garantiza que los bienes estin embalados y marcados de una manera adecuada para fines de transporte, para proteger los bienes de acuerdo con cualquier requerimiento legal, cualquier requerimiento de las empresas de transporte y cualquier instruccién de transporte de “LA OACT”"EL INAC”. CUADRAGESIMO PRIMERA: Daiios L. De acuerdo a lo estipulado en la Cléusula cuadragésimo segunda (Fuerza Mayor) y sin perjuicio de cualquier accién que “LA OACT’/"EL INAC” tenga derecho a tomar de acuerdo a lo estipulado en cualquier Articulo de este Contrato 0 por la ley, si “EL CONTRATISTA” falla en Ja entrega y funcionamiento de acuerdo con el Contrato, excepto por razones no atribuibles a “EL CONTRATISTA, "entonces “EL CONTRATISTA” pagara a “EL INAC” en la moneda del Contrato, un cuarto por ciento (0.25%) del precio total del Contrato por cada semana de atraso de tal entrega y funcionamiento, con tal que estos pagos a “LA OACT'"EL INAC” no excederdn seis por ciento (6%) del valor total de este Contrato. No obstante lo establecido en el numeral anterior de la presente cléusula, en caso de un atraso importante por parte de “EL CONTRATISTA” en la implementacién del proyecto o su falla por negligencia de cumplir con cualquiera de sus obligaciones bajo los términos de este Contrato, “LA OACT’"EL INAC” tendrin el derecho de reclamar y recuperar de “EL CONTRATISTA” todos los datios comprobados sufridos por “LA OACT” o “EL INAC”, o ambos. Con excepcién del caso de negligencia grave, la responsabilidad total de “EL CONTRATISTA” por daiios ‘comprobades no excederd el precio total del Contrato y excluye dafios indirectos o punitivos. La recuperacién de los datios comprobados no ser excluida del periodo de retraso al que se hace referencia en el pirrafo anterior, pero no seré reclamado adicionalmente a los dafios liquidados. Sin perjuicio a cualquier derecho a recuperar cualquier monto bajo esta cléusula, “LA OACI*MEL INAC” tienen derecho a pedirle a “EL CONTRATISTA” cumplir con sus obligaciones bajo el Contrato, “LA OACPY/”EL INAC” se reservan el derecho de recuperar los daiios mediante compensacién, retencién de pagos y/o recurrir a la garantia bancaria, CUADRESIMA SEGUNDA: Fuerza Mayor ah‘Organizacién de Aviacién Civil Internacional ay Contrato No. 60667 para el Suministro de AMHS para AFTN para el *e a Instituto Nacional de Acrondutica Civil de Venezuela, “EL INAC” en ie Venezuela Fuerza Mayor, segin su uso en la presente, significaré catstrofes naturales, leyes o regulaciones, disturbios industriales, actos del enemigo piblico, disturbios civiles, explosiones y cualquier otra causa similar de fuerza equivalente no causada por o que esté dentro del control de cualquiera de las dos partes ¥ que ninguna de las partes es capaz de superar. Tan pronto como sca posible después del acaecimiento de cualquier caso que constituye una fuerza mayor, “EL CONTRATISTA” notificaré a “LA OACP"EL INAC” y dard todos los detalles por escrito de tal fucrza mayor si esto resulta en la incapacidad total 0 parcial de “EL CONTRATISTA” para llevar a cabo sus obligaciones y cumplir con sus responsabitidades bajo este Contrato. En este caso, las siguientes disposiciones son aplicables: @) Las obligaciones y responsabilidades de “EL CONTRATISTA bajo este Contrato serdn suspendidas en la medida de su incapacidad de levarlas a cabo y por el periodo de tiempo que dure esta incapacidad; ') La vigencia del Contrato seri extendida por un periodo igual al periodo de suspensién tomando en cuenta, sin embargo, cualquier condicién especial que puede causar que el tiempo para completar el trabajo sea diferente al periodo de suspensién; ©) Si “EL CONTRATISTA” se volviera permanentemente incapaz, en parte 0 totalmente, por razén de fuerza mayor, de llevar a cabo sus obligaciones y cumplir con sus responsabilidades bajo este Contrato, “LA OACP’"EL INAC” tendré el derecho de terminar este Contrato bajo Jos mismos términos y condiciones de la clausula cuadragésimo tercera (Rescisin); 4) En vista de la sub-seccién anterior, “LA OACT’"EL INAC” puede considerar a “EL CONTRATISTA" como permanentemente ineapaz de funcionar en caso de cualquier periodo de suspensién superior a noventa (90) dias. Cualquier periodo de noventa (90) dias 0 menos ser considerado wna inhabilidad temporal de funcionar. CUADRAGESIMO TERCERA: Rescisi6n 1 “LA OACT’/"EL INAC” puede rescindir este Contrato en cualquier momento por causa o falta total o parcial, una vez que “EL CONTRATISTA” ha sido notificado por escrito. La notificacién de rescisién sera enviada por correo certificado, solicitando un acuse de recibo. A la recepcién de la notificacién de rescisién, “EL CONTRATISTA” tomara accién inmediata para terminar el trabajo y los servicios de una manera rapida y ordenada, reduciré los gastos a un minimo y no asumird ningtin otro compromiso a partir de la fecha de recepcién de la notificacién de rescisién, 2. “EL INAC” pagaré al “EL CONTRATISTA” por el trabajo y los servicios realizados satisfactoriamente y aceptados por “LA OACI”/"EL INAC”, por los gastos necesarios para una terminacién répida y ordenada del trabajo y para el trabajo urgente y esencial que “LA OACT7"EL INAC” ie pueda requerir a “EL CONTRATISTA” que complete. En caso que esta sescisién sea causada por la negligencia o culpa de “EL CONTRATISTA”, “EL INAC” no le deberi ningin pago a “EL CONTRATISTA” con la excepcién del trabajo y servicios completados a la satisfaccién de “LA OACT’/"EL INAC” y aceptados por “LA OACP/*EL INAC”,Organizacién de Aviacién Civil Internacional ee Contrato No, 60667 para el Suministro de AMHS para AFTN para et a os Instituto Nacional de Aerondutica Civil de Venezuela, “EL INAC” en aes Venezuela 3. “LA OACT” puede rescindir este Contrato en cualquier momento en caso que el mandato de “LA OACT" sea acortado o terminado por “EL INAC”. En tal caso “EL INAC” le reembolsarin a “EL CONTRATISTA” todos los gastos razonables incurridos por “EL CONTRATISTA” antes de recibir la notificacién de rescisién, 4. “LA OACT"/"EL INAC” puede también rescindir este Contrato ‘Por conveniencia en cualquier momento, de mutuo acuerdo con “EL INAC”, En tal cas0, “EL INAC” le reembolsaré al Contratista todos los gastos incurridos por é| de acuerdo al numeral 2 de la presente cléusula, CUADRAGESIMO CUARTA: Quiebra 1, En caso se inicien trémites de quicbra o terminacién contra “EL CONTRATISTA”, 0 en caso “EL CONTRATISTA” es declarado en bancarrota, o si “EL CONTRATISTA” hace una asignacién general en beneficio de sus acreedores, 0 si se nombra un sindico debido a la insolvencia de “EL CONTRATISTA", “LA OACT’/EL INAC” puede, sin perjuicio a cualquier otro derecho o recurso legal que pueda tener bajo los téminos de este contrato, rescindir este Contrato mediante una notificacién escrita al “EL CONTRATISTA” informandole de tal rescisién de acuerdo con Jo estipulado en la cléusula cuadragésimo tercera de este Contrato. 2. “EL CONTRATISTA” le debe avisar a “LA OACI’/"EL INAC” dentro de veinticuatro (24) horas del acontecimiento de cualquiera de los eventos descritos en este Articulo, CUADRAGESIMO QUINTA: Cambio de Propietario “EL CONTRATISTA” le informara a “LA OACT’/"EL INAC” Io antes posible de cualquier cambio o cambio anticipado del status de “EL CONTRATISTA” o de su propietario, que pudiese afectar su capacidad de entregar el equipo o de prestar los servicios mencionados en este documento, tan pronto como “EL CONIRATISTA” tenga conocimiento de esta informacién, CUADRAGESIMO SEXTA: esolucién de Disputas 1. _Resolucin amigable: Negociaciones y Conciliacién Las partes emplearin sus mejores esfuerzos para resolver amigablemente por medio de negociaciones cualquier disputa, controversia 0 reclamo que resulte de, o esté relacionado con, est ‘Contrato 0 con la violacién, rescisién o invalidez del mismo. Si las partes no pueden alcanzar esta\ resolucién amigable a través de negociaciones, el asunto serd primero referido a conciliacién, a solicitud de cualquiera de las partes con el fin de establecer procedimientos de conciliacién. conciliacién se levard a cabo de acuerdo con las Reglas de Coneiliacién de UNCITRAL en vigor ‘en ese rhomento, de acuerdo con cualquier otro procedimiento acordado entre las partes, dentro de un periodo de tiempo de noventa (90) dias. 2. Ley AplicableOrganizacién de Aviacién Civil Internacional Contrato No. 60667 para el Suministro de AMHS para AFTN para el Instituto Nacional de Aeronautica Civil de Venezuela, “EL INAC” en ‘Venezuela a) Las dudas y controversias que se susciten entre “EL INAC” y “EL CONTRATISTA”, con ocasién de este contrato serén sometidas a la jurisdiccién de los Tribunales de la ciudad de Caracas de la Republica Bolivariana de Venezuela, a cuyos Tribunales las partes declaran cometerse, con exclusion de cualquier otro. b) Las dudas y controversias que se susciten entre “LA OACT” y “EL CONTRATISTA” con ocasién de este contrato serin dirimidas por las leyes de la Provincia de Québec, Canada. CUADRAGESIMO SEPTIMA: Avisos 1, Cualquier aviso dado por cualquier de las partes del Contrato seré enviado por escrito a la siguiente direceién: “EL INAC” a: Lic, José Luis Martinez Bravo Presidente Ay. Los avisos bajo este articulo serdn efectivos cuando sean recibidos. CUADRAGESIMO OCTAVA: Privilegios e Inmunidades de OACI Nada en este Contrato o relacionado con él seré considerado una renuncia, expresa o implicita, de cualquier inmunidad de litigio 0 proceso Iegal o cualquier privilegio, exencién o cualquier inmunidad de que se goza o que puede ser gozada por “LA OACP, sus funcionarios y personal, ya sea de acuerdo con la Convencién sobre Prerrogativas e Inmunidades de los Organismos Especializados w otras conveneiones, acuerdos, leyes 0 decretos de cardcter internacional. CUADRAGESIMO NOVENA: Uso del Nombre, Emblema 0 Sello Oficial de “LA OACI” Avno ser que haya sido autorizado por “LA OACT” por escrito, “EL CONTRATISTA” no anunciard o deOrganizaci6n de Aviacién Civil Internacional Venezuela Contrato No. 60667 para el Suministro de AMHS para AFTN para el Instituto Nacional de Aerondutica Civil de Venezuela, “EL INAC” en OACT”, o usar el nombre, emblema o sello oficial de “LA OACT” o cualquier abreviacién del nombre de “LA OACT" para fines publicitarios o para cualquier otro propésito.
