Business consultant agreement

This agreement dated ____________________ is made by and between the first party

The Parties agreed that THE consultant shall work for the COMPANY according to the
following provision and terms:

1- Article (1) Consultation services.

The company hereby employs the consultants to perform the following service s in
accordance with the terms and conditions set forth in this agreement: the consultant will
consult with the officer and employees of the company concerning matters relating to the
management and organization of the company, their financial policies, the terms and
condition of employment, and generally any matter arising out of the business affairs of
the company.

 2- Article 3- Notices

3- Article 4- Time devoted by consultant

It is anticipated the consultant spend approximately ____________________in

fulfilling its obligations under this contract. The particular amount of time devoted by
the consultant may vary from day to day or week to week, however , the consultant
shall devote a minimum devote minimum of __________________per month to its
duties in accordance with this agreement.

4- Article 5- Location where services will be rendered

- The consultant is expected to perform the services in accordance with this

agreement at ____________________.in addition the consultant will perform the
services on the telephone and at such other places as designated by the company
to perform these services according with this agreement.

- The COMPANY will pay the expenses for the consultant who will be assigned
outside Egypt according to the Company’s internal regulations.

5- Article 6- Consultants Salary and Other Benefits

The consultant will be paid at the rate of _____________per ___________or work

performed in accordance with this agreement. however, the consultant will be paid at
least ____________per project or per month ____________regardless of the amount
of time spent in accordance to this agreement .the consultant will submit an itemized
statement setting forth the time spent and services rendered, and the company will
pay the consultant amount due as indicated by statement submitted by consultant
within ten (10) business days.

6- Article 6 - Special Provisions

- Both the company and the consultant agree that the consultant will act as an
independent contractor in the performance of the duties and responsibilities under
 this contract .accordingly, the consultant shall be responsible for payment of all
applicable taxation.

- Undertaking or documents referred to in this contract shall be an integral part

hereof and read with it.

‫● البند السادس – احكام خاصة‬

‫كال من الشركة واالستشارى سيقوم الطرفين بااللتزام باداء واجبهما ومسؤليتهما كال تجاه االخر بموجب هذا‬ -
.‫ وسيقوم االستشارى بدفع قيمة الضرائب والتامينات المستحقة والمعمول بها محليا‬.‫العقد‬

‫تعتبر أي إقرارات أو تعهدات أو وثائق المشار أليها في هذا العقد جزء ال يتجزأ منه و تقرأ معه كوحدة واحده‬ -

Article 7 -Confidential information -7

In the course of his/her consultation and the performance of his/her duties, the
consultant will have access to various technical, financial, and/or commercial
Company information of a confidential nature which, if disclosed, will not be revealed
to any other persons ,firm, or organization . could jeopardize the interests of the
Company. The consultant hereby agrees and undertakes not to disclose or divulge any
such information to any person or entity, whatsoever, unless expressly authorized by
the Company. The Employee shall be bound by this undertaking even after the expiry
or termination of this Contract of employment, for any reason whatsoever. The
Company reserves the right to take appropriate legal action against the Employee for
any breach of this undertaking and to claim compensation for damages caused to the
Company due to such disclosure.

‫ سرية المعلومات‬- ‫البند السابع‬ -

‫ فإن اال ستشارى سوف يصل إلى معلومات الشركة المختلفة‬،‫واجباتها‬/‫ أدائها لواجباته‬/‫خدمتها> و أدائه‬/‫في أثناء خدمته‬
‫ والتي إذا‬،‫الي شخص آخر أو شركة أو مؤسسة اخرى‬ ‫أو التجارية ذات الطبيعة السرية و ال يتم كشفها‬/‫الفنية والمالية و‬
‫ ويوافق ويتعهد الموظف بموجب هذا العقد بأال يفشي أو يكشف أسرار‬.‫أفشيت يمكن أن تعرض مصالح الشركة للخطر‬
‫ وعلى الموظف االلتزام‬.‫ إال إذا تم تفويضه بوضوح من قبل الشركة‬،‫ مهما كانت‬،‫هذه المعلومات ألي شخص أو جهة‬
‫ وتحتفظ الشركة بالحق في اتخاذ اإلجراء‬.‫ ألي سبب من األسباب‬،‫بهذا التعهد حتى بعد انتهاء أو إنهاء عقد العمل هذا‬
‫القانوني المالئم ضد االستشارى عن أي خرق أو نقض لهذا التعهد وأن تطالب بالتعويض عن األضرار المسببة للشركة‬

 7- Article 7- Employment of other

The company may from time to time request that the consultant arrange for the
services of other .all costs to the consultant for those services will be paid by the
company but in no event shall the consultant employ other without prior authorization
of the company.

‫ توظيف الغير‬-‫● البند الثامن‬

‫ وسيتم‬، ‫يجوز للشركة من حين الخر أن تطلب من االستشاري أن يقوم ببعض الخدمات االستشارية اخرى باالستعانة بالغير‬
‫دفع جميع التكاليف لالستشاري لتلك الخدمات من قبل الشركة ولكن في أي حال من األحوال ال يقوم االستشارى بتوظيف‬
.‫الغير دون إذن مسبق من الشركة‬

8- Article 8- Signatures, both the company and the consultant hereby agree to the
above contract.
