BDHD 192, registered in the Office of Sub-Registrar, Bidarahall, Shivajinagar Registrar District, Bangalore ("Principal MOTD"), whereby certain residential units forming part of the the property being residential apartment building comprising of three towers identified as ‘Tower-A’ Tower Annex, Tower-B and Tower-C, each Tower comprising of basement, ground and eleven upper floors and terrace floor in the development project namely ‘SBC THE NEST’ constructed therein in all that property measuring 1 Acre and 21.5 Guntas in converted Sy. WITHNESS: 1, That the Subscriber, the Issuer, the Sponsors and the Debenture Trustee have entered into a ‘Master Agreement cum Debenture Trust Deed dated September 17, 2018 ("Debenture Trust Deed”), the Addendum Deed to the Master Agreement cum Debenture Trust Deed dated February 05, 2019 (“Addendum Deed”) and the Transaction Documents, pursuant to which 7,500 (Seven Thousand Five Hundred) unlisted, dematerialized, unrated, secured, redeemable, non-convertible debentures of nominal value INR 1,00,000/- (Rupees One Lakh only) each ("Debentures"), aggregating to INR 75,00,00,000/- (Rupees Seventy Five Crores only) (“Investment Amount”) have been issued and allotted, subject to the terms and . conditions as contained in the Debenture Trust Deed, the Addendum Deed and the Transaction Documents. To secure the Debentures, the Issuer and the Sponsors have created mortgage by deposit of Title Deeds relating to the Immovable Property/ies more particularly described in the SCHEDULE — I! hereto. 2. Thisis to record that the Depositor attended / visited and called upon Mr. Prince Kartikay of the Debenture Trustee, on February 05, 2019 and deposited with and handed over and delivered to Debenture Trustee the documents of title, evidences, deeds described in the SCHEDULE — 3. The Depositor further declared that the Issuer and the Sponsors are not aware of any act, deed, matter or circumstances, which prevents the Issuer from charging or creating first charge by way of mortgage over the Immovable Property/ies in favour of the Debenture Trustee. 6. The Depositor further stated and assured the Debenture Trustee that the documents of title now deposited with the Debenture Trustee were the only documents of title in possession of the Issuer and the Sponsors in respect of the above referred to Immovable Propertyfies of the Issuer and the Sponsors and further assured that the Issuer and the Sponsors are the absolute owner of the above referred to Immovable Property/ies and that the Issuer and the Sponsors: have valid title thereto and that save the charge created in favour of the Debenture Trustee under these presents and to the extent as provided hereundet, there is no other mortgage, charge, lien or other encumbrance or attachment on the above referred to Immovable Property/ies or any part or parts thereof in favour of any Government or the Income-tax Department, or any other Government Department, or any person, firm or company, body corporate or society or entity whatsoever and that the Issuer and the Sponsors have not entered into any agreement for sale, transfer or alienation thereof or any part or parts thereof and that no such mortgage, charge or lien or other encumbrance whatsoever will be created or attachment allowed to be levied on the above referred to Immovable Property/ies or any part or parts thereof in favour of or on behalf of any Government or Government Department or any person, firrn, company body corporate or society or entity whatsoever except with the prior permission of the Debenture Trustee so long as the Subscriber continues to hold the Debentures or be liable to the Debenture Trustee / Subscriber on any account in any manner whatscever and that no proceedings for recovery of taxes are pending against the Issuer and the Sponsors under the Income Tax Act or any other law in force for the time being and that no notice has been issued and/or served on the Borrower under Rules 2, 16 and 51 or any other Rules of the Second Schedule to the Income Tax Act, 1961, or under any other law. 7. It is agreed between the Issuer and the Debenture Trustee that mortgage created by way of deposit of Title Deeds of the Immoveable Properties in favour of the Debenture Trustee shall remain a continuing charge and shall be in subsistence until it is discharged, in accordance with the terms of the Debenture Trust Deed, the Addendum Deed and the Transaction Documents. The aforesaid Amendment Deed , was read over to the Issuer by Mr. Prince Kartikay of the Debenture Trustee, who was present at the time of such recording of additional security by way of Equitable Mortgage by Deposit of Title Deeds, Mir. T. Venugopal, authorized signatory of DV ARENA BUILDTECH PRIVATE LIMITED, being the Issuer, has confirmed the same.
