AFFILIATION AGREEMENT

This Affiliation Agreement ("Agreement") is made and entered into on this ____ day of __________, 20___, by and between the
International Association of Open Educators Inc. ("IAOE") and ________________________________________________
("Affiliate").

WHEREAS, IAOE desires to establish a relationship with Affiliate to promote its mission and goals; and

WHEREAS, Affiliate desires to promote and support the mission and goals of IAOE and to be affiliated with IAOE;

NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein, the parties agree as follows:

1. Affiliation. IAOE hereby agrees to recognize Affiliate as an affiliated organization.

2. Rights and Responsibilities. Affiliate shall have the right to use the names "International Association of Open Educators Inc." and
“IAOE,” the registered trademarks, logos and other identifying elements of IAOE in its promotional materials.
Affiliate shall have the responsibility to promote IAOE's mission and goals.
Affiliate shall conduct its activities in accordance with the policies and procedures of IAOE.
Affiliate shall support the activities, events and/or campaigns organized by IAOE.

3. Membership. Affiliate shall encourage its members to become members of IAOE.

4. Meetings. Affiliate shall have the right to attend IAOE's meetings, and shall have the responsibility to attend IAOE's meetings
when possible.

5. Termination. This Agreement may be terminated by either party upon thirty (30) days' written notice to the other party. In the event
of termination, Affiliate shall immediately forfeit all the rights and privileges anent to the affiliation and shall discontinue its
affiliation with IAOE.

6. Amendment. This Agreement may be amended by mutual written agreement of the parties.

7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Republic of the
Philippines.

8. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and
understandings, whether written or oral, relating to the subject matter of this Agreement.

9. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which
together shall constitute one and the same instrument.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
