COOPERATION AGREEMENT BETWEEN ‘THE STATE ISLAMIC UNIVERSITIES FROM: ACEH, BANDUNG, JAKARTA, MAKASSAR, MALANG, MEDAN, PALEMBANG, RIAU, SEMARANG, SURABAYA, YOGYAKARTA. AND ‘THE GROUP OF NATIONAL INSTITUTES OF APPLIED SCIENCES IN TERMS OF RESEARCH AND CAPACITY BUILDING STATE ISLAMIC UNIVERSITIES (hereinafter referred to as “UIN"), a research and higher education Institution, of the second part whose address is in Aceh, Bandung, Jakarta, Makassar, Malang, Medan, Palembang, Riau, Semarang, Surabaya, Yogyakarta in Indonesia and shall include its lawful representatives and permitted assigns; ‘AND ‘THE GROUP OF NATIONAL INSTITUTES OF APPLIED SCIENCES (hereinafter referred to as “INSA”), officially represented by its President, Prof. Jean-Louis BILLOET, and formed by the 6 member Institutes: INSA Centre Val de Loire, INSA Lyon, INSA Rennes, INSA Rouen, INSA Strasbourg and INSA Toulouse, officially represented by their legal representatives; (Hereinafter referred to singularly as the “Party” and collectively as the “Parties”), TAKING INTO ACCOUNT the Agreement for Cultural and Technical Cooperation between the Government of the Republic of Indonesia and the Government of the Republic of France signed in Jakarta 20" September 1969; ‘TAKING INTO ACCOUNT the Cooperation Agreement between the Government of the Repubilc of Indonesia and the Government of the Republic of France in matters of scientific research and ‘technological development signed in Jakarta 8” May 1979; WHEREAS ‘A. UIN is an established Public University which strives to strengthen its academic and research ‘excellence through various collaborations with other parties and institutions; B. INSA Group is an association created on May 17", 2010 by the representatives of the INSAs and formed by 6 member Institutes: INSA Centre Val de Loire, INSA Lyon, INSA Rennes, INSA Rouen, INSA Strasbourg, INSA Toulouse; . The Parties are desirous of entering into this Cooperation Agreement to give an operational framework for cooperation that was agreed through the Memorandum of Understanding signed In Makassar on April, the 20”, 2016 between FST UIN and Institut Frangais en Indoénsie. HAVE REACHED AN AGREEMENT as follows: ARTICLE 2 PURPOSE OF COOPERATION ‘The Parties, subject to the terms of this Cooperation Agreement will dedicate their best efforts and resources (human, financial, technical, scientific, and administrative) to ensure the effective application of the present research and capacity building Program. ARTICLE 2 ‘AREAS OF COOPERATION ‘The list of priority topics has been mutually agreed and is attached in Appendix 4. it shall be subject to change upon explicit mutual agreement between the Parties. However such changes will not affect the contents of this Cooperation Agreement. The thematie contact points (TCP) and the National Contact Points (NCP) for each thematic (in charge of annual evaluation of the thematic and in charge of facilitating exchange) are designated in Append 2. It shall be modified upon explicit mutual agreement between the Parties, However such changes will not affect the contents of this Cooperation Agreement. ARTICLE 3 FORMS OF COOPERATION ‘The Parties agree to cooperate by the following ways of activities: ‘a, Exchanges of sclentists and students between the Parties ; 'b. Exchanges of information in the fields of joint interest of the Parties ; Promotion of establishing joint research teams ; 4d. Other forms of cooperation as mutually agreed between the Parties. ARTICLE 4 CONTRIBUTIONS Each Institution will select the best Master and PhD students and staffs on an excellence and motivation basis after each candidate has provided a research subject under supervision of the possible inviting Professors (as defined in Article 5: Application Procedure). The selection procedure will be defined by each institution and made transparent to other institutions but shall not need to be defined under mutual agreement. ‘The Master and PhD students and staff joining this program will have to support health insurance ‘and repatriation insurance on their own, ‘The Master and PhD students and staff joining this program shall possess sufficient ability in the language requested by the host university: B2 level in English is recommended (A2 level is ‘encouraged but not mandatory in Indonesian and in French). The participating Master and PhD students shall continue as candidates for degrees at their home university and shall not be candidates for degrees at the host university. For staff, the home university will maintain its staff members on a full salary basis during the period of the exchange. ARTICLE 5, APPLICATION PROCEDURE For Master and PhD Students: 1. Each applicant should get a recommendation letter from one of his/her Professor. 2. Then he/she should contact the NCP or one of the TCP of his/her thematic of interest defined in Appendix 2 to identify a Professor that would like to receive him/her (submission of Motivation Letter, Curriculum Vitae, Copy of exams notes of last 2 years, copy of passport, language certificate in English if available and Reference letter are required) 3. After formal acceptance by the inviting Professor through Letter of Acceptance, the applicant should submit his/her application to his/her institution in order to get its support under the present Cooperation Agreement. 4. Final acceptance of student is subject to proof for health insurance, repatriation insurance ‘and any other legal obligation in one or the other country. For Staff: 1. Each applicant should get a recommendation letter from his/her Dean. 2. Then he/she should contact the NCP or one of the TCP of his/her thematic of interest defined. in Appendix 2 to identify 2 Professor that would like to receive him/her (submission of Research Project Summary, Curriculum Vitae, copy of passport and Reference letter are expected) 3. After mutual formal agreement with the inviting Professor through Letter of Acceptance, the applicant should submit his/her application to his/her institution in order to get its support under the present Cooperation Agreement. 4, Final acceptance of staff is subject to proof for health insurance, repatriation insurance and. any other legal obligation in one or the other country. Article 6 EXCHANGE OF PERSONNEL ‘The Parties agree to facilitate exchange of a limited number of personnel (Master and PhD students ‘and staffs) from each Party or personnel of their related entities (contractors, subcontractors, grantees or cooperating entities at any tier) according to the following principles and subject to the delivery of the necessary administrative authorizations: 1. The personnel shall comply with the safety and security rules and regulations of the hosting Party without prejudice of the safety and security rules applicable to the personnel of each Party. 2. The Parties will provide necessary office space, access to necessary facilities, and administrative support at the host location, including such additional support services as may be agreed by the Parties. 3. Salaries and all other personnel expenses, living and travel expenses will be borne by the home Party of the personnel throughout the duration of thelr assignment unless otherwise agreed by the Pa 4, Specific provisions may be added in a further agreement to be mutually agreed by the Parties. ARTICLE 7 FINANCIAL ARRANGEMENTS: ach Party shall, unless agreed otherwise by the Parties in writing, bear its own costs, risks, liabilities, and expenses incurred in connection with its performance under this Cooperation Agreement, including team discussions and feasibility studies. The more detailed conditions and cooperation ‘method of the Research and Capacity Building Program shell be discussed further and mutually ‘agreed by the Parties. The activities under this Cooperation Agreement shall be subject to the availabilty of personnel, funds and other resources, ARTICLE 8 [EFFECT OF COOPERATION AGREEMENT This Cooperation Agreement serves only as a record of the Parties’ intentions and does not constitute or create, and is not intended to constitute or create, obligations under domestic or international law and will not give rise to any legal process and will not deemed to constitute or create any legally binding or enforceable obligations, express or implied. ARTICLE 9 NO AGENCY "Nothing contained herein is to be constituted as a joint venture partnership or formal business ‘organization of any kind between the Parties or so to constitute either Party as the agent of the other. ARTICLE 10 PROTECTION OF INTELLECTUAL PROPERTY RIGHTS 1, The protection of intellectual property rights shall be enforced in conformity with the respective national laws, rules and regulations of the Parties and with other international agreement signed by both Parties. 2, The use of the name, logo and/or official emblem of any of the Parties on any publication, document and/or paper is prohibited without the prior written approval of either Party, 3. Notwithstanding anything in paragraph 1 above, the intellectual property rights in respect of any ‘technological development, and any products and services development, carried out ‘= (i) Jointly by the parties or research results obtained through the joint activity effort of the Parties, shall be jointly owned by the Parties in accordance with the terms to be mutually ‘agreed upon; and (i) Solely and separately by the party or the research results obtained through the sole and separate effort of the party, shall be solely owned by the party concerned. ARTICLE 11. CONFIDENTIALITY ‘A. Each Party shall undertake to observe the confidentiality and secrecy of decuments, information, ‘and other data received from or supplied to, the other Party during the period of the implementation of this Cooperation Agreement or any other agreements made pursuant to this Cooperation Agreement, 8. For purposes of paragraph 1 above, such documents, information and data include any documents, information and data which is disclosed by @ Party (the Disclosing party) to the other Party (the Receiving party) prior to, or after, the execution of the Cooperation Agreement, involving technical, business, marketing, policy, know-how, planning, project management and ‘other documents, information, data and/or solutions in any form, including but not limited to ‘any document, information or data which designated In writing to be confidential or by its nature intended to be for the knowledge of the Receiving party or if orally given, is given in the Gircumstances of confidence, . Both Parties agree that the provisions of this Article shall continue to be binding between the parties notwithstanding the termination of this Cooperation Agreement. ARTICLE 12 ‘SUSPENSION Each Party reserves the right for reasons of national security, national interest, public order or public health to suspend temporarily, either in whole or in part, the implementation of this Cooperation ‘Agreement which suspension shall take effect immediately after notification has been given to the ‘other Party through written notice. ARTICLE 13 ‘SETTLEMENT OF DISPUTES ‘Any difference or dispute between the Parties concerning the interpretation and/or Implementation ‘and/or application of any of the provisions of this Cooperation Agreement shall be settled amicably through mutual consultation and/or negotiations between the parties, without reference to any third party or international tribunal. ARTICLE 14 NOTICES ‘Any communication under this Cooperation Agreement will bein writing in the English language and delivered by registered mail to the relevant address or sent to the appropriate electronic mail address or facsimile number of Parties, as the case may be, or to such other address or electronic ‘mail address or facsimile number as either party may have notified the sender and shall, unless otherwise provided herein, be deemed to be duly given or made when delivered to the recipient at such address or electronic mail address or facsimile number which is duly acknowledged. ARTICLE 15. ENTRY INTO EFFECT, DURATION AND TERMINATION. ‘A. This Cooperation Agreement will come into effect on the date of signing and will remain in the effect for a period of five years. 8. This Cooperation Agreement may be extended for a further period as may be agreed in writing by the Parties. , Each Party may terminate this Cooperation Agreement by giving the other Party 60 days prior written notice of that intention.
