MEMORANDUM OF ASSOCIATION OF
ALPS CLOTHING PRIVATE LIMITED

1) NAME OF THE COMPANY-

The name of the company shall be“ ALPS CLOTHING
PRIVATE LIMITED”.

2) REGISTERED OFFICE OF THE COMPANY-

The Registered Office of the Company will be situated in
the State of Delhi.

3) SHARE CAPITAL OF THE FIRM-

The Share capital of the Company is Rs. 1,000,0000 (Rs.
One crore only) divided into 8,00,00 Equity Shares of
Rs. 100/- each and 2,00,00 Redeemable cumulative
Preference Shares of Rs. 100/- each, with power to
increase and reduce the capital, to divide the shares in the
capital for the time being, into several classes and to
attach thereto respectively such preferential or special
rights, privileges or conditions including power to create
 further preference shares either subject to or in
accordance with the regulations of the Company to vary,
modify or abrogate any such right, privilege or condition
in such manner as may for the time being be provided by
the regulations of the Company.

4) OBJECTS OF THE FIRM-

1. To carry on all or any of the following business, namely
cotton spinners, flax, hemp and jute spinners, linen and
cloth manufacturers, flax, hemp jute and wool merchants,
wool combers, worsted stuff manufacturers, bleachers
and dyers, makers of vitriol, bleaching and dyeing
materials.

2. To carry on the business of manufacturing woolen, felt,

silken, cotton, hemp clothes and any other
fibrous material and products whether allied to the
aforesaid or not in India or elsewhere.

3. To acquire and take on lease all or any of the fixed

assets, machinery, furniture, fixture, stores, stock of raw
and finished materials, rights, privileges, quota rights etc.
appertaining to business of steel Re-rollers or any other
factory to achieve the aforesaid objects.

4. To acquire and undertake all or any part of the business,

property and liabilities of any person or company
carrying on any business which this Company is
authorized to carry on, or possessed of property suitable
for the purposes of the Company.
5. To carry on the business of general finance, trust, to
finance industrial enterprises in their projects on
turnkey basis or otherwise.

6. To provide leasing advisory service to other entities

and/or form the leasing,
financing and investment arm of other entities.

5) LIABILITIES OF THE FIRM-

Members of the company have their liability limited by
the memorandum to the amount, if any, unpaid on the
shares respectively held by them. No member of the
company can be called upon to pay more than the nominal
value of the shares held by him. If the shares of the
shareholder are fully paid up, he has nothing more to pay.

6) SUBSCRIPTION OF THE FIRM-

The subscriber to the memorandum of the company who
shall be deemed to have agreed to become member of the
company, and on its registration, shall be entered as
member in its register of member.
Every other person who agrees in writing to become a
member of the company and whose name is entered in the
register of members of the company.
Every person holding shares of the company and whose
name is entered as a beneficial owner in the records of a
depository.

We the several persons whose names are subscribed

below are desirous of being formed into a company in
pursuance of this memorandum of association and we
respectively agree to take the number of shares in the
capital of the company set opposite to our respective
