To fill the Casual Vacancy of Auditor caused due to resignation of M/s GUPTA MAHESH & CO.
Chartered Accountants.

“RESOLVED THAT pursuant to Section 139(8) and other applicable provisions, if any, of the Companies
Act, 2013 from time to time or any other law for the time being in force (including any statutory modification
or amendment thereto or enactment thereof for the time being in force) approval of members be and is
hereby accorded to appoint Ayaz A Siddiqui and Company Chartered Accountants (FRN No. 0023856N),
as Statutory Auditors of the Company to fill the casual vacancy caused by the resignation of M/s Gupta
Mahesh & Co. Chartered Accountants. (Membership No.: 074202).

RESOLVED FURTHER THAT M/s Ayaz A Siddiqui and Company Chartered Accountants (FRN No.
0023856N), shall hold office as Statutory Auditors of the Company from the conclusion of this Extra
ordinary general meeting until the conclusion of the ensuring Annual General Meeting at a remuneration as
may be fixed by Board of Directors of the Company in consultation with the said Auditors.

RESOLVED FURTHER THAT Mr. Rakesh Bansal and Mrs. Rajni Bansal director of the Company be and is
hereby authorized to do all such acts, deeds, matters and things as may be necessary, proper, expedient
or incidental for giving effect to this resolution and to file necessary e-forms with the Registrar of
Companies.”
