1.2 In addition to the documents listed above the Tenderer is deemed to have in
his possession copies of the following documents:
a. The General Conditions of Contract published by the Ministry of Public
Works.
b. The Qatar National Building Specifications (QNBS) published by the Ministry
of Public Works.
c. The Regulations for the Installation of Electrical Wiring, Electrical Equipment
and Air Condition Equipment, issued by the Ministry of Electricity and Water.
d. The Rules, Regulations and Code of Practice for Design and Installation of
Mechanical Ventilation and A/C Systems in Government Buildings, issued by
the Ministry of Electricity and Water.
e. The Survey Manual, published by the Survey Section of the Ministry of Public
Works.
f. Any local Municipality Regulations.
g. State of Qatar Law concerning the organization of Tenders and Public
Auction, obtainable from Government House, Doha.

h. The Standard Method of Measurement of Building Works published by the


Ministry of Public Works.
i. Any current and relevant regulation, notice or circular issued by the Qatari
competent Authorities
j. Kahramaa Standards / Requirements
k. All Supplies, Works, Equipments, Workmanship, Cables should fully comply
with kahramaa Standard Specifications, Technical and Safety Requirements.
l. Ministry of Environment and Natural Reserves (SCENR)
Standards/Requirements.
All Works of the Contractor should fully comply with “SCENR” Standard
Specifications, Technical and Safety Requirements.
2. Submission of Tender Offer
2.1 The Tenderer must adhere to the Conditions stated in the Tender Documents,
and write the total Tender Offer prices on Tender Form and its attached
Annexures (Form of the Bill of Quantity – Annexure A and Form of Breakdown
of Prices – Annexure B) covering the complete Tender’s “Scope of Supply &
Works” duly filled on their Company/Firm’s letter head in accordance with the
provisions of these documents and it’s Annexures C & D. Any “Tender Offer”
that does not comply with these provisions shall be considered null and void.
2.2 Should there be any comments, qualifications, reservations or amendments,
alterations to specifications or conditions they must be stated in a separate letter
attached to the “Tender Offer” and indicated on the enclosed “Tender Offer”.
2.3 Tender Offer must be submitted in (3) three separate wax-sealed envelopes with
the information fill out on the provided sticker together with the Tender
Documents for each envelope as mentioned in below:
a) Tender Bond Envelope.
b) Technical Offer Envelope (submitted in one (1) original hard copy and one duplicate
hard copy along with one soft copy in CD or USB in PDF format).
c) Commercial Offer Envelope (submitted in one (1) original hard copy and one duplicate
hard copy along with one soft copy in CD or USB in PDF format).
The envelope (a) and (b) should have no bearing of prices anywhere. The three (3)
separate envelopes must be placed into an outer sealed envelope clearly marked on the
cover the Number & Title of Tender, Submission and Closing Date of Tender.
2.4 Alternate Options: The Tenderer may submit alternative Tender Offer in addition to
the original Tender Offer and should the Tender Documents so stipulate and if the
Tenderer deems it to be in the interest of the “Scope of Supply/Works” Financially or
Technically or with respect to completion period or for any other consideration. These
alternate Tender Offer(s) will be presented in separate envelopes in the same manner
as the original Tender Offer(s) enabling a comprehensive evaluation of the Tender and
should be clearly marked as Alternate Tender Offer A, Alternate Tender Offer B etc.

2.5 The Tenderer must include the following in duly filled in his Tender Offer:
a) The Tenderer shall submit with his tender offer a comprehensive bar chart indicating
and distinguishing between the time for preparation, mobilization designing,
amending & completion of complete project at the site. The Tenderer time schedule
shall be subdivided in various sub activities. Time schedule will become part of the
Contract.
b) Each page of Tender Documents shall be initialed by the principal duly authorized to
represent and bind the Tenderer and stamped by the Tenderer as token of their
acceptance.
c) The Tenderer shall express that he has no objection to enter into a final Contract
based substantially upon the content of “Form of Agreement”, General Conditions of
Tender and General Conditions of Contract described in these “Tender Documents” and
any others subsequent documents agreed and approved in the final Contract.
d) Format of Breakdown of the Prices.
e) Organizational chart, indicating the name of companies and organizations which
shall or may become responsible for the major activities. Site Organizational chart
indicating the number of personnel to be timely employed on site.
f) Layout and site installation camp including lists of major equipment for the execution
and completion of the project.
g) The Tenderer shall propose and implement the periodical progress report and site
meetings
h) The Tenderer shall submit two (2) copies of annual accounts duly audited by
professional certified auditors for three years preceding (one copy to be included in
Technical offer envelope and one copy in Commercial offer envelope).
i) The Tenderer shall submit a current copy of his Commercial Register along with a
current copy of the Company Computer Card or any similar legal & government
documents attested in his country.
3. Filling of Tender Formats/Corrections & Adjustment of Errors
3.1 No erasures, alteration or additions shall be made by Tenderer to the Tender Documents's
formats (other than filling in blanks where intended for that purpose), unless such
alteration is made in accordance with an addendum issued as hereinafter described.
3.2 Should there be any erasure or scratching out on the Tender Offer, it must be signed and
stamped by the Tenderer before its submission.
3.3 Prices and their particulars must be typed or written in ink and should not be written in
pencil. All pages of the Tender Offer, especially those containing the total prices and their
term must have the stamp of the Tenderer establishment affixed to them.
3.4 The Tenderer shall submit his Tender Offer prices in Qatari Riyals or US Dollars. The related
schedules of the Rates and Prices and all other monetary statements in connection with
the Tender are to be in Qatari Riyals or US Dollars.
3.5 The name of the responsible person signing must be typed or printed below signature. The
official stamp of the Tenderer must be fixed.
3.6 In case of any differences, ambiguity or discrepancy between the original and other copies
of the Tender Offer, the original documents shall prevail.

4. All questions/query or requests for clarifications pertaining to commercial,


contractual or technical matters of this Tender prior to submission of duly completed
Tender Offer shall be addressed as per Sub-Section 4.3 below in writing, quoting the
Tender number and title.
4.1 Tenderer’s query should reach in writing thru email address of the Tenders &
Procurement Committee (T&PC) at tpc@qatarcement.com and shall be addressed
as mentioned in Sub-Section 4.3 below.
4.2 Query shall be considered only if reached before Seven (7) days from the closing date
of this Tender, any query reached thereafter may be ignored.

The Tender Offer must be handed over to the Tender and Procurement Committee
before being deposited in the respective Tender Box. The Tender and Procurement

General Conditions of Tender


1. Brief Meaning:
1.1. The Company/ The Owner means “Qatar National Cement Company (Q.P.S.C.)”;
P.O. Box 1333, Doha, State of Qatar, the Owner has issued for this Public Tender
No.: 04/23.
1.2. The Tenderer means a Company, an Establishment or a firm has applied &
participated in the aforementioned “Public Tender” conditional to the submission
all the required documents cited in the Tender announcement with the payment
of Tender fees for collecting the Tender Documents.
1.3. Variation Orders mean an appendix or appendices to the Contract which specifies
material amendments including variations to any part of this Contract which may
be mutually agreed upon between the Parties after the signing of this
“Construction Contract”.
1.4. Integral Conditions to Contract means the Scope of Supply and Works, Particular
technical Terms, Tender General Conditions, annexes, appendices, drawings and
schedules annexed thereto, if any or subsequently issued.
1.5. The Contract means the agreement to be signed between “The Company” will be
named in the Contract as “The Owner” and the successful Tenderer of this Public
Tender No.: (PTNO 04/23) will be named in the Contract as “The Contractor” who
will be assign of this Contract for the execution and completion of the required
Scope of Supply and Works at the site.
1.6. Insurance Cover means the necessary insurance policies coverage shall be
arranged by the “Contractor” and before executing the “Scope of Supply and
Works” in the site as mentioned in the General Conditions of the Contract Sub-
Section No. 19.5.
1.7. Drawings & Documentations means all drawings, information and documentation
specified in the Contract and all other documents required to be submitted by the
successful Tenderer to the Owner for the design, engineering, fabrication, supply
and implementation of all the required equipment and all the required installation
and construction works at the site(s) as prescribed in this Tender Documents.
1.1 Sub-Contractor/Sub-Supplier means any person(s) (other than the Contractor)
named in the respective form of sub-contractor and Sub-suppliers - Appendix C for
the execution & completion of any part of this Tender’s Scope of Supply & Work to
whom any part of the Contract has been sub-let with the written consent of the
Owner.
2. Validity of Tender Offer
2.1 Tender offer must remain valid for acceptance for a period not less than ninety
(90) days commences from the closing date of this Public Tender.

3. Tender Bond
3.1 Tender Bond shall be enclosed with the Tender Offer in the form of bank guarantee or
Manager’s cheque issued by one of a bank operating in the State of Qatar approved by
the QNCC/the Owner amounting to QAR 100,000.00 (Qatari Riyals One Hundred
Thousand only) or equivalent it in dollar. It must be unconditional and valid for 120
days commences from the fixed closing date of this Public Tender. The Tenders and
Procurement Committee reserves the right to exclude any tender offer which does
not include the required Tender Bond.
3.2 Upon the receipt of the 10% bank letter of Guarantee/Performance bond and singing
of the Contract with successful Tenderer the Tender Bond should be returned to
Tenderer(s).
3.3 The Tenderer shall not withdraw his Tender Offer or amend his offered terms and prices
after the closing date of the Tender. In the event of the withdrawal of his Tender Offer
before its validity end, his Tender Bond will be subject to forfeit.
4. Expenses of Tendering
4.1 The Owner/QNCC shall neither be responsible for any expenses nor losses which may
be incurred by any Tenderer either in the preparation of his Tender Offer or in any way
whatsoever arising out of the announcement and elaboration of Tender Offer for the
required supply and construction works.
5. Cancellation of the Tender, Acceptance or Exclusion of Tender Offer
5.1 “QNCC/the Owner” has the right to cancel this Public Tender without giving any reason(s)
and/or award it on partial basis. The Tenderer is expected and deemed to have agreed to
supply a part of the Items or execute part of works at the same prices as offered.
5.2 “QNCC/the Owner” is “not” committed to accept any Tender Offer(s) with the least price.
5.3 “QNCC/the Owner” has the right to exclude Tender Offer(s) which are not conforming
to Conditions of this Tender.
6. Each Tenderer must demonstrate, that he and his Personnel/Team had previously
implemented other similar project subject of this Public Tender, together with evidence
that this similar project has continued to be successfully operative for a period of time.
7. Performance Bond
The Successful Tenderer shall submit bank letter of guarantee/performance bond as per the
format provided in this Tender Documents amounting to 10% (ten percent) of the total Contract
Total fixed Price and issued by a bank operating in the State of Qatar approved by QNCC/the
Owner. The performance bond shall be effective before signing the Contract shall be valid up
to the expiry date of four (400) days commencement from the issuing date of the Provisional
Acceptance Certificate by QNCC/the Owner. The said guarantee is covering any default that
maybe appeared in the supplied items or in any portion/part or section of completed works
and/or delay or failure in fulfilment of “The Contractor’s” contractual obligations during such
period.

8. Examination of these Tender Documents on the ground to assess the Terms and
Conditions stipulated in these Tender Documents & gather information and
Conformity
8.1 Tenderers are advised to examine and thoroughly acquaint themselves with the
contents of these Tender Documents and take all further steps necessary to
ascertain for themselves, collection of information and any additional information
necessary for submitting a Tender Offer.
8.2 Submission of Tender Offer shall be deemed to indicate that the Tenderer has
satisfied himself regarding and undertakes to accept and comply with all the
obligations, liabilities, responsibilities and risks imposed upon him by these Tender
Documents. Submission of Tender Offer shall deemed to indicate that the
Tenderer has made himself acquainted & satisfied himself with the prevailing site
conditions, circumstances, laws in order to discharge his
responsibilities/obligations under these Tender Documents.
8.3 Tenderers at their own expense shall visit the site if needed and obtain by
themselves all information which may be deemed necessary to enable them to
submit a fully comprehensive and sufficient Tender Offers.
8.4 No claim whatsoever will be entertained arising out of Tenderer’s failure to study
local conditions, laws, duties and taxes as well as specifications, drawings, existing
facilities etc. or to obtain reliable information in respect of supply and works or
otherwise.
8.5 The attention of the Tenderer is drawn to the fact that the Tender Offer has to be
on fixed price basis with no provision for price variations for labor, materials,
currency variation taxes and duties, which may arise during the
execution/implementation period of the Contract.
9. Correspondence/Notices shall be done by Tenderer on the address of the
Owner/QNCC stipulated else where giving in these Tender Documents. All
Invoices/notices should mention the Tender Number, Title of Tender.
9.1 The Owner/QNCC shall issue/send correspondence/notices to the
Representatives of the Tenderers as provided in their “Tender Offers”
Submitted in this “Public Tender” No.: 04/23.
9.2 QNCC/the Owner and Tenderers shall immediately notify each other of incase
of any change in such address for any reason whatsoever.
10. Contract Documents
10.1 The successful Tenderer shall enter in a Contract with QNCC/the Owner
outlining the conditions as enumerated in theses “Tender Documents” and
with the Contract total fixed price and additional Conditions as agreed by the
Parties of Contract.

10.2 The Contract will be drawn up in three originals duly signed by authorized
signatories and stamped by official seal of either Party of Contract. The Succesful
Tenderer/Contractor as second party will receive one original Contract.
10.3 The Contract shall be binding on the successor(s) in the event of change in
Ownership of either party.
11. It is understood that each “Tenderer(s)” by submission of his Tender Offer in this “Public
Tender” No.: 04/23 that he/they accepted the awarding of the Tender on partial basis
without any objection from them.
12. Assignment and Sub-Contractor/Sub-Supplier
The Contractor shall execute the Contract himself and he shall not assign it in whole or in
part or sub-let it wholly or partially without the prior written consent of the Owner/QNCC.
If permitted by the Owner/QNCC to assign the whole Contract or part thereof, the
Contractor shall guarantee the proper execution of the contractual obligations by the
assignee. The Contractor and the assignee shall be jointly responsible on sub-letting. The
Contractor shall be responsible for the acts, defaults and neglects of any sub-Contractor,
their agents, servants or workman as fully as if they were the acts, defaults or neglects of
the Contractor, his agents, servants or workmen.
13. Method and Payment Terms
The proposed terms and methods of payments shall be settled as per the payment
terms mentioned in the General Conditions of Contract Clause No. (6) provided in this
“Tender Documents”.
14. Mistakes & Errors
14.1 The Tenderer shall be responsible for any discrepancies, errors or omissions in
the drawings and information provided by him, whether they have been
approved by QNCC/the Owner or not.
14.2 The Tenderer, however, shall be responsible for any misunderstanding or
incorrect information obtained by him.
14.3 The Tenderer shall at his own expense carry out any alterations or remedial work
necessitated by reason of such discrepancies, errors or omissions for which he is
responsible and modify the drawings and information accordingly, or it the same
be done by or on behalf of QNCC/the Owner shall bear all costs reasonably
incurred therein. The performance of his obligations under this clause shall be in
full satisfaction of the discrepancies, errors or omissions.
15. Settlements of Disputes & Applicable Law
15.1 All disputes shall be settled by Qatari competent court(s) in accordance with the
applicable Qatari Laws.

A. TITLE OF THE TENDER


Design, Civil, Electrical, Mechanical, Marine Work, Engineering, Manufacturing, Supply,

B. SCOPE OF WORK
1. Seawater intake system consists of 03 nos. Beach Wells located at suitable distance & depth up to
30.00 meter, 2 in operation and 1 standby. Seawater intake pumps, vertical, construction of materials,
seawater resistant, like GRP/PVC/PE/HDPE/PP special stainless steels, pumps with dry run protection,
self-cleaning strainers at bottom avoiding to sediments entry to intake screens of pumps with hydro
burst / air blast system for cleaning if necessary.
2. Environment impact, return and reject system.
Separate dumping ”beach well” with suitable depth, so that surface seawater quality should not affect
/ contaminate follow pollution rules ISO9001/ Qatari standards all rejects be dumped to ACQUAFIER
underground.
3. - Raw water (Seawater) storage tank 600M3 cap. GLS API 650.
- Draw back flushing tanks for pressure vessels / permeators cleaning
- All tanks with level sensors, automatic filling, float valves, gauges mechanical pulley counter weight
type & digital displays etc.
4. Chemical Injections
• Pre-chlorination of raw sea water prior to storage preferably by calcium hypochlorite.
• Post chlorination of product water prior to product water storage tanks of QNCC.
• Chemical injections for anti-scaling, pH correction, zero chlorination, polymers, flocculants,
electrolytes, coagulant-dosing, sodium metabisulphate injections, or M50 etc. potable
water pH correction by sodium bicarbonate, all chemical injections pump in duplex, solution
tanks 48 hrs. cap with agitalors as well.
5. Filtration Unit
a) Multimedia filters with automatic back washing & SDI ≤5 - 3 sets
b) Carbon Filters, with automatic back washing - 3 sets
c) Micronic filters (duplex) 30µm / 5µm, independent for each unit - 2 sets
d) Basket filters prior to raw water storage tank common - 2 sets
Each 1000 MTPD unit will have own independent filtration units, Basket filter one automatic other
manual. All filters with differential pressure gauges, flow indicators with proplyene cartridges 30µ and
followed by 5µm/1.5µm.
6. Pressure Vessels/ Permaetors/ membrane modules
FRP composite permeators TFC, polyamide spiral woven wire type. Membrane dia 8″ makes
internationally known TORAY-Japan, Hydronautic. Dow filmtec, Code line Kotch, USA/JAPAN/FRANCE,
design temperature up to 49˚C, highest rejection rates, mounted in arrays/ series, protected with high
temperature, pressures, minimum flow and ORP monitor etc. Automatic membrane flushing
arrangement. Separate skid for chemical cleaning complete hook up arrangement for chemical de-
scaling cleaning/restoration of membrane to original production etc.

prewired, preassembled, pretested, electric panels all major components in the containers, but

10. Product Water Quality


Recovery of unit 30% (guarantee item) product water quality to WHO 2nd edition 1993, Average TDS
250-350 PPM. Ph 7.2-8.5, with post chlorination/UV sterilizer, oil & grease free, odorless, tasteless,
no TURBIDITY Or ˂I NTU, manganese & iron free.
Stores:
To construct the room for storing chemicals & spare parts with A/C to be built up, minimum size: 4M
x 10M with partition for spares & chemical separate section, See attached sketch.

Training:
During guarantee period, training to QNCC operators / engineers / technicians to be imparted for 3
months.
Special tools & lifting tackles for maintenance:
Tool kits for fitters, electrician and instrument mechanics 02 sets of tools boxes to be provided. TDS
meters lab kits, SDI meters, portable chlorine comparators, conductivity meters, necessary tools for
maintenance to be provided in double sets.
O & M – Manuals:
Layouts, P & I diagrams, electrical, mechanical, instrument, drawings, manual of all unit components
& equips, valves, pumps, motors, panels with printed leaflets in 3 sets etc.
Guarantee:
30 % recovery to be guaranteed, also for noise level 65db, also guarantee for leakages, wear and tear,
poor work manship, manufacturing & design defects, expected life span of membrane feed rates vs.
production rates, 1 year guarantee, free replacement of defective items.
Company having a office in gulf for after sale service shall be preferred, supplier must have similar
SWRO units in Gulf countries/Qatar shall be preferred.
Delivery Period:
After the receipt firm & final order, units be completed with 20-24 weeks. Prior to quote contractor
must visit Ummbab seashore for visual survey & real job involved. All equips & items must be from
internationally known supplier make & ISO 9001, seawater analysis shall also be carried by bidder if
required by him for verification.
Painting:
Coating on skids, non scratching non corroding, epoxy grade, food grade paints, for painting to Swiss
standard to be followed, cleaning of surfaces to Sa2.5
General:
Various details, mentioned above are just guideline, but superior materials / alternative high
efficiency plants / superior ultramodern technical plants are acceptable with the minimum delivery
period, other than ISO 9001,14001, like VDE/DIN/BS/ASTM/ASA standard acceptable to us.

The Tenderer(s)/Contractor(s) must submit the following documents which are considered as a
preference between the Tender Offer at the technical evaluation stage.
1. Tenderer(s)/Contractor’s Legal Documents
The Tenderer(s)/Contractor(s) must submit his legal/government documents and brief description of
his Company such as a current copy of the Commercial Register along with a copy of Computer Card,
Company profile, and any other relevant certification etc).
2. Financial Status
The Tenderer(s)/Contractor(s) shall submit copy of annual financial statements duly audited by an
approved certified firms for the last three years.
3. Management and Project Structure
a) The Tenderer(s)/Contractor(s) must submit specific Organizational Chart for this scope of supply
and work. Detailed organizational structure of the dedicated team for this project including the
CVs of leader / team members to drive the works at the site.
b) The Tenderer(s)/Contractor(s) shall also enclose a schedule of works and resource mobilization,
committed, anticipated man-hours and role allocation for his staff.
c) Level sufficiency of manpower.
d) Detailed scope of work against provided scope of work guideline
e) Timeline / Adherence to the proposed timeline (alternative accelerated program is welcomed)
f) Execution Plan for this project
g) Schedule of milestones
4. Tenderer(s)/Contractor’s Track Record and Experience
a) The Tenderer(s)/Contractor(s) shall provide a description of at least five projects of a similar value
and complexity to the Scope of supply and works within the past ten years.
b) The Tenderer(s)/Contractor(s) to prove that he carried out earlier, a similar projects and
accomplished successfully according to the requirements of its clients.
c) The Contractor(s) shall submit along with his bid the proposed design.
5. Machineries and Equipments

GENERAL CONDITION OF CONTRACT


In this part/section the following expressions shall have the meanings ascribed to them hereunder
except where the context otherwise requires.
“THE CONTRACT” shall include the Form of Agreement, General Conditions of the Contract, Scope of
Supply and Works, Technical Specification, Reports, Bill of Quantities, Format of Breakdown of the
Prices and all agreed documents in relation to the items shall be supplied and works shall be
executed at site.
“THE OWNER” means Qatar National Cement Company (Q.P.S.C.) or his Lawful assignee or Successor.
“THE CONTRACTOR” means the successful Tenderer has signed the Contract or his lawful assignee or
Successor.
“THE PARTIES” means the Owner and the Contractor.
“SCOPE OF SUPPLY AND WORKS” means the items required to be supplied and the works to be
executed at site by the Contractor as described in the Tender Documents.
“CONTRACT TOTAL PRICE” means the fixed total lump sum price as set out payable to the Contractor
by the Owner in accordance with the Terms and Conditions of Contract.
“DESIGN” means all the items to be provided and the works to be executed by the Contractor in
accordance with Scope of supply and works and others Contractor’s responsibilities mentioned in
this General Conditions of Contract described in the Tender Documents.
“OUTLINE DRAWINGS” means the drawings prepared by the Contractor and annexed to or issued with
this Standard Conditions and contained in the Contract.
“PROVISIONAL ACCEPTANCE CERTIFICATE” means a certificate issued and signed by the Owner and
delivered to the Contractor stating that the works have been substantially and successfully completed
at site in accordance with the terms and conditions of Contract.
“TEST OF COMPLETION” means such tests to be undertaken by the Contractor in accordance with
the terms of the Contract with such additional tests as agreed upon between the Contractor and the
Owner for the issuance of the Provisional Acceptance Certificate.
“FINAL ACCEPTANCE CERTIFICATE” means a certificate issued and signed by the Owner and delivered to
the Contractor stating that all the supplied items and executed works are successfully completed with no
defect and issued by the end of four hundred (400) Days calculated from the issuance date of Provisional
Acceptance Certificate and with no default as per Terms and Conditions defined in the Contract
“DEFECT LIABILITY PERIOD” shall have the meaning assigned to this term in the Defect Liability Period
Section to be contained in the Contract which covers the default in the supplied items or in
performance in any part or section works for a period of four hundred (400) days from the date of
issuing the Provisional Acceptance Certificate to the Contractor.
INTERPRETATIONS
1. A reference to an individual or person includes a corporation, firm, partnership, joint venture, association,
authority, trust, state or government and vice versa.
2. Words importing the singular shall include the plural and vice versa
3. A reference to any gender includes all genders.
4. A reference to any agreement or document is to that agreement or document (and where applicable of
any of its provisions) as amended, innovated, restated or replaced from time to time.

5. A reference to any party to the agreement or any other document or arrangement includes that party’s
executors, administrators, substitutes, successors and permitted assigns.
6. Article/Clause headings and index are for reference only and shall not affect interpretation.
7. The Annexes attached to this Schedule shall form a part thereof, however in the event of any conflict
between the Annexes and Articles of this Schedule, the articles shall prevail.
8. If any terms or any part thereof (in this Article called the “offending term”) contained in this Schedule
shall be or be declared or become unenforceable, invalid or illegal for any reason whatsoever then
provided the commercial intent of the agreement is not adversely affected the other terms of this
Schedule shall remain in full force and effect as if the Agreement had been signed without the offending
terms appearing herein. The parties hereto agree to substitute if possible for such offending term a new
term which serves the purpose of the offending term to the fullest possible extent.
1. COMMENCEMENT PERIOD FOR COMPLETION
1.1 The Period for completion commences from the date fixed on the letter of award issued by “The
Owner” for commencement of the supply of the items for execution and completion of the Works at
Site once “The Contractor” acknowledges and accepts the letter of award sent to him by “The Owner”.
1.2 Items and works shall be supplied and executed within the time schedule contained in the Contract as
per the terms and conditions of the Contract.
1.3 There shall be no extensions to the period for the supply and completion of the works unless the
Contract period is extended with the written consent of “The Owner” in which case the corresponding
extension shall be granted to “The Contractor” provided such extension is required due to the default
of “The Owner” or “The Contractor” or for reasons as stated in the Contract.
1.4 Terms defined in the other documents of Contract where applicable shall have the same meanings
used herein unless the context requires otherwise.
2. SCOPE OF SUPPLY AND WORKS
“The Contractor” shall undertake to design, supply the items and execute the works at site in accordance
with the terms and conditions as set out in the Contract.
3. The “Contractor’s Facilities and Equipment
3.1 Site Facilities
During the execution period of Contract, “The Contractor” shall arrange to provide himself and his
personnel with the necessary accommodation and facilities at the site.
3.2 Equipment and Materials
Specialized equipment and materials furnished by “The Owner” to “The Contractor” or purchased
by “The Owner” for “The Contractor” if required with funds wholly supplied or reimbursed by “The
Owner” shall be the property of “The Owner” and shall be so marked for identification purposes
by the Contractor” and/or “The Owner”. “The Contractor” shall be responsible for ensuring that
any such equipment and materials provided by “The Owner” are maintained by it in good condition.
3.3 Disposal of Equipment and Materials
Upon completion or termination of the Scope of works at site, “The Contractor” shall furnish to the
Owner inventories of the equipment and items supplied to him by the Owner, which are to be
disposed or deliver the equipment to “The Owner” and dispose of any unwanted items as directed
by “The Owner”.
3.4 Site Personnel
All persons/manpower working for “The Contractor” shall be under his direct
employment/sponsorship and supervision

3.5 Storage Facilities


The Contractor shall provide his own covered storage facilities as may be necessary for the proper
storage of material and equipment or any part thereof until completion of the Works.
4. TIME SCHEDULE
The Time Schedule for execution and completion of the project of this Contract will be as mentioned in
the Scope of Supply and Works, starting from the date fixed by “The Owner” in writing under the letter
of award that will be delivered to the Contractor after the signing of this Contract.
5. CONTRACT TOTAL PRICE PAYABLE TO “ THE CONTRACTOR”
The Contract Total Fixed Price payable to the Contractor for the provision and completion of the Scope
of Supply and works shall be allocated and payable in respect of the different stages of the Scope of
Supply and Works as provided hereunder.
5.1 Contract Total Price for Modified in the Scope of Supply & Works.
Where additional works are necessary due to changes within the Scope of Supply or Works
requested by the Owner an additional price to be mutually agreed upon by the Owner and the
Contractor shall be granted to the Contractor.
The basis for the additional price shall be agreed to in writing between the Owner and the
Contractor prior to the commencement of provision of the additional materials supply or works.
5.2 Inclusive Contract Total Price
5.2.1 The Contract Total Price payable to the Contractor shall include all cost, overhead, profits, taxes,
charges, payments to his sub-contractor(s) and all costs and expenses of whatsoever nature for
the performance and completion of the Scope of Supply & Works pursuant to the terms of the
Contract.
5.2.2 “The Contractor” by signing this Contract confirms that he is aware of all other cost or charges to
be incurred and which are necessary for it to carry out and complete the Scope of supply and
works required under the Contract.
5.2.3 No claim will be accepted by the Owner from the Contractor due to the Contractor’s lack of
knowledge in respect of any matter affecting the level or adequacy of the Contract Total Price
payable to the Contractor pursuant to the terms of the Contract.
6. PAYMENT TERMS/MODE OF PAYMENT
The Owner is obligated to pay the Contract total lump sum fixed price as per the methods & terms of
payment mentioned herein below:-
6.1 All payments shall be made through account payee cheque/bank transfer. In case of bank transfer,
the contractor shall provide a duly signed and stamped invoice showing the complete bank detail.
6.2 The Owner shall pay to the Contractor an advance payment amount, equivalent to the value of 10%
of the total Contract price, upon submission of advance payment guarantee of same value, within 10
days following the Contract concluded date and against receipt by the Owner. The advance payment
guarantee must be issued by a bank operated in the State of Qatar and must be valid till issuance of
Provision Acceptance Certificate (PAC). The advance payment shall be recovered against the monthly
progress invoices/interim payment certificates.
6.3 The balance of the contract total fixed price shall be made within 45 days from the receipt of an
interim payment certificate along with all supporting documents and necessary approvals from the
Owner.
6.4 Interim payment certificates shall be approved, if the work has been performed in accordance with the
agreed speciifcations and shall correspond to completed work.
6.5 An amount of 10% of each interim certificate value shall be deducted as retention money. The
retention money shall be returned upon issuance of Final Acceptance Certificate (FAC).

Turnkey Project at Owner’s Site on Umm Bab Seashore”.

6.6 Performance Bond


Performance Bond of 10% of the Contract total lump sum price will be issued by a Bank operated in
the State of Qatar approved by the Owner and the validity start of this letter of guarantee before
signing the Contract and remain valid until expiry of Four Hundred (400) Days of the Defect Liability
period, which should be calculated from the date of issuing the Provisional Acceptance Certificate
(PAC).
6.7 Currency
The Contract total fixed price payable to “The Contractor” shall be calculated and paid in QAR/USD.
7. LIQUIDATED DAMAGES FOR DELAYS
Should the Contractor delay or fail to supply the Items or execute or complete the Works within the
contractual completion time schedules as defined in the Contract and should the damage be deferred
due exclusively to such delay, the Owner shall be entitled to receive/impose liquidated damages
calculated on the basis of 0.5% for each week of such delay up to a maximum of 10% of the Contract
Total Price.
8. FORCE MAJEURE
8.1 Remuneration
If at any time before the completion of the “Scope of Supply and Works” under the Contract or
any part of the Services shall be damaged or destroyed as a consequence of Force Majeure, as
defined in Clause 8.3 hereof, occurring within the State of Qatar beyond the control of “the
Contractor” and form unforeseen cause, “the Contractor” will receive the proportionate
remuneration for any additional Works or Services which may be requires to be designed and/or
supervised by him as a result of such damage or destruction.
8.2 Circumstances Beyond Control
Any of the Parties affected by Force majeure shall promptly notify the other Parties in writing of
any situation or event occurring within the State of Qatar arising from any circumstances beyond
their control, which is unavoidable and which could not reasonably be foreseen and which makes
it impossible for the affected Party to carry out in whole or in part its obligations under the Contract.
8.3 Default
Neither Party shall be considered to be in default in the performance of its obligations hereunder
as a result of Force majeure, which as implied herein, shall mean Acts of God, War (declared or
undeclared), riots, civil commotions, revolutions, hostilities, strikes, epidemics, accidents, fire,
floods, earth-quakes, explosions, blockages, nuclear hazards, extreme weather conditions and any
other cause similar to the kind herein mentioned or of equivalent force occurring within the State
of Qatar which is beyond the control of the Parties, unavoidable which could not reasonably be
foreseen and which renders impossible the fulfillment of this Contract.
8.4 Delays in Performance
If the performance of any obligations or responsibilities of any Party is delayed for more than thirty
(30) days, the term of this Contract shall either be extended for such period or the Contract may be
terminated at “the Owner’s” choice. In the event that the performance of the works are prevented
in whole or in part due to an occurrence referred to in Clause 8.3 hereof, then “the Owner” shall
have the option at any time after the commencement of such occurrence to terminate the Contract
by giving written notice to “The Contractor”. The payment on termination shall be assessed as the
reasonable and actual cost incurred by “The Contractor” to demobilize those staff whose works
are related to the scope of supply and work.

8.5 Notice of Termination


If a termination notice is given as a result of Force Majeure as per Clause 8.4 above, the
termination shall become effective upon receipt by “the Contractor” of “the Owner’s” notice to
terminate.
8.6 Termination of the Contract
Should the “Contractor” fail for more than thirty (30) days after written notice to discharge its
contractual obligations as set out in the Contract and cease to comply with provisions of the scope
of Supply and Works except in the case of Force Majeure, the “Owner” shall have the right to
terminate immediately the Contract.
9. CONFIDENTIALITY
9.1 “The Contractor” shall treat the details of this Contract and all documents prepared hereunder as
private and confidential (save in so far as it may be necessary to pay any such decisions for the
performance of its duties hereunder) and shall not publish or disclose the same or any particulars
thereof in any trade of technical paper or elsewhere without the prior written consent of “The Owner”.
“The Contractor” shall ensure that its personnel and sub-Contractor enter into similar
confidentiality undertakings towards “the Owner”.
9.2 All documents shall remain the property of “the Owner”
9.3 All documents prepared by “The Contractor” for the project or provided to him by the Owner shall
remain confidential during the contract execution period, the drawings shall remain in the sole
custody of the Owner.
10. INFORMATION REQUIREMENTS
10.1 “The Contractor“ shall submit the following information to “the Owner”, at such regular interval
as are appropriate:
a) A copy of the minutes of all meetings either between “The Owner” and “The Contractor” and
(unless required not to do so) between “The Contractor” and “The Owner”.
b) All written confirmation by the Contractor of the verbal instructions of “The Contractor“.
c) All communications from “The Contractor”, which:
1. State or indicate the possibility of an intention to claim additional time or money.
2. Relate to security, access or personnel to the Site area, accidents and safety of personnel,
insurances or other matters, which may be considered of interest to “The Owner“ or may
require action by him.
3. Make a request for additional drawings, specifications, information or design details.
d) Programmer and Schedules as follows:
1. All programs and schedules of information requirements from the Owner to “the
Contractor” and vice versa.
2. All revision to the Owner’s original construction programs.
3. All interim or stage programs issued by the Owner.

e) Monthly project status reports, which must include statements on :


Progress of Items and Works;
1.
Performance of the Contractor in particular with regard to non-compliance with all such
2.
duties and obligations as are contained in the Contract and the Specifications.
3. Quality of the Works.
4. Supply or delivery problems and action taken.
5. Any material variation to the Contract period or Contract price with financial details and any
reasons which indicate, in view of Contractor, that these are likely to be varied in the future.

f) Full details of the Contractor’s manpower maintained on the site, calculated and reported on a
monthly basis.
10.2 Instructions
In the event of CONTRACTOR giving a decision or instruction to the GENERAL CONTRACTOR under
Clauses … (CONTRACTOR’s Duties) … (PROGRAMME TO BE FURNISHED), … (POSSESSION OF SITE),
… (SUSPENSION OF WORKS), (EXTENSION OF TIME FOR COMPLETION) … (PENALTIES FOR DELAY IN
COMPLETION), … (TAKING OVER CERTIFICATE), … (VARIATION), … (ISSUE OF FINAL ACCEPTANCE
CERTIFICATE), … (SUBMISSION OF FINAL ACCOUNT) … (PROVISIONAL SUMS) of the Construction
Contract, then CONTRACTOR shall prior to notifying the GENERAL CONTRACTOR of the decision or
instructions, submit a detailed report to the CLIENT/OWNER and discuss the contents of such
report with the OWNER. CONTRACTOR shall obtain such approvals as may be necessary or
required in accordance with the terms of the Contract from the OWNER.
10.3 Variations
“The Contractor“ shall clearly identify any Variation Orders as being issued one of the
following categories:
a) Variations which alter, amend or delete items contained in the Contract and which
Variation does not alter the Scope of Works, is not charged against contingencies and
which does not increase the Contract Value;
b) Variations which will increase the Contract Value and will require the commitment of
additional funds
c) Variations due to unexpected charge during the execution period of this Contract.
10.4 Handling-Over
10.4.1. When the Contractor shall determine that a part or all of the Works has been
completed by the Contractor and is acceptable for use by the Owner then the
Contractor shall give sufficient prior written notice to the Owner that such part is
substantially completed and is ready for handing over and the Owner shall check and
approve, then if accepted the Owner will issue the Provisional Acceptance Certificate
as per applicable Clause (Provisional Acceptance Certificate).
10.5 Field Staff
The Contractor shall appoint field staff for adequate direct site supervision to ensure full
compliance with the Contract Documents and specifications, including any modification
thereof. The qualifications and experience of the field staff should be approved by the Owner
prior to their appointment. The Contractor shall carry out supervision during the Construction
period and assist “The Owner“ during Defects Liability Period. The manpower deployment
will be as per Schedule.
10.6 Replacement of Appointed Staff
“The Contractor“ shall not replace the staff initially appointed under this Agreement without
first obtaining the prior written approval of “The Owner“. Any request to replace the staff
shall be accompanied by the curriculum vitae of the proposed new staff and an undertaking
that such change of staff neither inconveniences “The Owner“ nor causes to “The Owner“ any
delay or extra costs.
10.7 Qatari Nationals
“The Contractor“ shall appoint where available qualified Qatari Nationals for the execution of
this Contract.

11. ASSIGNMENT
“The Contractor“ shall not assign or transfer the benefit or obligation of the Contract or any part thereof to
any third party without the prior written approval of “The Owner“. However, “The Contractor“ shall be
entitled at any time to take into partnership another partner or partners (or directors) and he or they shall
be deemed to be included in the expression “the Contractor”.
12. TAXES
“The Contractor“ shall be responsible for the payment of all taxes including income tax, customs or import
duties, training levies and all other levies and taxes applicable by any regulatory or concerned authority
within the State of Qatar. Any new taxes decides by State of Qatar Authorities or modifications of the
existing taxes after the date of signing of the Contract shall be mutually discussed in order to adapt the
contractual price accordingly.
13. VISA AND PERMITS
“The Contractor“ shall be responsible for the fees for obtaining all visas and permits required in the
performance of the Contract. “The Owner“ shall be responsible in obtaining such visas and permits.
14. DUTIES AND RIGHTS OF THE OWNER
14.1 Information to Contractor
“The Owner“ shall furnish all pertinent data and information available to it and shall give such
assistance as shall reasonably be required by “The Contractor“ for performing its duties and
discharging its obligations under the Contract.
14.2 Decisions
“The Owner shall give its decisions on all sketches, drawings, report recommendations and other
matters properly referred to it by “The Contractor in writing and in reasonable time so as not to
delay the performance by “The Contractor“ of the Scope of Services under this Contract.
14.3 Entry to the Site
The Contractor shall be provided non-exclusive access to the Site, at such times and in such
order as maybe required to enable the Contractor to carry out the works as per the approved
Program.
14.4 Permits, Consents, Etc.:
The Owner shall be responsible for obtaining any land use, zoning or appropriation permission
or approval required in Qatar for the Site, and the Contractor shall provide such assistance to
the Owner in this regard as the Owner may reasonably request. The Contractor shall be
responsible for obtaining all other permits, permissions and authorizations for execution of the
Works.
15. THE CONTRACTOR’S RESPONSIBILITY
15.1 General
The Contractor shall with due care and diligence, execute and complete the Works and remedy
any defects therein within the time periods specified with the provisions of the Contract to the
satisfaction of the Owner including but not limited to:
a) Execution of the Works in accordance with all requirements and criteria in the Contract and
in accordance with standards of care and diligence generally practiced by erection firms
possessing high levels of skill, experience and expertise and in a manner suitable for the
intended purpose.
b) Completion of the Works by time for Completion.
c) Providing of all site management with experienced supervisors, and skilled labour, suppliers
and Contractor’s equipment as required for the timely execution of the Works.
d) Make good in a timely manner any defects in the Works; and
e) Providing of all information and reports relating to the Works, within the applicable times for
completion of the Works.

15.2 Contractor’s Performance


a) The Contractor warrants that he has available experiences and capability including sufficient
and competent supervisors and other technical experts and personnel to accomplish, make
good and maintain the Works in the manners and quality satisfactory to the Owner, and that
any new Contract with a Third Party undertaken by the Contractor shall not adversely effect
the interest of the Owner hereunder.
b) The Contractor acknowledge that he has satisfied himself as to the nature of the Works, the
location and peculiarities of the site of Works, climatic conditions, quality and quantity of
equipment and material required, type and magnitude of engineering procurement and
construction services and labour requirements, construction tools and equipment and
facilities required for progress of works, and shall not affect the required for progress of the
Works under the Contract.
15.3 Contractor’s Representations and Warranities
The Contractor futher represents and warrants that:
a) All means, methods and techniques utilized for the execution of the Works shall be
appropriate with the conditions and specifications currently prevailing;
b) All workmanship will be free from defects not inherent in the quality required or permitted;
c) All Contractor’s equipment’s shall be of suitable type and quantity for the timely execution of
the Works;
d) The Works when completed will conform to all laws, regulations, ordinances, codes or other
requirements or standards having the force of law and that are applicable to the site.
15.4 Contractor’s Representations and Warranties
16. INCOMPATIBILITY OF CONTRACT
“The Owner“ shall safeguard “The Contractor“ against the consequence of any incompatibility
between the provisions of this Contract and the Qatari Laws of the State of Qatar, as may be issued
after signature of the Contract and have a retrospective effect, unless such legal provisions had been
accepted in writing by “The Contractor“.
16. REPATRIATION OF STAFF
17.1. Should “The Owner“ request, “The Contractor“ shall arrange to suspend the employment of, or
repatriate, any staff employed by “The Contractor“ for the provision of the Scope of Services, if
in the opinion of “The Owner“ such suspension or repatriation is necessary for the completion of
the works. All such costs, charges, expenses, financial consequences or liability arising from such
suspension or repatriation shall be the responsibility of “The Owner“.
17.2. In the event of a suspension or repatriation in accordance with clause 17.1 above then then “The
Contractor“ shall forthwith arrange a replacement person of suitable experience and such
person shall be approved by “The Owner“ prior to the replacement.

18. OWNER’S APPROVAL


“The Owner’s“ specific approval in writing shall be required by “The Contractor“ prior to the following:
a) Assignment or subletting by the Contractor of any part of the items required or any section/part of
the works. Any direct instructions by the Contractor imposing to its provided manpower a method
of working different to that stated in the Contract or modifying the accepted method included and
agreed at tender stage.

19. SCOPE OF LIABILITY OF CONTRACTOR


19.1. Errors and Omission
“The Contractor“ is liable for all detrimental consequences of its recommendation, negligent acts,
errors and omissions on its part or on the part of the employees, sub-Contractors, agents or
assignees in discharge of its contractual obligation under this Contract.
The Contractor’s Manpower shall execute the works in accordance with all the requirements and
criteria in the Contract and in accordance with standards of care and diligence generally practice and
expected by the Contracting Firms possessing high level of skill, experience and expertise and in a
manner suitable for the intended purpose.
19.2. Defects
“The Contractor“ at his own expense, carries out any alterations or remedial design necessitated by
reason of such errors and omissions for which he is responsible and modifies the drawings and
information accordingly.
19.3. Limitation
It is also understood that the Contractor has no responsibility of fulfilling any obligations out of the
obligations defined in this Contract.
19.4 Violation of Rights of Third Parties
“The Contractor“ shall be responsible for the violation of the rights of third parties unless he has not
been given correct information concerning their provision or rights or that he has brought to the
notice of “The Owner” such liability before hand-Over.
19.5. Insurance Cover
“The Contractor” shall provide to “The Owner” a Certificate of Insurance relating to Professional
Indemnity to cover its Liability as defined hereinbefore. Such Certificate shall be issued in accordance
with the Qatari Laws of the State of Qatar. The provision of such certificate shall not lessen or reduce
the liability of “The Contractor“ as contained in Clauses 19.
During the supervision of construction, and generally speaking during the period of presence of
personnel of “The Contractor“ on the site, it will be responsibility of the Contractor to subscribe the
necessary insurance for all “The Contractor’s“ personnel on duty on the site.
Liability Insurance Coverage
Unless otherwise agreed in writing by “The Contractor” and “Contractor”, “The Contractor” shall
provide for the purpose of performing the Services for the Project, the insurance set forth below:
1. Statutory Workmen’s Compensation $______(each accident )

Employer’s Liability $______(disease-employee)
2. General Liability: $______/_________
Bodily Injury & Property Damage $______(Combined)
3. Professioal Liability Insurance *$______ per claim
$______ in aggregate.
* Additional coverage may be available if requested. Any additional premium shall be paid by the
“Contractor”.
The insurance called for the above is subject to the normal limitations and exclusions applying to each
type of insurance.

19.6. Duration of Liability


“The Contractor” shall be responsible for the satisfactory execution of all their assignments related to
the project from conceptual design to commissioning, acceptance and defect liability and
maintenance period.

19.7. Contracts by the Contractor


“The Contractor” shall collect all the necessary information required for the execution and discharge
of its obligation as stated under this Contract and shall initiate and activate all necessary contracts for
this purpose. “The Owner“ shall assist in facilitating when possible.
19.8. Insurance of staff of the Contractor for his staff
Without prior prejudice to Sub-Clause 19.5, “The Contractor” shall take all insurance for his own staff
(such as medical, life, accident, etc.) in accordance with the Qatari laws and regulations of the State
of Qatar.
20. DEFECT LIABILITY PERIOD
Defect liability/Maintenance Period means the respective period covering any default/failure/neglects in
the items supplied or works executed by the Contractor such period is starting from the date of issuing of
the Provisional Acceptance Certificate for a period of Four Hundred (400) Days.
21. NOTICES
All notices under this Contract shall be given in writing and will be deemed to have been given if
delivered by one of the following means:
- By fax transmission
- By e-mail transmission confirmed by fax or express courier
- By express courier.
22. LANGUAGE OF THE CONTRACT
The language of the Form of Agreement in Arabic and English, in case of a conflict found in the Form of
Agreement between the Arabic text and English Text, the Arabic text shall prevail. All reports, designs,
drawings, correspondence, General Conditions of Contract etc. shall be in the English language. In case of these
Contract documents being translated into Arabic Text for the benefit of any regulatory body in the State of Qatar
and will arise a conflict between the English and Arabic text, the English text shall prevail.
23. Settlement of Disputes and Applicable Laws
23.1 Settlement of Disputes
In case of any dispute arising between “The Contractor” and “The Owner”, the Parties shall first
make an attempt to settle the same amicably as early as possible. If the dispute cannot be settled
within Two months of its arising, the same shall be referred to the Qatari competent court (s).
23.2. Applicable Law
Applicable law shall be Qatari Laws.
23.3. Works to Continue
Performance of the Contract shall continue during judicial proceedings unless “The Owner” shall
order suspension thereof, and if any such suspension shall be ordered, the reasonable expenses
of the Contractor occasioned by such suspension shall be included in the total lump sum price of
the Contract if the Qatari Court(s) so decides. No payment due or payable by “The Owner” shall
be withheld on account of pending reference to the Qatari Court(s).
