INFORMATION TO THE BIDDERS (ITB)


Tender is hereby invited by the General Manager (M&C), The West Bengal Power Development Corporation
Limited for the job of “Providing WBPDCL Email solution to migrate from On-premise hosting to Cloud
hosting platform” from eligible and resourceful Service Provider having sufficient credential and financial
capability for execution of works of similar nature, through electronic tendering (e-tendering).

1. Introduction

The West Bengal Power Development Corporation Limited (WBPDCL) is a Govt. of West Bengal
Enterprise and the largest power generating utility in the state of West Bengal. It has an existing installed
capacity of 4745 MW with 5 (five) power plants.

2. Estimated cost

Rs. 9,59,34,000/-(Rupees Nine Crore Fifty-Nine Lakhs Thirty Four Thousand only) including18% GST.

3. General Guidance for e-tendering

Interested bidders are requested to log on to the website https://wbtenders.gov.in to participate in the bid.

a) Registration of Bidders:
Bidders willing to take part in the process of e-tendering are required to obtain Digital Signature
Certificate (DSC) from any authorized Certifying Authority (CA) under CCA, Govt of India. (viz. nCode
Solution, Safescrypt, e-Mudhra, TCS, MTNL, IDRBT ) or as mentioned in e-tendering portal of GOWB
https://wbtenders.gov.in. DSC is given as a USB e-Token. After obtaining the Class II/III Digital
Signature Certificate (DSC) from the approved CA they are required to register the Digital Signature
Certificates through the registration system available in the website.

b) Collection of Tender Documents:


Interested bidders will have to download the tender documents from the website https://wbtenders.gov.in
directly with the help of the e-Token provided. This is the only mode of collection of tender documents.

4. Cost of Tender

In this tender there is no “Tender Fee”.

5. Pre-Bid Discussion

The queries for pre-bid meeting shall be sent to the e-mail provided (i.e only in soft form) within the
stipulated date and the pre-bid meeting shall be in virtual mode through MSTEAMS. The clarification(s) /
decision (s) against point / query as would be given by WBPDCL and such discussion shall form the
integral part of this NIT & shall be binding on all the participating bidders. The outcome of the Pre Bid
discussions will be uploaded as agendum/corrigendum in the tender portal before bid submission starts.

No physical presence shall be encouraged due to prevailing Pandemic Situation in the country.

6. Earnest Money

A) Value of EMD:

The EMD amount for this tender is Rs. 19,19,000/- (Rupees Nineteen Lakhs Nineteen Thousand only.

B) Mode of submission:

EMD shall be submitted ONLINE through this portal or in the form of Bank Guarantee (BG). To submit
BG, bidders shall have to opt for EXEMPTION in this portal and scanned copy of the BG is to be
uploaded in the portal. After completion of the bid-submission period, the original BG must be submitted
at the office of General Manager (M&C), Corporate Office, WBPDCL, at the specified date and time.
Otherwise, your bid shall not be considered for evaluation.

Bank Guarantee (BG) shall be from any scheduled bank authorized to do the business in India. Bank
Guarantee will be in the name of “The West Bengal Power Development Corporation Limited” The
Bank Guarantees (BG), if submitted, should remain valid for six months period from the date of opening
of the Tender.

C) EMD amount (deposited online) of the unsuccessful bidders, shall automatically be returned to the
respective debited accounts.

D) Same methodology shall be followed in case of rejected bids.

BGs of the unsuccessful bidders, if any, shall be returned after placement of order on the successful
bidder.

In case of cancellation of the tender, the deposited EMD amounts shall be returned to the respective
bidders following the procedure as mentioned in (C) and (D) above.

Bank Guarantee (BG) of the following categories of Banks may be accepted:

a) Any scheduled bank incorporated in India. BG issued by foreign branches / foreign offices of such
scheduled banks should be counter guaranteed by the Indian branch of that scheduled bank incorporated
in India.
Or
b) Any branch of an international bank situated in India or registered with Reserve bank of India (RBI) as a
scheduled foreign bank.
Or
c) Any foreign bank which is not a scheduled bank in India provided the BG issued by such bank is counter
guaranteed by any scheduled bank incorporated in India.

Note: Under no circumstances would any guarantee be accepted from any Regional rural Bank or State
Co-operative Bank or Urban co-operative Bank.

E) Any tender without EMD will be summarily rejected. No interest will be payable by the WBPDCL on the
above Earnest Money.

F) WBPDCL reserves the right of forfeiture of Earnest Money deposit in case the tenderer after opening of
tender, withdraws amends, impairs, derogates, or revokes his tender within the validity period or
extension thereof.

G) Earnest Money deposited by the successful bidders will be converted into initial security deposit. No
interest will be payable by the Corporation on the above Earnest Money under any circumstances.

H) ‘Bid security’ of the unsuccessful Bidders shall be returned within Thirty (30) days from the date of
issuance of Purchase Order to the successful Bidder.

N.B.: Any Bid without ‘Bid Security’ shall be rejected outright.

7. Submission of Tender Documents

a) Tenders are to be submitted online through the website https://wbtenders.gov.in. All the documents
uploaded by the Tender Inviting Authority form an integral part of the bid.

i) Bidders are to keep track of all the Addendum / Corrigendum issued against the particular NIT and
download copies of the above documents and merge the Addendum / Corrigendum with respective NIT.
No need to upload the published NIT documents, instead upload the declaration as per format given in
Annexure II.

ii) Bidders are required to upload all the tender documents along with the other documents, as asked for in
the tender and the agendum / corrigenda of the tender, if published, through the above website within the
stipulated date and time as given in the Tender.

iii) The documents uploaded must be scanned against any virus and digitally signed using the Digital
Signature Certificate (DSC).

b) Bidders must download tender specific documents (NIT, BOQ etc) from https://wbtenders.gov.in, prepare
the required documents and upload the scanned documents in Portable Document Format (PDF) to the
portal in the designated locations viz.

 The bid and other documents uploaded by the bidders should be in only English language.

 All measurements will be in S.I. unit and currency should be in INR.

c) No alteration in the Bid or in the amount(s) or any addition by way of special stipulation will be
permitted.

d) Any Bid which is incomplete, ambiguous, or not in compliance with the Bid Document is liable to be
rejected.

8. Technical Proposal

A) A detailed technical proposal conforming to the scope of work as specified in clause no.GCC.2 is to be
uploaded in Cover#1. Descriptive Literature/Manual/Datasheet of the products are to be produced along
with the Offer.

A check list as per Annexure IV should be uploaded along with the bid in the specified folder only.

B) Scanned copies of the following in standard format further in the specified folders.

9. Pre-Qualifying Requirements Documents

a) Submission of Bid Security / Earnest Money:

Scanned copy of receipt of online payment towards Earnest Money should be uploaded as laid down
under clause no. ITB 6 above.

b) Bidder information sheet as per Annexure-I furnishing name, residential address, phone no, e-mail
address and place of business of person (s) authorized to sign the tender with signature of appropriate
authority with designation and seal of the Company.

c) Bidder, if presently engaged in any ongoing contract with WBPDCL, must submit “No Objection
Certificate” from ordering authority.

d) Declaration Documents:

1) Declaration (regarding acceptance of the NIT, GCC and other information uploaded by WBPDCL
regarding this NIT) as per Annexure-II: Duly signed and sealed by authorized signatory and upload it.

2) Declaration (as an undertaking that the agency has no adverse record or defaulter of statutory liabilities
and as an undertaking letter that they are not blacklisted/debarred in any organization during the last 2
(two) years from the date of tender) as per Annexure-III has to be uploaded.

3) The agency shall have to ensure all statutory compliances and have to observe, perform and comply with
the provisions of (a) The Contract Labour(R&A), 1970, if any, 9b) The Payment of Wages Act, 1936, (c)
The Employees’ Provident Fund & Misc. Provisions Act, 1952.9d) The Payment of Bonus Act,1965 (e)
The Minimum Wages Act,1948 (f)The Employees’ State Insurance Act,1948, (g) The Employees’
Compensation Act,1923 and other law of the land as may be applicable.
However, WBPDCL will not bear any financial liabilities of the workers to be deployed.

4) The Agency shall undertake to disburse the monthly wages to their personnel in presence of the
authorized representative of the WBPDCL by 7th of every month, positively, irrespective of settlement of
monthly bills by the Corporation. The Agency shall not pay less than the minimum wages to the Personnel
engaged as applicable for the employees.

e) Certificates:

1) PAN card issued by Income Tax Dept.

2) Documentation regarding GST viz. valid 15-digit Goods and Services Taxpayer Identification Number
(GSTIN) under GST Act’2017.

3) IT Return of AY-2018-19, AY-2019-20, AY-2020-21.

4) Allotment of PF Establishment Code (Issued by RO / SRO).

5) Latest PF Return cum challan.

6) ESI/WCA

f) Company Details:

1) Trade License for Proprietorship Firms.

2) Memorandum of Articles for Limited Companies.

Authenticated scanned copies of all documents are to be uploaded in the designated locations of the e-tender
portal and original documents of above copies are to be produced on demand.

N.B.: WBPDCL reserves the right to reject any bid if any or all of these certificates have not been submitted
or if the certificate from statutory authorities indicating exemption or non-applicability with regard to any as
above has not been submitted.

Bidders are to participate in the Bid as a single entity. Any consortium, JVs, partnerships and sub-contracting
arrangement will stand disqualified.

Sub-Contracting:
The Service Provider shall not sub-contract the services without written consent from WBPDCL. Further,
WBPDCL shall not be liable for making any payments to the sub-contractors.

10. Pre-Qualification Criteria(PQR)

A. Technical requirement for proposed Email Solution on public cloud


The proposed cloud base productivity suite must be IPv6 Compliant with dual stack compatibility. Any
subsequent migration to IPv6 only scenario to be done without any additional cost to WBPDCL.

The email solution to be accessible over multiple devices (Minimum 4 devices per user like Tablets, Mobile
Phones, Laptops, Desktops etc.) on two factor authentication & device code authentication. All the devices
should be in Sync.
1. The proposed Solution should have the following minimum features:

i. Email clients must be accessible on any latest web browsers with HTTPS. Also, it must have
support for major email clients like Outlook, Mozilla Thunderbird etc. over IMAP, POP3 &
SMTP/MIME over secure channel. The solution should be able to encrypt data both at rest and in
transit (end-to-end) with SSL / TLS (TLS 1.2 or better) with customer-managed encryption keys.

ii. Must support and run on any mobile platforms, Android and iOS, as native app with all related
security compliances.

iii. Auto-archiving of all in-coming and out-going emails. Auto-archived emails to be restorable &
searchable at user level and administrator level.

iv. Email storage capacity, excluding Cloud file storage per user - 50 GB (Minimum).

v. Email attachment deduplication facility is preferred.

vi. Secured Cloud File storage per user - 1 TB (Minimum) with collaboration facility.

vii. Interoperability with Microsoft Office Application contents.

viii. Advanced security features to comply with today’s global threat profile including Spam / Scam
protection, anti-malware (even within inter-tenant mail exchange) etc. along with email (Incoming
& Outgoing) attachment scanning for spam, scam, malware etc.

ix. Integrated mobile messaging platform (for One to one and Group messaging).

x. Integrated Meeting / Calendar / Task list & Creation and sending of event invitations.

xi. Online meeting platform with unlimited recording facility and White board.

xii. Solution should have the capability of sending Bulk mails / Informational emails to multiple users.

xiii. The proposed cloud Emailing solution must be an enterprise class, commercially available solution
and should have a version history and published future roadmap for at least next 5 years

xiv. The proposed solution must allow end-user to remotely wipe data from mobile devices with
Administrator intervention.

xv. The proposed solution must be rebranded as per WBPDCL requirement with WBPDCL logo etc.

xvi. Administration through a single window interface to provide the following control and configuration
including

a. Create / rename / delete / Enable / disable / lock mail user accounts

b. Enable / disabling administrative delegation

c. Create transport rule as per requirement

d. Ability to see and export all type of logs like mail tracking logs and all audit logs

e. Wild card searches for a user by various user attributes like names, id, alias etc.

f. The administrators should be able to check service health, user requests like password reset
all from mobile apps.

g. Black-listing / White-listing, based upon domains and / or email-ids

h. Provision of sending notification email to the sender of external domains in case, the email is
blocked or quarantined

xvii. The solution must support for multi-factor authentication for users.

 All the above features should be the integral part of the solution. No third-party add-on solution is
acceptable.

2. The proposed Solution should have the following compliances and compatibilities:

i. Data Secrecy and privacy compliance

The PCSP has to sign an NDA (Non- Disclosure Agreement) to ensure the complete protection of
WBPDCL data, hosted on the cloud platform, for secrecy.

ii. Compatibility with existing Infrastructure:

Solution should compatible and be capable for integrating, with the WBPDCL ‘s existing Active
Directory / AD Federation Services and the integration job is in the vendor’s scope.

iii. Compliance to the Laws of the land:

The Cloud Service of PCSP of the proposed Cloud Email must conform to the Cloud service
compliance of Electronics and Information Technology (Government of India). Legal

jurisdiction of the entire hosted data including email, documents, etc is with the Courts in India.
Also, the entire copy of that data must be accessible for any kind of legal/audit purpose by default
and without any additional cost.
The Document proof of compliance of Govt. of India’s Meity guidelines must be submitted
along with the bid.

iv. Data Loss Prevention (DLP) capabilities:

This is required to keep organization safe from users mistakenly sending sensitive information to
unauthorized people. The DLP capability must support at least the following actions:
a) Policy based blocking of mail with sensitive content from being sent
b) Policy based ‘Rights Protection’ of sensitive mails before sending to recipients
c) Providing Policy Tips to users to inform policy violations before sensitive data is sent
v. Full Fledged Web-based Admin console:

Web based (with SSL) Admin console should have role-based access control to support different
level of Administrative privileges. The proposed solution should have MIS / BI capabilities with
customizable reports, monitoring tool and dashboard.
vi. Data Handling during & after termination or at the expiry of the contract

a. The PCSP shall provide the WBPDCL with reasonable assistance in support of a data
protection impact assessment, solely in relation to WBPDCL users’ Personal Data, the
Services and where the WBPDCL would not otherwise have access to the relevant
information.

b. The PCSP is completely prohibited to modify, delete and use of any part of the WBPDCL
users’ personal data.

c. Upon termination or expiry of the Services and upon written request by the WBPDCL, the
PCSP will be responsible to transfer WBPDCL’s data securely to new location / new PCSP
platform and after successful transfer operation, PCSP will destroy of all copies of WBPDCL
users’ Personal Data in its possession or control without any additional cost. The integrity &
interoperability of WBPDCL data due to such transfer of data will be the outgoing PCSP’s
responsibility.

B. Internal & External Audit access & compliances:


1. The PCSP shall permit internal & external statutory audit of the cloud application &
platform procured by WBPDCL by regulators / certification bodies like ISO, Cert-In,

NCIIPC, or by auditors appointed by WBPDCL. The PCSP shall submit such certification as
may be required by such Auditors to WBPDCL. The PCSP shall furnish, whenever required
by such Auditors, all relevant information, and records/data to them. WBPDCL will bear the
all costs for audit activities. However, no Audit or inspection will be allowed until and
unless permitted or requested by WBPDCL in black and white or through email from
WBPDCL authorized email address.

2. The PCSP is bound to comply with the subsequent audit non-compliances, if found during
audit activity, within 30 days after the non-compliance is shared with the PCSP.

3. The WBPDCL, however, reserves the right to call and /or retain for any relevant material
information / reports including audit review reports undertaken by auditing party on
different ISMS & other control on the Cloud Service provided to the WBPDCL.

11. Qualifying Requirements (QR)

Credential of execution of similar type of job should be directly under the Government/ Quasi Govt.
organization /Reputed Private Organization/ Power Plant during the period of last seven years from the last
day of the month preceding publication of this tender in the following manner:

In single order →Executed value of similar type of job not less than Rs. 7,67,47,200/- (Rupees Seven Crore
Sixty-Seven Lakhs Forty Seven Thousand two hundred).
In two orders → Executed value of similar type of job not less than Rs. 4,79,67,000/- (Rupees Four Crore
Seventy-Nine Lakhs Sixty Seven Thousand).
In three orders →Executed value of similar type of job not less than Rs. 3,83,73,600/- (Rupees Three Crore
Eighty-Three Lakhs Seventy Three Thousand Six Hundred).

The completion certificate shall clearly indicate the main service order and the value of supply,
scheduled and actual time of completion of service and must mention about the successful completion of the
entire supply of required material, commissioning and satisfactory service performance. The completion
certificate shall be from appropriate/ ordering authority.

1. Financial Perspective:

Documents to be submitted:
Audited Balance Sheet and Profit & Loss account (duly certified by Chartered Accountant with sign and
seal) for FY 2017-18, FY 2018-19 & FY 2019-20 have to be submitted in support of the following:

 Average Annual Turnover during last 03 (three) financial years i.e. FY 2017-18, FY 2018-19 & FY 2019-
20 should be at least Rs. 2,87,80,200/- (Rupees Two Crore Eighty-Seven Lakhs Eighty Thousand Two
Hundred only).

 The net worth of each FY 2017-18, FY 2018-19 & FY 2019-20 should be positive.

The WBPDCL reserves the right to reject any tender or all tenders received at its discretion without
assigning any reason whatsoever. The WBPDCL is not necessarily bound to accept the lowest offer.

12. Financial Proposal

The financial proposal to be submitted in Cover#2: Finance and should contain the “Bill of Quantities
(BOQ)”.

The bidder is to quote the lump sum price in the space /cell marked for quoting rate in the BOQ. (Only
downloaded copies of the above documents are to be uploaded, virus scanned and digitally signed by the
bidder)

Evaluation will be done only on the total rate quoted in the BOQ sheet (including GST), which shall
be inclusive of rate.

13. Conditional and Incomplete Tender

a) Bidders are to participate in the Bid as a single entity. Any consortium, JVs, partnerships and sub-
contracting arrangement will stand disqualified.

b) The offer must accompany the Earnest Money as indicated above failing which it will be summarily
rejected.

c) Conditional and incomplete tenders are liable to summary rejection. The entire offer to be submitted by
the tenderer should be unconditional. Any information, assumption, statement having a direct or indirect
relation/ correspondence with the quoted rates shall be treated as a condition and as such a deviation from
the tender norms stipulated in the tender documents. Bidders are, therefore, requested to thoroughly
scrutinize the entire tender document and seek clarifications if required before submission of tender.

d) Bidder must quote for all items mentioned in BOQ sheet with all cells filled-up must be uploaded. Non-
submission of this sheet and partial quoting will lead to rejection of the bid.

e) If any tenderer fails to produce any original hard copies of the documents like Completion Certificate or
any other documents on demand of the Tender Evaluation Committee within a specified time frame or if
any deviation is detected in the hard copies from the uploaded soft copies, it may be treated as submission
of false documents by the tenderer and action may be referred to the appropriate authority for prosecution
as per relevant IT Act.

f) All the uploaded documents will have to be attested by the bidder with official seal of the agency /
company and digitally signed.

g) The Corporation reserves the right to accept / cancel any or all tenders without assigning any reason
whatsoever. The corporation does not bind itself to accept the rate quoted by the lowest bidder and
reserves the right to accept or to reject any or all the tenders or to split the whole work for entrusting the
same to more than one agency/company.

h) The bidder is expected to carefully examine the Bid documents and fully satisfy himself as to all the
conditions and matters, which may in any way affect the work or the cost thereof. If any Bidder finds
discrepancies or omissions in the Bid documents or is in doubt as to the true intent or meaning of any part
thereof, he can submit his query within the date stipulated in the NIT for further clarification. Any query

for clarification in the above respect after the submission of bid shall not be entertained. After receipt of
such interpretation or clarification the Bidder shall submit his Bid but within the time and date as specified
in the invitation to Bid. All such interpretation and clarification shall form an integral Step of the tender
documents and must accompany the bid.

i) The agency has to submit written clarification and information if any, verbal clarification and information
shall not be accepted.

j) All the expenses, incidental to the submission of the tender, discussion, conferences, if any, shall be
borne by the bidder irrespective of whether the tender is accepted or not and the WBPDCL shall bear no
liability whatsoever.

k) The tender submitted by a bidder shall become the property of The WBPDCL and The WBPDCL shall
have no obligation to return the same to the Bidder for any reason whatsoever.

14. Submission of Original Documents of Earnest Money (if not online) and Performance Bank
Guarantee (for successful Bidder)

a) Mode of Payment:

Earnest Money (if not online) and Performance Bank Guarantee (for successful bidder) must be submitted
in the form of Bank Guarantee of any scheduled Bank of India as mentioned below. Payment in any other
form eg: NSC, KVP etc will not be accepted. Scanned copies of receipt of online EMD payment must be
uploaded along with the bid.

Bank Guarantee (BG) of the following categories of Banks may be accepted:

d) Any scheduled bank incorporated in India. BG issued by foreign branches /foreign offices of such
scheduled banks should be counter guaranteed by the Indian branch of that scheduled bank incorporated
in India.
Or
e) Any branch of an international bank situated in India or registered with Reserve bank of India (RBI) as a
scheduled foreign bank.
Or
f) Any foreign bank which is not a scheduled bank in India provided the BG issued by such bank is counter
guaranteed by any scheduled bank incorporated in India.

Note: Under no circumstances would any guarantee be accepted from any Regional rural Bank or State
Co-operative Bank or Urban co-operative Bank.

b) Place of submission:

The original copies of the BG, towards Performance Bank Guarantee should be submitted in a sealed
envelope to The General Manager, M&C , WBPDCL, Bidyut Unnayan Bhaban, Plot – 3/C, LA – Block,
Sec – III, Bidhannagar, Kolkata – 700 106. along with a forwarding letter mentioning PAN No, GST
Registration Details and address.

15. Opening & Evaluation of Bid

1) Opening of Cover 1: Technical Cover along with other important documents

a) Technical covers along with other important documents will be opened by the General Manager, M&C,
Corporate, WBPDCL or his authorized representative electronically from the website using their Digital
Signature Certificate.

b) Technical covers for those tenders whose original copies of receipt towards Earnest Money have been
received will only be opened. Proposals corresponding to which the Earnest Money have not been
received will not be opened and will stand rejected.

c) Interested bidders may see the tender portal after opening of tender.

d) Decrypted (Transformed into readable formats) documents uploaded under the Cover 1: Technical Cover
along with other important documents will be downloaded, and handed over to the Tender Evaluation
authority.

e) While evaluation, the Committee may summon the Bidders and seek clarification / information additional
documents or original hard copy of any of the documents already submitted and if these cannot be
produced within the stipulated timeframe, their proposals will be liable for rejection.

2) Uploading of Summary List of Technically Qualified Bidders

Pursuant to scrutiny and decision of the Technical Evaluation Authority, the summary list of eligible
bidders for which their Financial Proposals will be considered will be uploaded in the web portals.

3) Opening and evaluation of Cover 2: Finance

i) BOQ sheet, under Cover 2: Finance, uploaded by the Technically Eligible Bidders declared by the Tender
Evaluation authority will be opened electronically from the web portal on the prescribed date.

ii) The encrypted copies will be decrypted and the rates will be read out to the bidders, present at that time of
bid opening.

iii) After evaluation of BOQ sheet, by Tender Evaluation authority, the final summary result, name of bidder
and the rates quoted will be uploaded.

iv) The Tender Accepting Authority may ask any of the Bidders to submit analysis to justify the rate quoted
by that bidder.

v) Issue of tender documents to any bidder will not be construed that such bidder is automatically considered
qualified for the entire tender process.

vi) The WBPDCL reserves the right to accept any tender or reject any or all the tenders or cancel/withdraw
the invitation for tender without assigning any reason whatsoever. Such decision taken by The WBPDCL
shall not be subject to raising of question by any bidder and The WBPDCL shall bear no liability
consequent upon such decision and the bidder shall have no claim in this regard against The WBPDCL.

vii) Evaluation by The WBPDCL shall be based on the documents as uploaded by the bidder as per the tender
clauses. The requirements as stipulated in the tender documents are the minimum ones and The WBPDCL
has the right to ask for any additional information, if necessary, in case the documents uploaded by the
bidder are found inadequate. The WBPDCL reserves its right to reject any tender, if the bidder is found
not qualified to perform the work satisfactorily. The WBPDCL reserves the right to reject any tender, at
any stage, if the bidder is found to have become qualified by giving incorrect and/or false information.

viii) Notwithstanding anything stated above or elsewhere, The WBPDCL reserves the right to assess the
capability and capacity of the bidder, should the circumstances warrant such assessment in the overall
interest of The WBPDCL.

16. Validity of bid

a) Bid shall remain open for acceptance by the Owner for a period of One hundred Eighty (180) days from
the last date of opening of the Bid. During this period the Bidder shall not withdraw or amend his Bid.

b) The quoted prices shall remain firm till completion of the contract.

c) Notwithstanding sub-clause (a) above, the Owner may obtain the Bidder’s consent to extend the validity
period of his Bid, as required. The request and response thereto shall be made in writing. A Bidder
accepting the request will not be permitted to modify his Bid.

17. Employer`s right to accept whole or part of the tender

The competent authority on behalf of the Employer reserves to himself the right of accepting the whole or
any part of the tender and the bidder shall be bound to perform the same at the rate quoted.

18. Award of contract

The Bids received and accepted will be evaluated by WBPDCL according to the procedure detailed in the
relevant clauses of this section. The acceptance of Bid and award of contract to one or more than one
Bidder, if considered necessary, rests with WBPDCL. It shall not be obligatory on the part of WBPDCL to
accept the lowest Bid. WBPDCL would be at liberty to accept any Bid, in whole or part and to reject any
or all the Bids received without assigning any reason and no explanation can be demanded of him by any
Bidder.

19. Estimated Time line of the Project

With the scopes along with other project dynamics, the project is slated to go-live within 30 days from
completion of Phase 2. All pre-go-live activities including pilot migration must be completed before go-
live date.

20. Rejection of bid

On submission of any Bid, the corresponding Bidder shall have no cause of action or claim against the
Owner for rejection of his Bid. The Owner will always be at liberty to reject or accept any Bid at his sole
discretion without assigning any reason and any such actions will not be called into question and the
Bidder shall have no claim in this regard against the Owner.

21. Cancellation of tenders

WBPDCL may cancel the tender at his discretion without assigning any reasons whatsoever. In that case
bid security will be released without interest. WBPDCL will not be liable for any other expenses incurred
by the bidder to participate in the tender.

Bidders are not allowed to take any deviation from the principal requirements of the scope of
supply/work.

General Conditions of Contract (GCC)

1. Definitions

In these General Conditions of Contract, the following terms shall have the meaning hereby
assigned to them, except where the context otherwise requires.

a) “Client” means the WBPDCL incorporated under the companies act 1956 having registered office at
Bidyut Unnayan Bhaban, Plot no. 3/C, LA- Block, sector III, salt Lake City, Kolkata- 700106, India with
which the selected Bidder signs the Contract for the Services/Works.

b) “Awardee” means the bidder on whom LOA awarded by WBPDCL and who will enter into a contract
with WBPDCL in the matter.

c) The “Bidder” means, the individual Firm or Company whether incorporated or not, undertaking the work
and shall include the legal personal representatives of such individuals on the persons composing the firm
or company or the successors of the firm or company and the permitted assigns of such individual or firm
or company.

d) The “Engineer-in-Charge” means, the officer entrusted to supervise the work or part of the work as per
provision of the contract.

e) “Approved” or “Directed” means, the approval or direction of the Client.

f) A “Week” means, seven days without regard to the number of hours worked or not worked in any day in
that week.

g) A “Day” means, the day of 24 (twenty four) hours irrespective of the number of hours worked or not
worked in that day.

h) A “Working Day” means, any day other than that prescribed by the NEGOTIABLE INSTRUMENTS
ACT as being a holiday, and consists of the number of hours of labour as commonly recognized by good
employers in the trade in the District where the work is carried out or as laid down in the State Regulation.

i) “Contract” means an agreement to be entered into by and between WBPDCL and the Awardee and which
is enforceable by law. Such contract shall be legal agreement containing legal obligations on both the
parties.

j) “Appropriate Government” means the Government of West Bengal

k) “Personnel” means professionals and support staff deployed by the by the agency and assigned to perform
the Services or any part thereof.

l) “Proposal” means the Technical and as well as the Financial Proposal.

m) The “Work” means, the work described in the tender documents in individual work-orders as may be
issued from time to time to the Bidder by the Engineer-in-Charge within the power conferred upon him

including all notified or additional items of works and obligations to be carried out as required for the
performance of contract.

2. Scope of Work

Project Background
In the existing scenario, WBPDCL Email collaboration system is hosted on premise. WBPDCL
management is considering to migrate this existing email system [Based on Zimbra Collaboration Suite]
to a globally reputed and trusted cloud hosted email service platform on SaaS (Software-As-A service)
model. Approved cloud Email services platform for migration are
1. Microsoft Office 365
2. Google Workspace.
3. Zimbra Cloud Platform

With the view of the above, the WBPDCL is, hereby, inviting tenders from eligible vendors to
migrate WBPDCL Email system (Zimbra based) to a globally reputed and trusted cloud hosted email
service, as mentioned above. The Principal Cloud Service Providers, (henceforth referred to as
“PCSP”) themselves may participate in the tender directly or through their authorized partners.
This Request for Proposal document (“RFP”) has been prepared & published solely to migrate
WBPDCL Email system with features described as below, to a globally reputed and trusted cloud hosted
email services as mentioned above.

# Scope Detailed Scope

1 Supply of 2000 (two Supply of 2000 (two thousand) user licenses (including

platforms with all email & messaging and security features (As in

 Unit rate (Price / per user) is to be quoted, which will be valid for 5

quantity in Purchase order.
2 Email Migration  Migration of 1100 existing Zimbra Mail-boxes (1 GB per user data
on average) to Cloud platform along with Calendars, Contacts &
Briefcase files
 Migration of emails saved in Local Folders of email clients
and exported account backups, wherever applicable.

Notes to bidder:
1. WBPDCL must be able to delete and/or add any number of mail account(s) that may be required
at any time during subscription period due to different business requirements.
The cost of licenses for that period will be revised / adjusted accordingly on the next billing
cycle.
2. The proposed Licenses and Subscription Services must be under Enterprise Agreement. The
PCSP / It’s authorized representative (Other than the Implementation partner agency) must
verify and certify the quality of project implementation before official Go-Live.

3. Any other service/ features, apart from those described in Clause ‘A’, bundled with the plan
during the contract period shall be delivered unconditionally and free of cost to WBPDCL

4. Must be upgradable to the licenses of higher plans anytime during the contractual period.

5. Any additional software & hardware tools, that may be required for the execution of the entire
project, will be in vendor’s cost & responsibility.

A. Support Services
1. Comprehensive OEM / PCSP support on 24 x 7 x 365 basis for the all the cloud services
components procured by the WBPDCL shall be provided during the entire contractual period.

2. Hand-holding support for Three months (90 days) after Go-live. Mode of support will be in-
person at WBPDCL corporate office for week days (Monday to Saturday) and remote for
WBPDCL factory-act holidays & Sundays.

3. Upon termination or expiry of the Cloud Services, the necessary support must be available free
of any additional cost for minimum 45 days from the date of discontinuation of the Cloud
Services until the migration/transfer of all the data from the terminated / expired Cloud service.

B. The Service Level Agreement (SLA)

The vendor will submit detailed technical document and proposed plan for Email migration and
final commissioning job as follows:
1. Assessment of current mailing configuration like DNS, SMTP, MX etc. including pre and post
migration checklist and detailed steps of migration.

2. The optimally designed & configured solution for network bandwidth utilization as per existing
WBPDCL network resources.

3. Details about SLA monitoring tool.

 Phase 1: Migration of 5 Mail Boxes as pilot and successful testing of all operational features proposed
in the bid and Email service rebranding with WBPDCL logo etc.
Deliverable: ‘Pilot Migration Successful Certificate’ from WBPDCL Project Manager and Training
completion certificate from WBPDCL project Manager.
Time Line: Within 45 days from date of Project Kick-Off Meeting.

 Phase 2: Migration of all existing Mailboxes (1100 nos.) from existing Zimbra Platform and bulk
creation of new mail boxes. Administrative Training of WBPDCL IT Team (10 Engineers) in batches
and demonstration to all general Email users

3. Commercial Terms & Conditions

1) Price:

The price quoted by the Bidder shall remain FIRM throughout the execution period of the contract.
The Bidders shall quote as per BOQ uploaded in the e-tender portal.

2) Goods and service taxes:

GST rates to be mentioned in BOQ sheet. Basic price quoted for each item specified should be without
GST. Any change in provisions of GST including applicability of certain provisions which for time being
is deferred is deemed to be applicable in this order. Any taxes currently applicable but not specified in the
offer by the Service Provider will not be paid by WBPDCL.

i) The bidder shall submit the invoice in approved proforma (one original and three copies) in
accordance with the Contract Agreement and agreed billing schedule to the Controlling Officer
(WBPDCL) enclosing necessary supporting documents within sixty (60) calendar days of having
achieved the designated milestone activities as per the schedule specified in the Contract
Agreement).

ii) The invoice must include correct SAC codes and corresponding GST rates.
iii) All the bills submitted by the Consultant must be in Indian Rupee only. The figure with two
decimals shall be rounded-off to the nearest Rupee (i.e. less than 50 paisa shall be omitted and
50 paisa or more shall be reckoned as one Rupee) while calculating the amount to be billed.
iv) Payment will be in accordance with the Milestone of Payment upon fulfillment of all obligation
stipulated in the contract under each milestone.
v) The Controlling Officer (WBPDCL) shall verify the bill and supporting documents after receipt
of bill from the Consultant. The Purchaser shall release the payment after deducting applicable
taxes, penalties and other recoverable within thirty (30) calendar days from the date of receipt of
the bill by the Purchaser.

4) Duration of Contract:

i) Completion period for E-mail migration process:

The Completion period for migration shall be 120 days from the date of placement of LOA by WBPDCL.
If, the Service Provider fails to complete the migration process within the stipulated time period, penalty
for late delivery will be levied on the Service Provider as per Liquidated Damage (LD) clause.

ii) Support Service:


Duration of contract will be for 60 months after signing off of the agreement WBPDCL & the Principal
CSP(PCSP).
However, due to unsatisfactory performance or in the event of any breach of contract / compliance,
WBPDCL may terminate the contract with 3 months of prior notice.

5) Controlling Officer:

The GM (ITC), Corporate, WBPDCL or his authorized representative.

6) Paying Authority:

The General Manager (F&A)/Corporate, WBPDCL shall be the paying authority of the said job.

7) Liquidated Damage:

In the event of any delay in the execution of works beyond the stipulated completion schedule including
any extension permitted in writing, the Corporation reserves the right to recover from the contractor a sum
equivalent to 0.5% of the monthly contract value as liquidated damages for such default for each week of
delay and part thereof subject to a maximum of 10% of the total contract price calculated down for a
single month.

8) Performance Bank Guarantee:

i) The Contractor, on receipt of LOA from Owner shall furnish a Bank Guarantee from any schedule bank of
validity up to 5years with the additional claim period of 03 months in line with the enclosed Proforma for
the Performance bank Guarantee for an amount equal to three (3%) percent of the total Price (inclusive of
GST) under the Contract for diligent and due fulfilment by the Contractor of all obligations under the
terms and conditions of the Contract, within 30 days from the date of Letter of Award in prescribed
proforma. The PBG has to be submitted to the Controlling Officer.

Performance bank Guarantee is intended to secure the satisfactory performance by the Contractor of the
entire Contract.

The said PBG shall be released after three months from completion of the job in totality on certification
by the controlling officer.

9) Additional Performance Bank Guarantee:

In case the quoted price of successful bidder is less than 80% of estimated cost, then the bidder on
receiving the contract / Order shall have to deposit a bank guarantee (BG) of an amount 10% of the
ordered value. This BG shall be in the name of “The West Bengal Power Development Corporation
Limited”. The validity of which shall be the entire completion period of the work with a claim period of
another 30 days. This BG shall be submitted within 30 days from the date of LOA / Contract / Order.

10) Insurance:

The equipment supplied by the service provider under the contract shall be fully insured by the Service
Provider against any loss, theft, damage, etc, during transportation, storage, delivery, installation and
operation for the entire period of the contract. For any theft of or damage to any of the supplied items,
where the vendor is filing a claim with the insurance agency; the vendor shall replace the item on its own
within 7 working days of the reporting of the incident, after which SLA clauses of the contract will
become applicable.

11) Agreement:

a) An agreement (two COPY IN ORIGINAL) on non- judicial stamp paper for Rs.100.00 (Rupees one
hundred) only shall have to be executed by you within 30 (thirty) days from the date of placement of
LOA/Order.

The Contractor shall provide free of cost to the Owner the complete set of Tender Documents, copies of all
the correspondences with the Owner, Order Copy, one copy of the acceptance letter etc. (Two copies) to
form a part of the Contract Documents. The documents must be sealed and signed by the authorized
representative of the company/agency.

b) The agreement shall remain valid for the entire contract period.

c) On the event of conflict/contradiction between provisions of tender document and agreement, provisions
of Tender Document shall overrule, and any provision of tender document, which is not covered in
Agreement, shall also be considered as a part of Contract agreement.

4. Zero Date/Effective date

i) The date of Purchase Order shall be treated as the Zero Date for contractual purpose for LD
and other clauses.

ii) The date of go-live will be within 30 days from the completion of Phase 2.

5. Canvassing prohibited

Canvassing whether directly or indirectly, in connection with tenders is strictly prohibited and the tenders
submitted by the Facilitators who resort to canvassing will be liable to rejection.

6. Conflict of Interest

Facilitator (successful bidder) should provide professional, objective, and impartial advice and at all times
hold the Client’s interests paramount, strictly avoid conflicts with other assignments or their own
corporate interests and act without any consideration for future work.

7. Clarification and Amendment

At any time before the submission of Proposals, the Client may amend the Tender by issuing an
addendum by standard electronic means i.e. Web Portal. The Client may, if the amendment is substantial,
extend the deadline for the submission of Proposals.

8. Force Majeure

a) Force Majeure Event" shall mean any event or circumstance or combination of events or circumstances
referred to clauses described below that wholly or partly prevents or unavoidably delays any Party in the
performance of its obligations under this Agreement, but only if and to the extent that such events and
circumstances are not within the reasonable control, directly or indirectly, of the affected Party and could
not have been avoided if the affected Party had taken reasonable care. Force Majeure includes but not
limited to the following events and circumstances to the extent they, or their consequences, satisfy the
above requirements:

Any cause which is beyond the control of Contractor or WBPDCL, as the case may be.

i) Natural phenomenon including but not limited to weather conditions, floods, drought, earthquakes and
epidemic

ii) Acts of any Governmental authority domestic or foreign, including but not limited to war (declared on
undeclared), revolution, quarantine, embargoes, licensing control or production or distribution restrictions.

iii) Accidents and disruptions, including but not limited to fires, explosions.

iv) Nationwide or wide spread strikes or labour disputes extending beyond the Project site continuing for
more than three (3) weeks and sabotage.

v) Transportation delay due to force majeure or accident.

vi) Failure or delay in Contractor’s source of supply due to force majeure causes enumerated at (i) to (vi)
except defective forging and castings, and

vii) Failure to reach agreement as set forth below.

viii) The following events are explicitly excluded from Force Majeure Events and are solely the responsibility
of the affected party:

ix) Any strike, work-to-rule action, go-slow, or similar labour difficulty which is not specifically, enumerated
in the above clauses (i) to (vii)

x) Late delivery, of plant, machinery, equipment, materials, spares parts or consumables for the Project;

xi) A delay in the performance of any contractor;

xii) Economic hardship;

xiii) Changes in Applicable Laws

Force Majeure events which occur outside India and do not directly involve India comprising:

Act of war (whether declared or undeclared), invasion armed conflict or act of foreign enemy blockade,
embargo, resolution, riot, insurrection, civil commotion, act of terrorism, or politically motivated sabotage
or kidnapping

Or

Any event or circumstance of a nature analogous to any of the foregoing.

If the Contract is delayed or impeded in the execution of the work by circumstances of Force Majeure as
herein defined, then the Contractor/ WBPDCL as the case may be, shall, within one week, give notice in
writing to the WBPDCL/Contractor, of the existence of circumstances of Force Majeure, together with the
evidence relied upon.

b) Burden of Proof

In the event that the Parties are unable in good faith to agree that a Force Majeure Event has occurred, the
Parties shall submit the dispute to arbitration, provided that the burden of proof as to whether a force
Majeure event has occurred shall be upon the Party claiming a Force Majeure Event.

c) Effect of Force Majeure

Neither party shall be considered to be in default or in breach of his obligations under the Contract to the
extent that performance of such obligations is prevented by any circumstances of Force Majeure which
arise after the date of acceptance of Letter of Award / Effective Date.

In the event that Force Majeure circumstances continue for a period of more than one month, both the
parties may discuss and mutually agree upon the future course of action which may include termination of
Contract.

The Contractor shall request for extension of Time for Completion due to delay caused by Force Majeure.
The WBPDCL may agree to give extension in time as may be justified. However the WBPDCL will not
bear any additional cost whatsoever in connection with Force Majeure.

d) Performance to Continue

Upon the occurrence of any circumstances of any Force Majeure the Contractor shall endeavor to continue
to perform his obligations under the Contract so far as reasonably practicable. The Contractor shall notify
the Engineer of the steps he proposes to take including any reasonable alternative means for performance
which is not prevented by Force Majeure. The Contractor shall not take any such steps unless directed so
to do by the Engineer.

9. General Terms & Conditions for Service

i) Labor Regulations and Minimum Wages: You shall have to abide by the provisions of the Contract
Labour Act 1970 for which you are to maintain records as necessary in terms of minimum wages Act read
with the other statutory provisions. The provisions under the Factory Act 1948 as amended from time to
time shall have to be complied by you.

ii) Local Rules & Regulations:You shall have to abide by the rules and regulations framed by authority
which may change from time to time in the interest of the project. You are to follow the duty hours as
will be specified by the Controlling Officer during execution of the contract.

iii) Engagement of unskilled workers: As record engagement of unskilled workers, you are to follow the
Laws of the Land or any stipulation that will be recommended by the L.A. Committee.

iv) Security Gate Pass:You shall have to arrange gate pass for your workmen from the Security Department
and the rules and regulations related to this subject shall be binding on you. Agency shall provide Proper
Identity Card to the working personnel. All the working personnel should display the card during duty
hours.

v) Withdrawal of workmen: In case of any worker is found hampering the interest of the project in any
way, WBPDCL shall reserve the right to take appropriate action on ex-parte basis. In such case, you shall
have to replace such non-acceptable workmen within 24 hours notice from the Controlling Officer.

vi) Idle Labour Charge: WBPDCL shall not be responsible for payment towards idle labour charge under
any circumstances.

vii) Safety of working personnel: WBPDCL in no way shall be responsible for safety of your workmen.
You should supply the necessary preventive devices for safety of your workmen and you will ensure that

necessary safety precautions have been taken for your workmen as per safety annexure (enclosed in
section-V) attached with the NIT while carrying out the job.

viii) Insurance of said working personnel should have to arrange by you.

ix) Accident: In case of any accident of your workmen, you are to arrange necessary prima-facie requirement
immediately after the incident. WBPDCL shall in no way be held responsible to compensate your
workmen be it on duty or not. No benefit in any form shall be admissible in such case.

x) Discontinuation of job: In case the job is found discontinued by you within the contractual period,
WBPDCL shall have right to award part of full job to any outside agency and the expenditure thereof shall
be deducted from your bill.

xi) Sub-contract: You are not at the liberty to sub-contract your part/full job without concurrence of the
Controlling Officer; except your system house as per term of this tender.

xii) Payment to workmen: You are not at the liberty to enhance the wages of your workmen without prior
concurrence of WBPDCL. You shall have to make salary payment to your workmen within 10 days of
succeeding months failing which the order may be terminated without further reference. Monthly
salary/wage sheet shall have to be submitted to (one copy) to the Controlling Officer. The rate of the
manpower shall be quoted considering the applicable minimum wages of Skilled Category, Provident
Fund, Bonus, ESI / Insurance and other charges as applicable It will be the sole responsibility of the
Agency to ensure all sorts of payment to his workers and submissions of returns in time as required by
various Statutory Authorities concerned.

xiii) No canteen facility will be extended to your working personnel.

xiv) Controlling Officer or Safety Officer at his discretion may check/examine any of your
tools/scaffolding/working condition etc. and if unsatisfied he may suspend the job temporarily till proper
safety measure is taken from your end.

xv) Worker’s Compensation: All the workers under this contract must be paid compensation as per
Workmen’s Compensation Act in case of injury or death in course of employment while on duty, by the
Contractor at his own cost.

xvi) In case of any accident while on duty, of any worker, the First-Aid facilities as available in Medical Unit
shall be extended.

xvii) The contractor must have Provident Fund Code No. for depositing Provident Fund amount for his
workmen.

10. Termination of Contract

In the event Contractor is adjudged a bankrupt or insolvent, or if Contractor makes a general assignment
for the benefit of its creditors, or if a trustee or receiver is appointed for Contractor or for any of its
property, or if it files a petition to take advantage of any debtor’s act, or to reorganise under the
bankruptcy or similar laws, or if Contractor fails to supply sufficient skilled workers or suitable materials
or equipment, fails to commence the Work or abandons the Work or part thereof or fails to rectify any
Work done that has been rejected or objected to by the Purchaser or if it fails to make prompt payments
when due to Subcontractors or for labour, materials or equipment, or if Contractor otherwise commits a
material breach of any of the terms of this Agreement, Purchaser may, without prejudice to any other right
or remedy Purchaser may have hereunder or at law or in equity, at any time terminate this Agreement

upon 30 days’ notice to Contractor, provided such event or breach is not remedied within such 30 days
period or, if the breach or default cannot reasonably be cured within 30 days, such longer period (not to
exceed 60 days) as may be reasonably necessary to cure such breach or default. Purchaser may terminate
this Agreement immediately upon notice to Contractor if Contractor disregards a material provision of any
Applicable Law. Purchaser may terminate this Agreement, upon 30 days’ notice, if Contractor disregards
any other provision of Applicable Law, provided any such failure is not remedied within such 30 days
period. If this Agreement has been properly terminated pursuant of this clause, Contractor shall be deemed
to be in material breach of this Agreement and shall receive no Termination Payment or other cancellation
payments in the event of a termination under this clause, but Contractor shall be entitled to any Scheduled
Payments then due and payable.

11. Foreclosure of Contract:

Termination for Purchaser's Convenience:

Purchaser may for its convenience terminate any part of the services or any Subcontract (with the
termination of any, subcontract to be effected through contractor) or all remaining services or the
agreement hereunder, at any time upon 30 days' prior written notice to contractor specifying the part of the
services to be terminated and the effective date of termination. Immediately upon receipt of such notice,
contractor shall stop performance of the terminated services and shall immediately order and commence
demobilisation with regard to the terminated services. In the event of a partial termination, contractor shall
continue to prosecute the part of the services not terminated. In case of a termination of part of the
services, Purchaser will authorise a scope change order making required adjustments to one or more of the
Guaranteed completion date, the contract price , the payment & milestone schedule the project schedule
and the performance guarantees, as appropriate. However, the purchaser shall pay to the Contractor for
any work performed by the Contractor in respect of terminated services, duly certified by the Controlling
Officer of the Purchaser, against submission of documentary evidences by the Contractor.

Consequences of Termination:

Upon any termination pursuant to this clauses, Purchaser may at its option elect to (a) assume
responsibility for and take title (to the extent title has not previously passed to Purchaser) to and
possession of the Project and any or all work, materials or equipment remaining at the Facility Site, and
(b) succeed automatically, without the necessity of any further action by Contractor, to the interests of
Contractor in any or all contracts and Subcontracts entered into by Contractor with respect to the Project,
and shall be required to compensate such contractors and Subcontractors only for compensation becoming
due and payable to such parties under the terms of their contracts and Subcontracts with Contractor from
and after the date Purchaser elects to succeed to the interest of Contractor in such contracts and
Subcontracts. All claims by such contractors and Subcontractors to be due and owing for Services and
other work performed prior to such date shall constitute debts between Contractor and the affected
contractors and Subcontractors, and Purchaser shall in no way be liable for such sums. Contractor shall
include in all agreements and contracts entered into with contractors and Subcontractors a provision
providing for the foregoing. In the event of any termination pursuant to these clauses hereof, Purchaser
may, without prejudice to any other right or remedy it may have, at its option finish the Services and other
work by whatever method Purchaser may deem expedient. In such case, Contractor shall not be entitled
to any further pay hereunder, and to the extent the costs of completing the Services and other work
hereunder, including without limitation compensation for additional professional services, exceed those
amounts that would have been payable to Contractor hereunder to complete the Services except for
Contractor's default, Contractor shall pay the difference to Purchaser upon demand.

Surviving Obligations:

Termination of this Agreement (a) shall not relieve either Party of its obligations with respect to the
confidentiality of Proprietary Information as set forth elsewhere (b) shall not relieve either Party of any
obligation hereunder which expressly or by implication survives termination and (c) except as otherwise
provided in any provision of this Agreement expressly limiting the liability of either Party, shall not
relieve either Party of any obligations or liabilities for loss or damage to the other Party arising out of or
caused by acts or omissions of such Party prior to the effectiveness of such termination or arising out of
such termination and shall not relieve Contractor of its obligations as to portions of the Services already
performed or of obligations assumed by Contractor prior to the date of termination.

Payment upon Termination:

Upon termination of all or part of the Services pursuant to clauses described above, Contractor shall be
entitled to be paid:

a) all actual documented costs incurred by Contractor, as audited and accepted by an independent certified
public accounting firm of national reputation selected by Purchaser and acceptable to Contractor, incurred
or that could not be avoided in connection with performance by Contractor of services as of the date of
termination which were not previously paid for by Purchaser, and

b) all actual documented costs incurred by Contractor in connection with items procured by Contractor in
connection with the services for which Contractor has not been paid, provided that such items are
delivered to Purchaser at the Project Site together with all documents necessary to transfer title thereto to
Purchaser (the 'Termination Payment'). As a condition precedent to receiving the Termination Payment,
Contractor shall execute and deliver all such papers and take all such steps, including the legal assignment
of Contractor's contractual rights, as Purchaser may require for the purpose of fully vesting in Purchaser
all rights, title and interests of Contractor in and to all subcontracts, purchase orders, warranties,
guarantees and other agreements.
Verification of the Termination:

Contractor shall, within 90 days of any such termination of all or part of the Services, submit to Purchaser
all invoices and other documentation as is sufficient to enable Purchaser to verify the performance of the
Services and Contractor's costs associated therewith and to determine the amount of the Termination
Payment. Termination Payment shall not include the costs of future anticipated profit or restocking
charges.

Payment and Limitation of the Termination Payment:

Purchaser shall pay the Termination Payment to Contractor within 90 days of Purchaser's receipt of the
documentation required under the clause: Verification of the Termination.

Payment of the Termination Payment shall be sole and exclusive liability of Purchaser, and the sole and
exclusive remedy of Contractor, with respect to termination of this Agreement pursuant to above clauses.
In no event shall Purchaser have any further liability to Contractor in any such event for actual, incidental,
consequential or other damages, notwithstanding the actual amount of damages that Contractor may have
sustained.

12. Limitation of Liability

Except in cases of criminal negligence or willful misconduct,

a) Neither party shall be liable to the other party, whether in contract, tort, or otherwise, for any indirect or
consequential loss or damage, loss of use, loss of production, or loss of profits or interest costs, which
may be suffered by the other party in connection with the contract, other than specifically provided as any
obligation of the party in the contract, and

b) The aggregate liability of the Contractor to the purchaser, whether under the Contract, in tort or otherwise,
shall not exceed the amount of the total contract price, provided that this limitation shall not apply to the
cost of repairing defective equipment, or to any obligation of the Contractor to indemnify the Purchaser
with respect to patent infringement.

13. Settlement of Disputes

All disputes concerning question of fact arising under the agreed work order shall be decided by the
controlling officer. The said controlling officer, subject to a written appeal by the Awardee Facilitator to
the controlling officer, shall decide upon the disputed facts and circumstances. The decision of the
controlling officer shall be final and binding on both the parties hereto.

Any disputes or differences including those considered as such by only one of the parties hereto arising
out of or in connection with this agreed work order shall be to the extent possibly settled amicably
between the parties hereto.

14. Arbitration

If any of the parties is not satisfied with the decision of the controlling officer under the contract may take
resource to arbitration proceedings under the Arbitration & Conciliation Act, 1996 and Rules framed there
under. With regard to appointment of arbitrator (s), the relevant provisions of the said statute shall be
applicable.

The place of arbitration shall be in Kolkata, West Bengal, India. The arbitrator(s) to be appointed as per
the above statute shall determine in dispute in accordance with the relevant laws of India.

The provisions of this clause will survive the termination or expiration of this agreed work order. All
notices by one party hereto in connection with arbitration shall be delivered in accordance with instruction
of the arbitrator/ arbitrators(s).

The performance of this agreed work order shall continue during the arbitration proceedings unless the
WBPDCL shall order the suspension thereof or any part thereof if any such suspension shall be added to
the professional fee of awardee Facilitator. No undisputed payment due or payable by either of the parties
shall be with held on account of pending reference to arbitration.

15. Governing Law & Jurisdiction

This work order shall be governed by and construed in accordance with substantive and procedural laws
of India. The competent courts at Kolkata, West Bengal, India shall have exclusive jurisdiction in relation
to this work order.

16. Blacklisting

Vendor may be blacklisted as per WBPDCL's Policy & Procedure of Blacklisting and Debarment of

ANNEXURE :VII

Safety Annexure

SAFETY PROVISION RELATING TO CONTRACTOR:-

1. The contractor shall be vigilant to ensure provisions of Factories Act, 1948 and other statutory provisions as
applicable in respective Power Station/Project.

2. The contractor shall be vigilant to ensure provisions of the Building and other Construction workers
(BOCW) Act, 1996 and also The west Bengal Building and other Construction workers (Regulation of
Employment and condition of service) Rules, 2004 in respective area. FORM-II (Certification of
Registration) is to be taken by the contractor before starting the job.

3. It shall be the responsibility of main contractor to ensure that all safety requirements are followed by the
employee and staff of the sub-contractor.

4. The contractor shall be responsible for non-compliance of the safety measures, implications, injuries, fatality
and compensation arising out of such situation or incidents.

5. In case of any accident/Incident/injury/Fatality the contractor shall immediately submit a statement of the
same to the owner/head of the concerned Department and Safety officer, containing the details of the
accident, any injury or casualties, extent of property damage and remedial action taken to prevent recurrence
and in addition the contractor shall submit a monthly statement of the accident at the end of each month.

6. Engagement of Safety personnel:-Contractor who have 200 or more worker must engage qualified Safety
personnel in order to ensure the implementation of safety requirement of the work area and the contractor
who have less than 200 worker must engage one of his qualified employee as a safety co-coordinator who
shall liaise with the WBPDCL safety officer on matter relating to safety and his name shall be displayed on
the notice board at prominent place at the work side.

7. Contractor must ensure use of Personal Protective equipment by its workers in line of their allotted job
tabulated below. The personal protective equipment to be supplied by the contractor to their worker must be
in line with IS/CE/or equipment approve standards before commencement of the work. The contractor shall
also replace all damaged PPEs’ during the contract at his own cost. If any contractor fails to supply the PPEs
to his workers, he shall be penalized according to Clause 32 of this document.

8. The contractor will ensure medical examination for its workers before commencement of any work and once
in every year by qualified medical doctor as per provision in the Factories Act, 1948 and W. B Factories
rule, and maintain a register for the same for inspection by Respective Department and Safety Department
on demand. The Factory Medical officer shall check the certificate and sent to HR Dept for issuance of Gate
pass.

9. Examination of Eye sight of certain worker:-No person shall be allowed to operate a crane, locomotive, fork-
lift and (dumper, dozor, lorry, tractor etc) or to give signals to a crane or locomotive operator unless his eye
sight and colour vision have been examined and declared fit by qualified ophthalmologist to work whether
with or without the use of corrective glasses. The eye-sight and colour vision of the person as referred shall
be re-examinated at least once in every period 12 months up to the age of 45 years and once in every 6
month beyond that age.

10. The worker employed by the contractor should be suitable for the respective job requirement otherwise head
of the concerned Department shall have right to disallow the unsuitable worker (e.g. a vertigo patient can’t
be allotted a job at height).

11. In case of injury, the contractor will send the injured person to hospital /Dispensary/First Aid centre with
statement to head of the concerned department under whom he work as well as Safety Officer. The
contractor shall submit periodical progress report about the treatment till the injured worker is certified fit by
Govt. /Govt. registered Doctor and the said certificate will be submitted to the safety department and HR &
A Department before resumption of work by the said injured worker .The contractor will maintain an
arrangement at his own cost to administer first aid in case of minor injury to any working personnel.

12. The “Colour code of Helmet” of WBPDCL is to be maintained by the contractor and Special Overhauling
sticker shall be affixed in the helmet of the worker (Contractual) engaged in overhauling jobs.

13. Only metallic Scaffolding with proper locking system is to be used for working height job. Proper metallic
Scaffoldings are to be constructed as per IS 4041 & 3696 guideline. No make-shift or bamboo-made
scaffoldings are allowed.

14. Ladders, Crawler Ladders and Hoisting equipment should be properly checked for level, support and other
safety aspects before use.

15. Proper working platforms with hand railing and toe guard (150 mm) are to be constructed.

16. Vehicle speed inside plant and Back horn for heavy vehicle: - Back horn is to be installed in all the heavy
vehicle and the speed limit of the vehicle inside plant must be 20km/hr.

17. Special Safety requirement, if any, is to be discussed in Per-bid in presence of personnel of Fire & Safety
Dept & MOM to be made.

18. All electrical connection is to done through RCCB/ELCB with proper plug top. No damaged, jointed or
twisted cables shall be used for electrical connections. Plug tops shall be mandatorily used for connections
from designated plug points.

19. Proper illumination level is to be arranged (working light).

20. All gas cutting equipment is to be connected through flash back arrester.

21. Practice of shifting of gas cylinder by rolling on the ground is not allowed. Cage/Trolley is to be used for
shifting Gas cylinder. All Cylinders must be with cap on head. All cylinder used at site must be tied properly
to avoid falling hazards.

22. Portable cutting & grinding machine should be made of plastic body with proper guard.

23. Hand lamp bulb must be guarded with proper glass and cage.

24. 24 volt power supply is to be used inside every confined space job.

25. First Aid Box should be mandatorily available at the job site.

26. Barricading is also mandatory for heavy lifting zone and Radiation zone. The contractor is also responsible
for cordoning/ barricading any other area, which may be affected by the job and which controlling officer/
safety officer feels necessary. Grating and handrail removed for material movement must be barricaded.
Same must be restored back once job is over.

27. EQUIPMENT QUALITY:-

a) Following equipment or tools shall not be allowed inside plant premises without valid certificate and gate
pass. Contractor shall submit relevant valid test certificate of equipment to controlling officer beforehand
towards timely issuance of gate pass for the equipment.

f) The contractor shall ensure periodic testing /Examination of equipment as well as safety tools and tackles
used by them as per provision of The Factories Act, 1948 and The West Bengal Factories Rules, 1958 and
maintain a register for the same for inspection by respective dept/ Fire & Safety Dept. on demand.

28. READINESS OF THE JOB OF THE AREA:-

Before execution of the job readiness of the job area is to be done following above guidelines with
permission of the user department.

29. READINESS OF THE WORKERS:-

a) The safety related actions to be taken regarding workers before starting the job.

b) The worker should attend safety training and competent supervisor of contractor should mandatorily deliver tool box
talk before taking up any job.

30. Job execution is to be started after getting clearance from user department.

31. After Completion of work, the Scraps & debris created from the work should be cleared immediately by the
Contractor at his own cost.

32. Without prejudice to the right conferred by the clause as mention before for stoppage of work for violation
of Statutory rules and regulations requirement ,contractor shall be liable for penalties as mentioned below:-

i. Upto Rs 5000/- DGM(Env & Safety)/Head of Env & Safety/Head of the Dept. where work is being done for
1st violation of safety norm, non use of PPE like Safety Shoes, Hand Gloves ,Safety Helmet, Goggles etc as
per work requirement of contractor and their worker.

ii. Fine upto Rs 20,000/- on 2nd violation as mentioned in clause (i) above.

iii. Repeated Safety violation may result in debarment of vender for future contract.

iv. Fine upto Rs10, 000/- for violation of non use of Full Body Harness by contractor and contractor worker for
working height job.

v. Fine upto Rs 25,000/- (Min) to Rs50, 000/- (Max) for serious injury caused by violation as mentioned in
clause no. (i) to (iv).

vi. Independent of the above, contractor shall be fined RS1, 00,000/- (One lack) or more and debarred
/deregistered from taking up further contractual work in WBPDCL from the date of issue of debarring
/deregistering order in case any fatal accident occurs due to violation as mentioned clause (i) and (iv) above.

33. Submission of Duly filled & signed “Safety Clearance Certificate” as per attachment is mandatory for final
clearance of payment.

that the Agency promptly notifies, to the extent practicable, the WBPDCL in writing of such demand for
disclosure so that the WBPDCL, at its sole expense, may seek to make such disclosure subject to a
protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information.
6. The Agency shall immediately return and redeliver to the WBPDCL all tangible material embodying any
Confidential Information and all notes, summaries, memoranda, drawings, manuals, records, excerpts or
derivative information deriving there from, and all other documents or materials (and all copies of any of the
foregoing, including “copies” that have been converted to computerized media in the form of image, data,
word processing, or other types of files either manually or by image capture) based on or including any
Confidential Information, in whatever form of storage, upon : -
i. The completion of the Contract;
ii. The termination of the Contract; or,
iii. At such time as the WBPDCI. may so request.

Annexure -XI [Mutual Non-Disclosure & Confidentiality Agreement]

This Agreement is entered into as of date………. by and between <WBPDCL> ("First Party") with its
Registered office at Office address, and Vendor Name ("Second Party") with its principal place of business at
<address>. (collectively, “the Parties").
This agreement is intended to facilitate the exchange of information between <WBPDCL> and Second Party,
for various purposes. <WBPDCL> and Second Party desire to disclose, on a confidential basis, certain
information, process, clients, business contacts and documents considered confidential and/or proprietary by
<WBPDCL> and/or Second Party concerning their respective businesses. <WBPDCL> and Second Party wish
to maintain the confidentiality and/or the proprietary nature of the confidential information disclosed. In
consideration of the mutual promises and covenants set forth herein and for other good and valuable
consideration, the receipt and adequacy of which is hereby acknowledged, the Parties hereto agree as follows:
CONFIDENTIAL INFORMATION:
1. The Parties agree that information disclosed orally or in writing or made available by either Party
("Disclosing Party") to the other Party ("Recipient"), including, but not limited to, information acquired from
employees, trade secrets, strategic plans, invention plans and disclosures, customer information, suppliers, IT
Infrastructure (Hardware, Software & Network), Application software, distribution channels, marketing
studies, intellectual property, information relating to process and products, designs, business plans, business
opportunities, marketing plans, finances, research, development, know-how or personnel, confidential
information originally received from third-parties, information relating to any type of technology, and all
other material whether written or oral, tangible or intangible, shall be deemed "Confidential Information." In
addition, the existence and terms of this Agreement shall also be treated as Confidential Information. The
parties agree that any Confidential Information disclosed prior to the execution of this Agreement was
intended to be and shall be subject to the terms and conditions of this Agreement.
RESTRICTIONS AND EXCEPTIONS:
2. The Parties agree to maintain the confidentiality of the Confidential Information and to prevent its
unauthorized dissemination or use for the entire contract period of5 yearsfrom date of disclosure; provided,
however, that this Agreement shall impose no such obligations with respect to Confidential Information
which is i) publicly known or becomes publicly known through no unauthorized act of Recipient, ii) known
by the Recipient prior to the date of this Agreement, which prior knowledge is evidenced in writing, iii)
disclosed to the Recipient by a third party with the right to make that disclosure, or iv) independently
developed by the Recipient without any use of or reliance upon the disclosed Confidential Information. In
the event of a disclosure required pursuant to a requirement of a governmental agency or law, the Party
seeking to disclose Confidential Information will provide to the Disclosing Party notice prior to such

disclosure in order to afford the Disclosing Party a reasonable opportunity to file objections to the

3. The parties expressly agree that the Recipient shall not use Confidential Information in the development of
any products or services for its own account or for the account of a third party unless expressly agreed to by
the Disclosing Party in writing. Further, the Parties agree not to use the Confidential Information for
purposes other than that necessary to consider the possibility of entering into a business relationship or
transaction between the Parties. The Recipient shall protect the Confidential Information by using the same
degree of care, but no less than reasonable care, to prevent the unauthorized use, dissemination or
publication of the Confidential Information as the Recipient uses to protect its own Confidential
Information, The Recipient shall limit its internal disclosure of the Confidential Information to only those
employees and agents who have a need to know the information for the limited purpose of the proposed
business relationship between the Parties. <WBPDCL> and Second Party agree that it will direct its
employees and agents to maintain the confidentiality of the Confidential Information.
The obligation not to disclose shall not be affected by bankruptcy, receivership, assignment, attachment or
seizure procedures, whether initiated by or against Recipient, nor by the rejection of any agreement between
the Disclosing Party and Recipient, by a trustee of Recipient in bankruptcy, or by the Recipient as a debtor-
in-possession or the equivalent of any of the foregoing under local law.
CONTINUED DEVELOPMENT EFFORTS:
4. The Parties acknowledge and agree that both parties have been engaged and continue to engage in activities
to develop the technology that is the subject of a potential transaction or business relationship between
<WBPDCL> and Second Party and acknowledge and agree that nothing contained in this Agreement shall
restrict or prohibit either party from continuing such development efforts whether or not with each other,
and that such continuing development efforts will not be considered a breach of the terms and provisions of
this Agreement.
5. Neither this Agreement nor the disclosure or receipt of Confidential Information shall constitute or imply
any promise or intention to make any purchase of products or services by either party or its affiliated
companies or any commitment by either party or its affiliated companies with respect to the present or
future marketing of any product or service.
OWNERSHIP OF CONFIDENTIAL INFORMATION:
6. All Confidential Information, and all material items delivered by the Disclosing Party to the Recipient,
remains the property of the Disclosing Party and no license or other rights in the Confidential Information
are granted to the Recipient by this Agreement or by the act of disclosure. No rights, obligations,
representations or terms other than those expressly set forth herein are to be implied from this Agreement.
In particular, without limitation no license is hereby granted directly or indirectly to either <WBPDCL> or
Second Party or their respective employees (a) under any patent, trademark, trade secrets or copyright, or

(b) to use the other Party's name, trade names, trademarks, service marks, logos or designs for any purpose,

RETURN OF MATERIALS AND DOCUMENTS:
7. Upon the written request of the Disclosing Party, the Recipient shall return to it (or, at the request of the
Disclosing Party, erase or destroy) all materials that contain or embody any Confidential Information of the
Disclosing Party, including but not limited to all computer programs, documentation, notes, plans,
drawings, and copies thereof. Return or destruction of such material shall not relieve the Recipient of its
obligations of confidentiality. Upon the request of the Disclosing Party, the Recipient will certify that it has
complied with the provisions of this paragraph.
NON - CIRCUMVENT:
8. In addition, the Parties agree to not circumvent each other and work with business associates, clients, and
other third-party vendors introduced by each party in this case. The parties may introduce each other to
companies that are interested in acquiring companies OR being acquired. It is understood that the
introducing party retains ownership of such a referral and that the other party cannot deal directly with such
referred Second Party without the written consent of the referring party. This non-circumvent provision
shall expire at the end of One (1) year.
DISCLOSURE UNDER LEGAL PROCESS:
9. Notwithstanding paragraph 2 above, if either party becomes compelled by law or regulation to divulge any
Confidential Information of the other party, the party receiving the order to divulge will provide the party
that disclosed the Confidential Information under this Agreement with immediate written notice so that it
may seek an appropriate protective order or other remedy. In addition, the Recipient agrees to fully
cooperate with the Discloser's efforts to seek a protective order. The Recipient may disclose the
Confidential Information as provided in the protective order, or, if no protective order is obtained, the
Recipient may disclose Confidential Information only to the extent that it reasonably believes it is
compelled to disclose. Any waiver by the Discloser in relation to this Section 3 shall not be deemed
continuing or a waiver of any other term or condition of this Agreement.
NON-SOLICITATION:
10. For a period of One (1) year after its termination or completion of services hereunder, BOTH PARTIES
agree that it will not solicit for hire, or hire or advice or assist others with the opportunity to do same for any
employee of the OTHER PARTY who was associated or was performing services pursuant to this
Agreement.
REMEDY:
11. The Parties hereby acknowledge that unauthorized disclosure or use of Confidential Information and
breach of Clauses 7 and 8 could cause significant and irreparable harm, which may be difficult to ascertain,
and that money damages would be inadequate compensation. Accordingly, the Parties agree that the

Disclosing Party shall have the right to seek and obtain immediate injunctive relief from breaches of this

12. Neither Party may use the name, logo, or trademarks of the other in connection with any advertising or
publicity materials or activities without the prior written consent of the other Party.
13. No waiver of any term of this Agreement will be effective unless and until it is in writing and signed by
both parties to this Agreements Failure by either party at any time to require performance by the other party
or to claim a breach of this Agreement will not be construed as a waiver of any right under this Agreement.
14. This Agreement may not be assigned and shall be governed by and interpreted under the law of
Republic of India.
15. This Agreement constitutes the entire agreement and understanding between the parties with respect to
Confidential Information, Non-Circumvent and Non-Solicit Agreements and it supersedes all other prior
written or oral agreements, representations and understandings regarding the subject matter of this
Agreement. This Agreement may be amended only by a written document executed by both <WBPDCL>
and Second Party.
16. A finding by any court of competent jurisdiction that any provision of this Agreement or part thereof is
unenforceable shall not affect the enforceability of the remaining provisions of this Agreement.

2 Data Isolation
WBPDCL’s data should be kept physically and logically
isolated from consumer services.

3 Data Portability
a. WBPDCL shall be owner of its data, and shall retain all
rights, title and interest in the data stored in the cloud
platform. WBPDCL reserves its right to download a full
copy of its data at any time and for any reason, without any
assistance from.
b. Upon subscription expiration or termination, WBPDCL
should be provided with at least 90 days of support and
access to export data.
4 Data Limits
a. WBPDCL’s data should not be accessed for administration
unless explicitly requested for operations and
troubleshooting.
b. Normal personalization or communications concerning tips
and advice should have no access to WBPDCL’s data.
c. Account information only may be accessed for invoicing
purposes.
d. Should not voluntarily provide law enforcement access to
WBPDCL’s data and request for the same, if any, should
be redirected to WBPDCL.
