ZO@3ID AGREEMENT FOR SALES SERVICES This Agreement is made and entered into on 19th September 2022 until 18th September 2025, unless extended by any subsequent written indication. Between, Niaz R, having his permanent address at #49/1, Lingaiahna Palya, Main Channel Road, 3rd Cross, Ulsoor, Bangalore 560008 (hereinafter referred to as “Consultant” having of the ONE PART; And Zooid Solutions India Private Limited, having its office at 3rd Floor, Indiqube Hexa, HSR Layout, Bengaluru - 560102 (hereinafter referred to as “Client”) of the OTHER PART. 1. GENERAL CONDITIONS The Se e supplied under this Agreement shall be subject to Consultant's general terms and conditions as set forth in (“Terms & Conditions”). 3, REMUNERATION / INVOICING AND PAYMENT TERMS The cost for the aforementioned services will be [NR18)00)000 BePENNUM to be paid ona monthly basis. The aforementioned fee is exclusive of any GST (currently at 18%), which if applicable, will be charged over and above it. In case of termination the Client will pay the amount invoiced till the termination date to the Consultant. © Any notice given by one party to the other pursuant to this Contract shall be sent to the ‘other party in writing or by fax and confirmed in writing to the other party's specified address. The same has to be acknowledged by the receiver in writing. © In cases of dispute, claim & legal action arising out of the contract, the parties shall be subject to the jurisdiction of courts in Bangalore (India) only. 5. INTELLECTUAL PROPERTY, PATENT AND TRADEMARKS Any intellectual property, patent or trademark developed during the course of this engagement will belong to the CLIENT only. The Consultant shall not make any claims on the registration, proprietary or ownership of the same. ‘The Consultant shall not have any rights to make any copy, in physical or digital form, of any work carried out under the agreement. PRIVACY AND SECURITY The Consultant acknowledges that it has received, may receive, or may have access to consumer, customer or individual information (“Private Information”), which information may be subject to the protections of local laws or the Client policies. The Consultant further agrees, warrants and represents that he will comply with the requirements imposed by the Client as well as the local laws on the same. All Private Information shall be deemed Confidential Information subject to the confidentiality provisions of this Agreement. Notwithstanding anything herein to the contrary, the obligations of confidentiality regarding Private Information shall be perpetual and shall survive the expiration or earlier termination of this Agreement, Recipient hereby agrees to adhere to procedures, processes, systems and security safeguards maintained by the Client sufficient to ensure the confidentiality of such Private Information. 7. REPRESENTATION AND WARRANTIES The Consultant hereby represents, undertakes and warrants that the services provided by the Consultant under this Agreement does not violate/infringe, or shall not at any time during or after this Agreement violate/infringe the intellectual property rights of any third party.
