ADR Clause between  Joey Entertainment Co. Ltd and  Bing Pvt. Ltd.

1. Dispute Resolution: 
1.1 All matters concerning the present parties and all the disputes arising under this
Agreement shall be interpreted in accordance with the laws of India.  
 
1.2 In the event of any dispute, claim, question, or disagreement arising from or relating to
this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the
dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with
each other in good faith and, recognizing their mutual interests, attempt to reach a just and
equitable solution satisfactory to both parties. If they do not reach such solution within a
period of 60 days, then, upon notice by either party to the other, all disputes, claims,
questions, or differences shall be finally settled by arbitration administered by the Delhi
International Arbitration Centre (DIAC) in accordance with the prevailing arbitration
rules. The arbitration proceedings shall be conducted before a panel of three neutral
arbitrators, all of whom shall be members of BCI, actively engaged in the practice of law for
at least 10 years The venue of arbitration shall be New Delhi, India, and the procedures
developed by the Delhi International Arbitration Centre (DIAC) shall be followed for the
purposes of the Arbitration. The arbitration shall be conducted in English. The arbitration
award shall be final and binding on the two parties.  
 
1.3 Either party may apply to the arbitrator seeking injunctive relief until the arbitration
award is rendered or the controversy is otherwise resolved. Either party also may, without
waiving any remedy under this Agreement, seek from any court having jurisdiction any
interim or provisional relief that is necessary to protect the rights or property of that party,
pending the establishment of the arbitral tribunal (or pending the arbitral tribunal’s
determination of the merits of the controversy). 

1.4 No party to this Agreement will challenge the jurisdiction or venue provisions as
provided in this section. Nothing contained herein shall prevent the party from obtaining an
injunction.   
 
1.5 Except as may be required by law, neither a party nor an arbitrator may disclose the
existence, content, or results of any arbitration hereunder without the prior written consent of
both parties.
