 TERMS AND CONDITIONS
1. Background
The seller has agreed to sell and buyer has agreed to
buy the Vessel as described on the first page of this
Contract in exchange for the Purchase Price.
2. State of repair
The buyer has inspected the Vessel and is satisfied as
to the state of repair and operational condition and will
make no objection in relation thereto. The buyer
acknowledges that it does not rely on any discussions,
warranties, agreements or representations made by
the seller or its broker in relation to the state or
condition of the Vessel.
3. Deposit
The buyer shall on the Contract date pay to the seller
or seller’s agent a deposit of 10% of the Purchase
Price, unless otherwise stated.
The deposit must be paid prior to the buyer making
arrangements for the survey, sea trial and mechanical
inspection of the Vessel pursuant to clause 10.
4. Completion
Completion shall take place on the Completion date.
On completion, the seller will give possession of the
Vessel to the buyer in the state of repair that it was in
at the time of inspection by the buyer.
On completion, the buyer shall pay the balance of the
Purchase Price to the seller.
5. Seller warranty
The seller warrants that the Vessel and inclusions
listed in the Vessel Details Schedule are the sole and
absolute property of the seller free of all encumbrances
whether by way of lien, charge, hire purchase, bill of
sale, security interest (whether registered or
unregistered), any unregistered interest, equitable
interest or other encumbrance.
6. Transfer and registration
On completion, the Seller shall provide to the Buyer a
signed vessel registration certificate and also complete
all things necessary to affect the transfer of registration
in accordance with the relevant state authority within
14 days of the Completion date. The Seller shall also
provide a Hull Identification Number (HIN) certificate if
not recorded on the registration certificate.
7. Failure to comply
The failure of the Seller to comply with any of the terms

of this contract entitles the Buyer the right to rescind at
any time before completion date by notifying the Seller
in writing.
8. Notices
A notice or other communication to a party must be in
writing and delivered to that party or that party in one of
the following ways:
a) Delivered personally; or
b) Posted to their address when it will be treated
as having been received on the second
business day after posting; or
c) Sent by email to their email address, when it
will be treated as received when it enters the
recipient’s information system.
9. Governing law
This agreement is governed by the laws of Australia
and the relevant state within Australia.
SPECIAL CONDITIONS
If there are any inconsistencies between clauses 1 to 9
and Special Conditions below, the Special Conditions
will prevail.
10. Completion subject to satisfactory survey, sea
trial and mechanical inspection
This Contract is subject to the buyer obtaining a
satisfactory survey, sea trial and mechanical inspection
of the Vessel at the buyer’s expense (including slipping
costs). Provided that the buyer has arranged for a
survey, sea trial and mechanical inspection to be
completed prior to the Completion date, the buyer has
the right to rescind the contract at any time before the
Completion Date if any one of the survey, sea trial or
mechanical inspection is not satisfactory. The buyer is
not required to provide any further reasons or
explanations in the event it exercises its right to rescind
under this clause.
For avoidance of doubt, if the buyer exercises its right
to rescind under this clause, the seller shall return the
full amount of deposit paid pursuant to clause 3.
11. Seller to provide reasonable access
The seller shall provide reasonable access to allow the
buyer or any agent of the buyer to carry out the survey,
sea trial and mechanical inspection of the Vessel.
12. Special conditions on the front page
Special conditions specified on the front page form part
of the Special Conditions.
