AND WHEREAS, the Vendor wished to develop their own land and surrounding land in
the form of a residential layout and therefore entered into a JDA vide registered
document No.4163/2010, of I June 2010, with Prajay Land Capital Private
Limited,(PLCPL) who owned land admeasuring 8.35 acres vide registered sale deed
No.5874/2008, dt.30.07.2008 and 7428/2008, t.01.10.2008 and also had development
rights on land admeasuring 1.65 acres with Mrs. Indrani Prasad and others through
registered Development Agreement cum GPA No.2789/2008, dt. 16.02.2008. PLCPL has
become a 100% subsidiary of PPPL where the entire equity of the PLCPL has been held
by PPPL and thus by virtue of the registered IDA No. 4163/2010 dated 1% June 2010,
PPPL was vested with 100% rights to sale the entire developed area in the land of
PLCPL.
AND WHEREAS, Prajay Properties Pvt Itd (PPL) along with Prajay Land Capital Pvt
Ltd (PLCPL) and Prajay Urban Pvt Lid (PUPL) entered into Joint Development
Agreement (IDA) with Prajay Engineers Syndicate Ltd, (PESL) a company formed and
registered under the Companies Act, 1956, having its registered office at 4-1-2/4, Eden
Gardens, Ramkote, Hyderabad vide document No.4163/2010 dated 1* June 2010, where
PESL has been made sole Developer of the said project and where the cost of such
development shall be shared by PPPL and thus the rights to sale the entire constructed
area on the land belonging to PPPL and PLCPL by virtue of ownership as well as
development agreement with Mrs. Indrani Prasad and others vested in PPPL and that the
area falling to share of PPPL has been separately demarcated in the JDA dated 1* June
2010 and that PPPL has sole and absolute rights to sell, enter into agreement of sales,
take bookings and transfer and convey the ownership rights to the buyers in the said
areas.
AND WHEREAS, PPPL also entered into JDA with Prajay Urban Private Limited, a

Pvt Ltd (PPPL) as mentioned above. Thus Prajay Urban Pvt Ltd (PUPL) owns and
contributed the 4 acres of land in the project under JDA to Prajay Engineers Syndicate

Urban Pvt Ltd (PUPL) and Prajay Engineers Syndicate Ltd (PESL) agreed to share

ratio of 42.50% to’ Prajay Urban Pvt Ltd (PUPL) and 57.50% to Prajay Engineers

demareated separately in block no, TYPE BI and TYPE C and thus by virtue of the said
JDA, Prajay.Engineérs Syndicate Itd (PESL) got absolute rights to take booking, enter

admeasuring 1215 Sq.feet together with undivided share in the land admeasuring 21.87
Sq.yds or 18.28 Sq.mtrs constructed on land admeasuring Ac. 21 - 05 Gts in Survey
‘No.78 of Hafeezpet village, Serilingampally Mandal, under GHMC Serilingampally
Circle, Ranga Reddy District (HEREINAFTER referred to as the “SCHEDULE
PROPERTY”), for a valuable sale consideration of Rs.18,82,500/- (Rupees Eighteen
Lakhs Eighty Two Thousand & Five Hundred only) which is inclusive of (1) One Car
Parking Slot for which the Vendor and Developer agreed and sold the schedule property
to the VENDEES at the above sale consideration.
AND WHEREAS, the Vendor has provided a copy of complete set of all the related
documents of the SCHEDULE PROPERTY to the VENDEES and VENDEES have
verified all title documents including the Joint development agreement-cum-general

from any interference and disturbances by the Vendors or its successors-
in-interest or representatives or assignees or person claiming under it,
f, That in the event of whole or any portion of the schedule property being
lost by the Vendees on account of any claim made thereto by any other
person or persons which reflects the title of the Vendor, the Vendees and
Developer and its successors-ifi-interest shall be jointly and severally
responsible to indemnify the Vendees and keep the Vendees saved and
harmless from and against any and all losses, damages or liabilities
together with incidental expenses incurred by the Vendees for defending
the title,
