DIRECTORS’ CERTIFICATE

KNOW ALL MEN BY THESE PRESENTS:

We, the undersigned members of the Board of Directors of Delicious Food
Inc. (the “Corporation”), a corporation duly organized and existing under
Philippine laws, with the principal office at Kansas San Juan City, Second District
National Capital Region (NCR), Philippines, do hereby certify that:

1. On the October 04 and November 15, 2023, meetings of the board of

directors held at the Kansas San Juan City, Second District National Capital
Region (NCR), in which all directors were present, the members of directors
unanimously approved the amendments to the Corporation’s Articles of
Incorporation and By-Laws and the resolutions stated in item (2) hereof.

2. Similarly, on the annual meeting of the stockholders held at the principal

office on December 18, 2023, in which meeting at least two-thirds (2/3) of
the total outstanding shares of the Corporation was present, stockholders
owning or representing at least two-thirds (2/3) of the outstanding capital
stock of the Corporation approved the proposed amendments to the
Corporation’s Articles of Incorporation and By-Laws, and approved the
following resolutions:

RESOLVED, That Article SEVENTH of the Articles of Incorporation shall be

amended to read:
SEVENTH. That the authorized capital stock of the corporation is Two
Million Pesos (2,000,000) divided into:
a. Two Million (2,000,000) common voting shares with par
value of One Peso (P1.00) per share.

(Note: Underlined words are the proposed amendments.)

RESOLVED FINALLY, that the foregoing amendments to the By-Laws be
submitted to the Securities and Exchange Commission for approval.
3. Copies of the Corporation’s Amended Articled of Incorporation and By-
Laws are attached hereto as Annexes A and B, respectively.
