CONTRACT TO BUY AND SELL
KNOW ALL MEN BY THESE PRESENTS
This CONTRACT TO BUY AND SELL, made and entered into this
in by and between
VIOLETTA ORENDAIN, Married to Jose B. Adeva Jr., both of legal age, Filipino
citizens and with postal address at 16 Fatima St, San Miguel Village, Makati, Rizal, represented
by its Attomey:in-Fact, RENALYN T. MANALO, hercinafter referred to as the SELLERS,
and
SPS. RODRIGO ANASTACIO LUMABAS & ERLINA AGASEN LUMABAS, both
of legal age, Filipino citizens and with postal address at Block 9 Lot 5 Gainesville Subdivision,
Bulihan, Silang, Cavite, hereinafter referred to as the BUYER,
WITNESSETH
‘That for and in consideration of KOUR HUNDRED THOUSAND PESOS
(P400,000.00) Philippine currency, payable in the form hereinafter expressed, SELLERS
hhave agreed to sell t0 the BUYER and the BUYER has agreed to buy from the SELLERS,
PORTION OF A PARCEL OF LAND, with an area of FORTY TWO THOUSAND
EIGHT HUNDRED THIRTY SEVEN (42,837) SQUARE METERS located at Brey.
Abung, San Juan, Batangas, covered in and embraced by Transfer Certificate of Title No. T=
158134 and declared under Tax Declaration No. 21-0002-00675, of which the SELLERS are the
owners in fee simple by virtue of Transfer of Rights dated May 8, 2022 duly notarized by Atty.
Grenalyn V. Virtusio with Doc. No.____, Page No. _, Book No, __, Series of 2023, under
the following terms and conditions, 1 wit:
1. The BUYER agrees to pay 1 the SELLERS, the amount of EIGHTY
THOUSAND PESOS (P30,000.00), representing 20% DOWNPAYMENT,
for the sale of the portion of above-desenbed property with Block 9 Lot 5,
containing a portion area of ONE HUNDRED (100) SQUARE METERS:
2, That the BUYER undertakes to pay the balance of THREE HUNDRED TWENTY
‘THOUAND PESOS (P320,000.00) payable within a period of TWENTY FOUR
MONTHS (24), on the amount of THIRTEEN THOUSAND THREE
HUNDRED THIRTY FOUR PESOS (P13,334.00) stacting 3° day of April2023;
3. That the SELLERS undertake not to sell the subject property to other prospective
buyers after payment ofinitial down payment;
4. ‘That the SELLERS undertake to assume the Survey Plan and Attorney's Fees, without
reimbursement from the BUYER;
5. ‘That the BUYER undertakes to assume the Capital Gains Tax, Documentary Stamp
‘Tax, Transfer Tax, Registration Fee and other expenses relative to the transfer of
‘ownership without reimbursement from the SELLERS;
6. ‘That herein SELLERS undertake to execute the necessary Deed of Absolute Sale
rnevessaty for the transfer of the subject property in favor ofthe BUYER and deliver
all the necessary documents required for the transfer of ownership upon full payment
‘ofthe contract price
7. That the BUYER agree that no other improvement whatsoever shall be made in the
said area until seventy percent (70%) of the property has been sold;
8. That incase the BUYER fails to pay three (3) consecutive monthly installments, this
agreement shall aufomatically become null and void and all the payments made by
the BUYER shall be forfeited in favor of the SELLERS;
9, ‘That all succeeding documentation, such as execution of the Deed of Absolute Sale
and other related documents shall be done in Virtusio and Associates Law Office;10. That the parties hereby present and make manifest that this entire agreement has been
‘ead and / or translated in a language or dialect know to and understood by them;
IN WITNESS WHEREOF, the partics have hereunto set their hands this
