Exercise 1:
You are the head of the legal department at MFBL Bank Ltd. Your bank is also an
Authorised Dealer (AD) as per Section 10 of the Foreign Exchange Management
Act, 1999. You have been served a show-cause notice on 07.03.2023 by the
Reserve Bank of India, alleging that you have not complied with the mandatory
requirements of the RBI’s Master Direction on External Commercial Borrowings,
Trade Credits and Structured Obligations (‘Master Directions’).
Whereas, MFBL Bank Ltd., having office at Block C, Connaught Place, New
Delhi - 110001, is a banking company governed by the Banking Regulation
Act, 1949.
After a perusal of the records submitted and filed by the MFBL Bank Ltd. as
mandated by the Master Direction on External Commercial Borrowings,
Trade Credits and Structured Obligations (‘Master Directions’) as revised
by the Reserve Bank of India from time to time, the following discrepancies
have been found:
ECB-2 return for reporting actual transactions of External
Commercial Borrowings required to be reported on a monthly
basis has not been filed for the months of November 2022 to
February 2023.
That aforesaid circumstances constitute a violation of the Master Directions,
and indicate a deliberate and intentional action on the part of MFBL Bank
Ltd.
And that you, being the Branch Manager, are hereby called upon to show
cause as to why a late submission fee under Para 6.4 of the Master
Directions and under Section 11(3) of FEMA should not be imposed upon you.
You are required to make written submissions, if any, within 30 days of the
receipt of this notice, failing which a late submission fee of INR 50000 will be
payable by you.

allegations levelled and the applicable law, draft an effective reply in response to the
provided show-cause notice. You are free to create hypothetical facts and evidence
for the purposes of defending the allegations made against you. Remember to

mandatory requirements of the Act, and also the Haryana Real Estate (Regulation)
Rules,2017.

07.03.2023 and you have to give the requisite reply by 31.03.2023.]

Developers Ltd to draft a suitable response to the notice. You are free to create
