Agreement on the Collaborative Research Project

between
The Gyeongsangbuk-do Agricultural Research & Extension Seruices of
Republic of Korea
And
The Research Station for Viticulture Murfatlar - Romania

GBARES KOREA & RSVM ROMANIA


Research Title: Evaluation of Grape Genetic Resources and Breeding of

Grape

This project will perform on basis of the memorandum of understanding on agricultural

technology cooperation between GBARES and RSVM on Sep. 12,2013.

For the above project title, both parties are in agreement with these followings:

1. Project Objectives

1.1 Evaluation and exchange of the collected genetic resources grape

1.2 Regional adaptability of grape genetic resources in both Korea and Romania.

1.3 Research for wine grape breeding with high qualiiy.

2. Proiect Duration

2.1 This agreement will guide the collaboration for the period beginning March 2023 and

ending 31th of December 2025. However, it may be extended for the period if the parties

agree.

2.2 Base on the project outcome the duration of the collaboration may be amended and/or

extended through the joint agreement of both GBARES and RSVM to amendments to this

agreement

3. Project Strategies

The project described below is pursued by both GBARES and RSVM. The details of

implementation are arranged by both concerned authorities, and the research plan is

attached as appendix 1.
3.1 GBARES and RSVM will exchange genetic materials (bud wood) of grape species(VrTis

genus) to facilitate national breeding program of each country. GBARES and RSVM will

change in both directions the promising genetic resources and make the list of grape species.

3.2 RSVM will support breeding of grape for GBARES, such as cross combinations, hybrid

seeds obtaining and selecting of promising lines inside of seeding field.

3.3 RSVM will establish a pilot testing of grape varieties in Romania, and will report the

results of monitoring and evaluation of the pilot test to GBARES at the end of the project.

3.4 Based on the evaluation results of genetic resources, and the cooperation will continue

with the regional adaptation test in both countries.

3.5 RSVM is responsible for providing annual project report to GBARES within two months

at the end of each year's term (31th Dec.). The report forms are attached as appendix 2 &

3.

3.6 The principal investigator from RSVM will visit GBARES to make a presentation of final

results at end of the project. lt could be also a video conference. The final report form is

attached as appendix 4.

4. Exchange of researchers

4,1 GBARES will send two or three Korean researchers to RSVM (3-4 times lyear) and pay

international travel cost; RSVM will pay living expenses during staying in Romania from

project budget source.

4.2 RSVM will send two or three Romania researchers to GBARES in one or two weeks to

exchange the technology of fruit breeding and cultivation for fruit research and development.

Cost for international travel will be provided from project budget source; GBARES will pay

living expenses during staying in Korea.


4.3 The annual meeting of the project will be hold by both parties to discuss research

outcomes and research plan for the following year.

5. Project contribution

5.1 Contribution from GBARES

5.1 .1 GBARES will contribute a total of W 50,000,000 (Korean Won) for one year to RSVM.

It is noticed that in case of continuation, next year research project budget might be changed

depending on project assessment result and the contribution may vary according to the

exchange rate of the Korean Won.

5.1.2 Project budget will be settled and transfer in USD to RSVM with the bank information

below after the contract is signed:

5.2 Contribution by RSVM

5.2.1 RSVM will provide fields, expertise, researchers and will implement all necessary

procedure in Romania to facilitate the project successfully.

5'2.2 RSVM is responsible for providing annual budget spending report to GBARES before

the end of the Korean fiscal year. Reporting time, however, could be adjusted by mutual

agreement from both parties.

6. ownership of research outcome, levy of the technical rent

6.1 Products and results generated from.this project will be jointly possessed by GBARES

and RSVM. Both parties should have mutual con'sbnt before distribution of research i t
materials and results to the third parties. For the publication of the research outcome, both

parties should clearly announce that the project was co-implemented.

6.2 We adhere to the principle that any property right, patent and royalty derived from this

cooperative project will be shared between GBARES and RSVM with proportion of 50% to

50%, respectively. (Adjustable by consultation)

6'3 Both parties reserve a royalty-free right to use the new collaborative intellectual property

in its own laboratories for research and development purposes.

6.4 Both parties will have exclusive right on levy of technical rent, which will be made from

intellectual properly and/or patent via this project, in their own territories, respectively.

GBARES and RSVM will have a right on levy according to the ratio decided in the article 6-

2 in case it derives from outside their own territories.

7. Cancellation

7'1 This agreement may be cancelled by official mutual writing consent by the request from

either party. Reasons considered appropriately for cancellation of the collaboration including:

7.1.1 contravention of agreement including breach of oontribution, etc.


7.1.2 Failure to realize the expected results of research or incapability to complete the

project.

7.1.3 Research objectives were already accomplished by other researchers.

7.1'4 Any other causes determining that continuation of this project will be worthless.

7.2 lf these above situations arise, one party should notice to the other party immediately,

and the agreement will be cancelled without official consent from the notified party within 60

days.

7.3 lf the collaborative agreement is cancelled by mutual consent, any remaining budget,

except research expenses already used, shall be immediately reporled and returned to

GBARES within three months.

8. Other articles following collaborative research

8.1 Confidentiality

Both parties agree that the following types of information are considered confidential:

8'1'1 Trade secrets, new intellectual properties as well as concerning information of both

parties.

8.1'2 Financial, commercial, scientific or technical information that is confidentially supplied

to one pafty by another.

8'1.3 lnformation the disclosure of which could r".rttin material orfinancial loss, orcould

prejudice the competitive position of any party.

8.1.4 lnformation the disclosure of which could affect the agreements or other negotiations

of both pafties.

8.2 Publication and Advertising


Both parties can publish their work in scientific journals. However, they must report the

supporting organization in the article. The parties must inform each other about all kinds of

press release and commercial advertising.

8.3 Notices

All notices or other communications necessary under this agreement shall be in writing and

shall be delivered to the representatives of each party..Notices can be delivered by person,

courier, double registered mail, facsimile and internet.

8.4 Arbitration

Any disputes, questions or differences regarding to the interpretation or the implementation

of this agreement should be resolved through discussions between two parties (or their

designees). lf resolution through discussions is impossible, it shall be submitted to arbitration.

The arbitration shall be governed by the national laws of Republic of Korea (or international

law and/or customs).

9. Project management
GBARES and RSVM will assign employees of their respective organization to carry out the

project. Young-Sook Cho and Jong Soo Kim are representatives for GBARES. Aurora

Ranca and Traian-Stefan Cosma are representative for RSVM.

There will have mutual consultation between GBARES and RSVM on any major issues

arising from or in connection with this agreement. Cancellation of the project, modification

of research strategy, alteration of budget and exchange of researchers will require

agreement by both parties.

This agreement is unanimously adopted by designated representatives of GBARES and

RSVM.
The signature of the General Director of each participating organization below, represents

the full commitments of their organization to participate actively in the collaboration and

implement fully all provisions in this agreement.

Description of Research Proiect

l. Objectives

- Evaluation and exchange of the collected genetic resources of grape species.

- Regional adaptability of grape trees in both Korea and Romania

- Research for the breeding of grape cultivars with high quality

ll. Procedures
- Korean and Romanian researchers will visit Korea and Romania to cooperate collecting

and evaluating of genetic resources of grape.

- Based on the evaluation results of genetic resources, selected promising line will be

introduced and tested in each country.

- RSVM support breeding of grape for GBARES, such as selecting promising lines, artificial

crossing and hybrid seeds.

- GBARES Expenditure

The expenses for researchers from RSVM during Korea visit will be paid by GBARES.

- RSVM Expenditure

The expenses for researchers from GBARES during Romania visit will be paid by RSVM.
